A bank that invested in asset-backed commercial paper (ABCP, 자산담보부기업어음) backed by overseas guaranteed bonds issued by a Chinese company sued several securities firms, claiming it suffered losses because the firms breached their duty to protect investors (투자자보호의무) in structuring and distributing the ABCP. The Supreme Court affirmed that the securities firms which substantially led the issuance and distribution of the ABCP were liable in tort for damages, but held that the lower court erred in calculating the starting date for delay interest (지연손해금 기산일), which should be the maturity date of the notes rather than the date oral argument concluded. The Court also clarified that the duty to protect investors extends even to investors who were not directly solicited by the issuer/distributor.

Key takeaways
  • CaseA bank invested in ABCP backed by a Chinese company's overseas bonds and lost money when the underlying bonds defaulted, then sued the securities firms that structured and sold the ABCP for breaching their investor protection duties.
  • OutcomeThe Supreme Court upheld the securities firms' liability, including toward investors not directly solicited, but sent the case back to correct the date from which delay interest should be calculated (the notes' maturity date, not the trial's closing date).
  • LessonFinancial institutions that lead the structuring and distribution of asset-backed securities owe accurate disclosure duties to all downstream investors, not just those they directly solicit, and damages in such cases accrue from the date the loss becomes fixed (e.g., maturity), not from the date of trial.
Issues
  • The scope and content of the investor protection duty (투자자보호의무) owed by a financial investment business operator that led the issuance and distribution of ABCP, and whether tort liability arises from its breach
  • Whether the ABCP issuer/distributor's investor protection duty extends to third-party investors who were not directly solicited to invest
  • Whether there is proximate causation between the breach of the investor protection duty and the investor's loss
  • The point in time when damage from breach of the investor protection duty is deemed to occur (i.e., the starting date for calculating delay interest) and how to calculate the amount of damages
  • The standard for determining the necessity of preservation (보전의 필요성) as a requirement for exercising a creditor's subrogation right (채권자대위권)
Key reasoning

A financial investment business operator that effectively led the issuance and distribution of ABCP owes a duty to accurately produce and provide material information about the profit structure and risk factors of the underlying securitized assets. If this duty is breached and an investor suffers loss as a result, the operator can be held liable in tort even toward investors who were not directly solicited to invest, since the duty is meant to protect the integrity of the market and all end investors relying on the disclosed information. The Court found there was proximate causation between the breach of this duty and the investor's loss. However, the actual loss from unrecovered investment amounts becomes concrete and realized only when the notes mature and the shortfall is confirmed, meaning that is the point from which delay interest (지연손해금) must be calculated. The lower court's use of the date oral argument closed as the starting point was therefore based on a misunderstanding of the law.

Summary of Decision (English, AI translation)

[1] A creditor may exercise the debtor's rights, unless such rights are exclusively personal to the debtor, in order to preserve the creditor's own claim (Article 404, Paragraph 1 of the Civil Act (민법)). In principle, whether to exercise a right is a matter to be determined by the right holder's free will. In order for a creditor to exercise the debtor's right on the debtor's behalf, even though the debtor has not exercised the right by himself, there must be a necessity to preserve the creditor's right by exercising such right of the debtor. Here, the necessity of preservation should be determined based on whether exercising the debtor's right on the debtor's behalf is necessary to effectively and appropriately secure the actual performance of the creditor's own claim, taking into comprehensive consideration the content of the right the creditor seeks to preserve, the debtor's solvency where the right the creditor seeks to preserve is a monetary claim, and the relevance between the claim the creditor seeks to preserve and the right sought to be exercised by subrogation, such that there is a risk that the creditor would be unable to obtain full satisfaction of its own claim unless it exercises the debtor's right by subrogation. Where there exist special circumstances such that the exercise of the creditor's right of subrogation would constitute unjustified interference with the debtor's free management of its property, the necessity of preservation cannot be recognized.

[2] Asset Backed Commercial Paper refers to commercial paper under Article 4, Paragraph 3 of the Financial Investment Services and Capital Markets Act (자본시장과 금융투자업에 관한 법률, hereinafter the "Capital Markets Act") that is issued for the purpose of asset securitization based on specific assets (hereinafter "securitized assets"). Unlike ordinary commercial paper, asset backed commercial paper is scheduled to be repaid from the cash flow of the securitized assets, and the risk associated with the investment (hereinafter "securitized asset risk") may vary depending on the profit structure and risk factors of the securitized assets, the structure for recovering the investment through the securitized assets, and the like.

Accordingly, where a financial investment business entity substantially determines the major terms, such as the securitized assets underlying the asset backed commercial paper and the securitization structure, establishes a corporation to acquire the securitized assets, causes the corporation to issue asset backed commercial paper based on the securitized assets, and further, by acquiring the commercial paper by a method prescribed in Article 9, Paragraph 11 of the Capital Markets Act or otherwise, effectively leads the issuance of the asset backed commercial paper and distributes it, such a financial investment business entity (hereinafter the "asset backed commercial paper issuer/distributor") not only has a direct interest in investors investing in the asset backed commercial paper but also occupies the position of primarily generating and providing information regarding investment in the asset backed commercial paper. Therefore, it has a duty to generate accurate information regarding material matters, such as the profit structure and risk factors of the securitized assets and the structure for recovering the investment through the securitized assets, and to provide such information to investors. If the securitized assets are financial investment products, the characteristics and level of risk of the financial investment products also affect the securitized asset risk, and thus the entity also bears a duty to generate and provide accurate information in this regard as well.

Furthermore, the asset backed commercial paper issuer/distributor, as an entity with access to information concerning the securitized assets, must provide accurate information and materials to the credit rating company in the process of requesting a credit rating for the asset backed commercial paper so that the securitized asset risk can be properly reflected in the credit rating, and if it knew or could have known that the securitized asset risk was not properly reflected in the credit rating, it must take reasonable measures to prevent such inappropriate information from being carelessly provided to investors.

If the asset backed commercial paper issuer/distributor violates the above-mentioned duties, thereby affecting investors' investment decisions, and this causes damage to investors, it bears tort liability for the breach of such duty of care. Moreover, since such liability of the asset backed commercial paper issuer/distributor arises from providing inaccurate information that affected investors' investment decisions, it likewise bears such liability even towards investors who were not the direct counterparts to whom it recommended the investment.

[3] Where a financial investment business entity breaches its duty to protect investors and, as a result, the investor suffers damage in the form of failing to recover the invested funds, such damage is the result of the investor bearing an unintended investment risk due to the infringement of the investor's decision-making authority regarding investment caused by the financial investment business entity's breach of its duty to protect investors. Accordingly, there is proximate causation between the financial investment business entity's breach of its duty to protect investors and the investor's damage.

[4] In principle, liability for damages arising from a tort is established at the time of the unlawful act; however, where there is a temporal gap between the time of the unlawful act and the time the damage occurs, the liability is established at the time the damage occurs, and delay damages likewise accrue from that point as the starting date. Here, "damage" refers to the pecuniary disadvantage caused by the unlawful tortious act, i.e., the difference between the property status that would have existed had the unlawful act not occurred and the current property status resulting from the unlawful act, and the "time of occurrence of damage" means the point at which such damage has actually occurred; whether damage has actually occurred must be objectively and reasonably determined in light of common social norms.

Where an investor suffers damage due to a financial investment business entity's breach of its duty to protect investors, the amount of such damage is the total amount of money paid to acquire the financial investment product, less the total amount of money or other amounts that the investor has recovered or can recover through disposal of the financial investment product or otherwise. Accordingly, the investor's damage arising from the financial investment business entity's breach of its duty to protect investors and the like actually occurs at the point when the amount not recovered becomes fixed, and the amount of such damage must likewise be calculated as of that point.

[5] In a case where Bank A, an investor who purchased asset backed commercial paper, sought damages, among other things, against Securities Company B and others, financial investment business entities that led the issuance and distribution of the commercial paper, for breach of the duty to protect investors with respect to the damage of failing to recover the invested funds, the court, while recognizing the liability for damages of Company B and others, held: Since no evidence can be found to suggest that Bank A could recover even a portion of the principal of the commercial paper after the maturity date, Bank A should be deemed to have suffered damage equivalent to the amount obtained by deducting the amount recovered or recoverable in connection with the commercial paper from the invested funds paid to acquire the commercial paper, as of the date the commercial paper matured. Nevertheless, the lower court erred in holding that Bank A's damage actually occurred as of the date the lower court's oral argument concluded, which was after the maturity date of the commercial paper, thereby committing an error of law regarding the date of occurrence of damage and the starting date for calculating delay damages.

[Judgment Below] Seoul High Court Decision 2021Na2046163 rendered on January 13, 2023

[Order]

The portion of the judgment below concerning the delay damages of the Second Conjunctive Claim, among the portions in which the Plaintiff lost against Defendant △△ Investment Securities Co., Ltd. and Defendant ◇◇◇ Investment Securities Co., Ltd., is reversed, and this portion of the case is remanded to the Seoul High Court. The remainder of the Plaintiff's appeal and the appeals of Defendant △△ Investment Securities Co., Ltd. and Defendant ◇◇◇ Investment Securities Co., Ltd. are all dismissed.

[Reasoning] The grounds of appeal are examined.

1. Outline of the Case
According to the reasoning of the judgment below and the record, the following facts may be found.

A. Status of the Parties
1) Defendant △△ Investment Securities Co., Ltd. (hereinafter "Defendant 1 Company") and Defendant ◇◇◇ Investment Securities Co., Ltd. (trade name after change: ☆☆☆ Securities Co., Ltd., hereinafter "Defendant 2 Company," and together with Defendant 1 Company, "Defendant Securities Companies") are underwriters of asset-backed commercial paper (hereinafter "the instant ABCP") issued on the basis of overseas guaranteed bonds issued by ◎◎◎ Capital, a subsidiary of the Chinese ▽▽▽ Group (English name omitted, hereinafter "Nonparty 1 Company"), and guaranteed for payment by Nonparty 1 Company.
2) The Plaintiff is an investor who purchased a portion of the instant ABCP, which had been underwritten by the Defendant Securities Companies, from ◁◁◁ Securities Co., Ltd. (hereinafter "Nonparty 2 Company").

B. Issuance of Corporate Bonds by ◎◎◎ Capital, etc.
1) On May 3, 2018, Defendant 1 Company entered into an underwriting agreement with ◎◎◎ Capital to underwrite corporate bonds with a maturity date of November 8, 2018, an interest rate of 5.55% per annum, and a principal amount of USD 150 million (hereinafter "the instant Corporate Bonds"), and on May 8, 2018, Nonparty 1 Company entered into a guarantee agreement with ◎◎◎ Capital and guaranteed payment of the instant Corporate Bonds (hereinafter "the instant Guarantee").
2) Under China's "Cross-Border Security and Foreign Exchange Administration Regulations" in effect at the time, in the case of what is known as "domestic guarantee, overseas loan" (內保外貸), where a company or individual within China provides a guarantee for a loan to a creditor outside China, an application for registration of the guarantee (hereinafter "SAFE Registration") must be filed with the State Administration of Foreign Exchange of China at the location of the guarantor within 15 business days from the date of conclusion of the guarantee agreement.
3) Nonparty 1 Company agreed to complete SAFE Registration for the instant Guarantee within 90 days from the issuance date of the instant Corporate Bonds, and if SAFE Registration was not completed within that period, Nonparty 1 Company agreed to make early repayment of the principal and interest of the instant Corporate Bonds. Nonparty 1 Company applied for SAFE Registration with the competent foreign exchange administration bureau after the issuance of the instant Corporate Bonds, but SAFE Registration was not completed within 90 days from the issuance date of the instant Corporate Bonds.

C. Issuance of the Instant ABCP
1) The Defendant Securities Companies established ▷▷▷ Co., Ltd. (hereinafter "Nonparty 3 Company"), a special purpose company, and Nonparty 3 Company entered into a business entrustment agreement with ♤♤ Life Insurance Co., Ltd. (hereinafter "Nonparty 4 Company") and an asset management entrustment agreement with Defendant 1 Company.
2) Defendant 1 Company sold the instant Corporate Bonds to Nonparty 3 Company, and on May 8, 2018, Nonparty 3 Company issued the instant ABCP based on the instant Corporate Bonds, with a principal amount of KRW 163.5 billion and a maturity date of November 9, 2018.
3) Defendant □□□ Credit Rating Co., Ltd. (hereinafter "Defendant 3 Company") and Defendant ♡♡ Credit Rating Co., Ltd. (hereinafter "Defendant 4 Company," and together with Defendant 3 Company, "Defendant Credit Rating Agencies") were commissioned to provide a credit rating for the instant ABCP, and on May 8, 2018, they assessed the instant ABCP's credit rating as A2 and disclosed this rating. As to the possibility of timely repayment of the instant ABCP, Defendant 3 Company's credit rating report stated that it was "directly linked to the creditworthiness of Nonparty 1 Company," and Defendant 4 Company's credit rating report stated that it "is directly connected to the creditworthiness of Nonparty 1 Company, which provides the payment guarantee for the guaranteed bonds."

D. Plaintiff's Purchase of the Instant ABCP
1) On May 8, 2018, Defendant 1 Company underwrote approximately KRW 103.5 billion of the instant ABCP, and Defendant 2 Company underwrote the remaining approximately KRW 60 billion.
2) On May 11, 2018, the Plaintiff purchased approximately KRW 10 billion in face value of the instant ABCP, which had been underwritten by Defendant 1 Company, from Nonparty 2 Company; this had been sold sequentially by Defendant 1 Company to ●●● Investment Securities Co., Ltd. (hereinafter "Nonparty 5 Company"), by Nonparty 5 Company to ▲▲ Securities Co., Ltd. (hereinafter "Nonparty 6 Company"), and by Nonparty 6 Company to Nonparty 2 Company.
3) On May 17, 2018, the Plaintiff purchased approximately KRW 10 billion in face value of the instant ABCP, which had been underwritten by Defendant 2 Company, from Nonparty 2 Company; this had been sold by Defendant 2 Company to Nonparty 2 Company.

E. Disclosure of Cross-Default on the Instant Corporate Bonds and Non-Repayment of the Instant ABCP
1) At the time of the issuance of the instant ABCP, Nonparty 1 Company had also guaranteed corporate bonds issued by its other subsidiaries. Corporate bonds in the amount of USD 350 million, issued by Nonparty 1 Company's subsidiary ◎◎◎ Overseas Capital Company Limited and guaranteed for payment by Nonparty 1 Company, were not fully repaid, principal and interest, on the maturity date of May 11, 2018, and the principal remained unpaid even by the grace period deadline of May 25, 2018.
2) On May 28, 2018, Bank of Communications (China), the trustee bank for Nonparty 1 Company, disclosed that a cross-default had also occurred with respect to Nonparty 1 Company's payment guarantee obligation for the instant Corporate Bonds.
3) Nonparty 1 Company failed to perform its payment guarantee obligation under the instant Guarantee, and the instant ABCP was not repaid by the principal maturity date of November 9, 2018.

2. Whether the Sale and Purchase Agreement for the Instant Corporate Bonds Did Not Exist or Was Rescinded Due to Fraud or Mistake

The court below determined, for the reasons stated in its judgment, that the sale and purchase agreement for the instant Corporate Bonds between Nonparty 3 Company and Defendant 1 Company was lawfully concluded between Nonparty 4 Company, acting as agent for Nonparty 3 Company, and Defendant 1 Company, and that it was difficult to find that Nonparty 3 Company had been defrauded by Defendant 1 Company or had been mistaken with respect to the instant Corporate Bonds, the subject matter of the sale, at the time.

This ground of appeal is merely a challenge to the fact-finding court's exclusive authority over the selection and weighing of evidence and fact-finding, and thus cannot be regarded as a legitimate ground of appeal. Moreover, in light of the relevant legal principles and the evidence lawfully adopted and examined by the court below, although there are some inappropriate aspects in the reasoning of the court below, its conclusion may be upheld, and there is no error affecting the judgment, such as violation of the rules of evidence, departure from the limits of free evaluation of evidence, contradictory reasoning regarding fraud or mistake in the sale and purchase agreement for the instant Corporate Bonds, or misapprehension of the law, as alleged in the grounds of appeal, relating to the non-existence of the sale and purchase agreement for the instant Corporate Bonds.

3. Regarding the Requirement of the Debtor's Insolvency

A. A creditor may exercise the debtor's rights, unless such rights are exclusively personal to the debtor, in order to preserve the creditor's own claim (Article 404(1) of the Civil Code (민법)). In principle, whether to exercise a right is to be determined by the right holder's free will. In order for a creditor to be able to exercise the debtor's rights by subrogation, when the debtor does not exercise the rights on his or her own, there must be a necessity to preserve the creditor's right through the exercise of such rights of the debtor. Here, the necessity of preservation must be determined comprehensively considering the content of the right the creditor seeks to preserve, the debtor's solvency where the right the creditor seeks to preserve is a monetary claim, and the relationship between the claim the creditor seeks to preserve and the right sought to be exercised by subrogation, based on whether there is a risk that the creditor will be unable to obtain full satisfaction of its own claim unless it exercises the debtor's right by subrogation, such that exercising the debtor's right by subrogation is necessary to effectively and appropriately secure the actual performance of the creditor's own claim; and where there are special circumstances such that the exercise of the subrogation right would constitute unjust interference with the debtor's free management of its property, the necessity of preservation cannot be recognized (see Supreme Court en banc Decision 2018Da879 rendered on May 21, 2020; Supreme Court en banc Decision 2019Da229202 rendered on August 25, 2022, etc.).

B. The court below determined that there was no necessity of preservation, on the grounds that there was no evidence to recognize that Nonparty 2 Company is currently insolvent, that it was insufficient to recognize a close relationship such that the exercise of the subrogated right was closely necessary for the realization or satisfaction of the claim to be preserved as alleged by the Plaintiff, or that there was a risk that the Plaintiff would fail to obtain full satisfaction of its own claim unless it exercised the subrogated right by subrogation, and there was no other evidence to recognize this.

C. Examining the reasoning of the judgment below in light of the legal principles set forth above and the record, there is no error in the above determination of the court below, such as misapprehension of the legal principles relating to the requirement of the debtor's insolvency, affecting the judgment, as alleged in the grounds of appeal.

4. Regarding the Investor Protection Duty Borne by the Defendant Securities Companies, etc.

A. Asset-backed commercial paper (ABCP) refers to commercial paper under Article 4(3) of the Financial Investment Services and Capital Markets Act (자본시장과 금융투자업에 관한 법률, hereinafter "Capital Markets Act") issued for asset securitization based on specific assets (hereinafter "underlying assets"). Unlike ordinary commercial paper, ABCP is scheduled to be repaid from the cash flow of the underlying assets, and thus the risk attendant to investment therein (hereinafter "underlying asset risk") may vary depending on the profit structure and risk factors of the underlying assets and the structure for recovering the investment through the underlying assets.

Accordingly, where a financial investment business entity substantively determines the underlying assets and securitization structure, etc., which form the basis of the ABCP, establishes a corporation to acquire the underlying assets, causes that corporation to issue ABCP based on the underlying assets, and further underwrites the paper by a method prescribed in Article 9(11) of the Capital Markets Act, thereby, in effect, leading the issuance of the ABCP and distributing it, such financial investment business entity (hereinafter "ABCP issuer/distributor") not only has a direct interest in investors' investment in the ABCP, but is also in the position of primarily generating and providing information regarding investment in the ABCP; therefore, it has a duty to generate accurate information regarding material matters, such as the profit structure and risk factors of the underlying assets and the structure for recovering the investment through the underlying assets, and to provide such information to investors. If the underlying asset is a financial investment product, the characteristics and level of risk of the financial investment product likewise affect the underlying asset risk, and thus the entity also bears a duty to generate and provide accurate information in this regard.

Furthermore, as an entity with access to information regarding the underlying assets, the ABCP issuer/distributor must, in the process of commissioning a credit rating for the ABCP, provide accurate information and data to the credit rating company so that the underlying asset risk may be properly reflected in the credit rating, and if it knew or could have known that the underlying asset risk was not properly reflected in the credit rating, it must take reasonable measures to prevent such inappropriate information from being carelessly provided to investors.

If the ABCP issuer/distributor breaches the above duties, thereby affecting investors' investment decisions and causing damage to investors as a result, it bears tort liability for breach of that duty of care. Furthermore, since such liability of the ABCP issuer/distributor arises from providing inaccurate information that affected the investor's investment decision, the entity bears the same liability even toward an investor who is not the direct counterparty to whom it recommended the investment.

B. According to the reasoning of the judgment below and the lawfully adopted evidence, the following facts may be found.
1) ◎◎◎ Capital was merely a special purpose company established for the issuance of the instant Corporate Bonds, and conducted no business other than proposing, selling, or issuing securities, or raising debt, to procure funds for Nonparty 1 Company or its affiliates, and investing or lending the funds thereby received to Nonparty 1 Company or its affiliates.
2) The instant Corporate Bonds were issued on condition of SAFE Registration for the instant Guarantee, and were subject to early repayment if SAFE Registration for the instant Guarantee was not completed within 90 days from the issuance date. Under the relevant regulations, if SAFE Registration was not completed, Nonparty 1 Company could not perform its guarantee obligation to creditors outside China using assets within China.
3) The Defendant Securities Companies determined the underlying assets and securitization structure, etc. of the instant ABCP, established Nonparty 3 Company, a special purpose company, for the issuance of the instant ABCP, and commissioned the Defendant Credit Rating Agencies to conduct a credit rating of the instant ABCP in order to distribute the instant ABCP.
4) Around the same time, ■■ Securities Co., Ltd. and ◆◆◆ Co., Ltd. (hereinafter "Nonparty 7 Company") were also pursuing transactions with Nonparty 1 Company; among these, in the course of Nonparty 7 Company's pursuit of the transaction, a draft internal review report was prepared internally pointing out "inferiority of legal and structural risk factors" regarding the SAFE Registration issue, and as a result, Nonparty 7 Company discontinued the transaction with Nonparty 1 Company.
5) Nonparty 8, an employee of Defendant 3 Company, requested Nonparty 9, an employee of Defendant 2 Company, for the purpose of the credit rating of the instant ABCP, to provide a legal opinion to the effect that "SAFE Registration will be completed without problem," and upon receiving this content, Nonparty 10, an employee of Defendant 1 Company, decided to submit a legal opinion from a Chinese law firm to Defendant 3 Company. In this process, Nonparty 8 requested revisions to the detailed wording of the legal opinion, and ultimately a legal opinion was submitted stating, in substance: "Since Nonparty 1 Company recently completed SAFE Registration in another transaction structure and the local SAFE authority responded positively, it is our assessment that the Guarantor may register this Guarantee with SAFE, provided that the Guarantor properly submits all documents required for SAFE Registration and the matter satisfies all requirements of SAFE's offshore guarantee regulations applicable thereto."
6) On April 30, 2018, upon receiving an inquiry from Nonparty 11 of ★★★ Securities Co., Ltd. regarding whether SAFE Registration would be completed, Nonparty 10 explained, in substance, that it was "100% guaranteed on the Chinese mainland," that "the SAFE Registration issue has been 100% guaranteed by the local law firm," and that "although Nonparty 7 Company and others were unable to resolve this issue, we resolved it by submitting all the materials required by the credit rating company." On the same day, Nonparty 9 likewise explained to ▼▼ Asset Management Co., Ltd. matters concerning the issuance of the credit rating report for the instant ABCP, etc.

C. The above facts are examined in light of the legal principles set forth above.
1) The underlying asset of the instant ABCP is the instant Corporate Bonds guaranteed by Nonparty 1 Company, and since ◎◎◎ Capital was merely a special purpose company, whether Nonparty 1 Company could perform its guarantee obligation was, structurally, directly connected to the possibility of repayment of the instant ABCP, and this is a major factor that could affect the underlying asset risk attendant to investment in the instant ABCP. It appears that the Defendant Credit Rating Agencies, likewise for the same reason, assessed the credit rating of the instant ABCP by linking it to the creditworthiness of Nonparty 1 Company, and assigned the A2 credit rating to the instant ABCP on the expectation that SAFE Registration for the instant Guarantee would be completed.
2) Nonparty 10 and Nonparty 9 handled detailed matters, such as exchanging views and coordinating between Defendant 3 Company and the Chinese law firm regarding revisions to the wording of the legal opinion concerning SAFE Registration necessary for the credit rating of the instant ABCP, and through this, they could sufficiently know that the "completion" of SAFE Registration was one of the important assessment factors in the credit rating of the instant ABCP. However, the conclusion of the legal opinion ultimately submitted was merely an abstract inference that "it is assessed that registration with SAFE is possible, provided that all requirements of SAFE's offshore guarantee regulations are satisfied," and it is difficult to regard it as reasonable to expect, based solely on this legal opinion, that SAFE Registration would be completed.
3) Nonparty 7 Company, which was pursuing a transaction with Nonparty 1 Company around the same time, likewise recognized the above problem and discontinued its plan. Despite knowing that the transaction being pursued by Nonparty 7 Company was being delayed, Nonparty 10 appears to have carelessly used definitive expressions such as "100% guarantee on the Chinese mainland" or "100% guarantee by the local law firm" to investors, or explained the matter by stating that "although Nonparty 7 Company and others were unable to resolve this issue, we resolved it by submitting all the materials required by the credit rating company," without taking sufficient reasonable measures to enable investors to recognize the underlying asset risk arising from the incompletion of SAFE Registration.
4) The Defendant Securities Companies were well aware not only of the process by which the credit rating was made through the above process while SAFE Registration remained incomplete, but also of the circumstance that, if SAFE Registration was not completed, Nonparty 1 Company would be unable to perform its guarantee obligation to creditors outside China using assets within China, and would have no choice but to perform its guarantee obligation only with offshore assets. In addition, considering that no materials can be found showing that whether Nonparty 1 Company could perform its guarantee obligation with offshore assets was reviewed or that a separate verification process was conducted, the Defendant Securities Companies, as issuers/distributors of the instant ABCP, knew or could have known that it was difficult to regard the credit rating assigned to the instant ABCP as properly reflecting the underlying asset risk attendant to investment in the instant ABCP, and nevertheless failed to fulfill their duty to provide accurate information and data to the Defendant Credit Rating Agencies so that the underlying asset risk could be properly reflected in the credit rating; and thereby they bear tort liability under Article 750 of the Civil Code toward the Plaintiff, who purchased the instant ABCP.

D. Although there are some inappropriate aspects in the reasoning of the court below, its conclusion recognizing the Defendant Securities Companies' breach of the investor protection duty, to the same effect, is justified, and there is no error affecting the judgment, such as misapprehension of the legal principles concerning the investor protection duty, etc., as alleged in the grounds of appeal.

5. Regarding the Causal Relationship Between the Breach of the Investor Protection Duty and the Plaintiff's Damage, etc.

Where a financial investment business entity breaches its investor protection duty and, as a result, an investor suffers damage from being unable to recover the invested funds, such damage is the result of the investor bearing an unintended investment risk due to the infringement of the investor's decision-making authority regarding the investment caused by the financial investment business entity's breach of its investor protection duty; therefore, there is proximate causation between such breach of the investor protection duty by the financial investment business entity and the investor's damage (see Supreme Court Decision 2013Da40681 rendered on December 23, 2015).

The court below determined, for the reasons stated in its judgment, that a causal relationship was recognized between the Defendant Securities Companies' breach of the investor protection duty and the Plaintiff's damage.

Examining the reasoning of the judgment below in light of the legal principles set forth above and the record, there is no error in the above determination of the court below, such as misapprehension of the legal principles concerning the causal relationship between the breach of the investor protection duty and the Plaintiff's damage and the burden of proof, or insufficiency of reasoning, affecting the judgment, as alleged in the grounds of appeal.

6. Regarding the Calculation of the Liability Limitation Ratio

The court below, for the reasons stated in its judgment, limited the Defendant Securities Companies' liability for damages to 50% of the total damage.

Examining the reasoning of the judgment below in light of the relevant legal principles and the record, there is no error in the above determination of the court below, such as misapprehension of the legal principles concerning the calculation of the liability limitation ratio, affecting the judgment, as alleged in the grounds of appeal.

7. Regarding the Date of Occurrence of Damage and the Starting Date for Calculation of Delay Damages

A. 1) Liability for damages arising from a tort is, in principle, established at the time of the wrongful act, but where there is a temporal gap between the time of the wrongful act and the time the damage occurs, it is established at the time the damage occurs, and delay damages likewise accrue from that point as the starting date for calculation (see Supreme Court Decision 2012Da29649 rendered on January 24, 2013, etc.). Here, "damage" refers to the disadvantage in property caused by the wrongful, harmful act, that is, the difference between the property status that would have existed had the wrongful act not occurred and the current property status resulting from the wrongful act (see Supreme Court en banc Decision 91Da33070 rendered on June 23, 1992, etc.), and the "time of occurrence of damage" means the point at which such damage actually occurs; whether damage has actually occurred must be determined objectively and reasonably in light of common social norms (see Supreme Court Decision 97Da4760 rendered on August 25, 1998; Supreme Court Decision 2010Da76368 rendered on July 28, 2011, etc.).
2) Where a financial investment business entity breaches its investor protection duty and, as a result, an investor suffers damage, the amount of such damage is the total amount of money paid to acquire the financial investment product minus the total amount of money, etc. that the investor has recovered or can recover through disposal of the financial investment product or by other means; accordingly, the investor's damage arising from the financial investment business entity's breach of its investor protection duty, etc. actually occurs at the point when the occurrence of the unrecovered amount becomes fixed, and the amount of such damage must likewise be calculated as of that point (see Supreme Court Decision 2015Da69853 rendered on September 28, 2018; Supreme Court Decision 2017Da6115 rendered on January 14, 2021, etc.).

B. The court below determined, for the following reasons, that the Plaintiff's damage actually occurred on the date the oral argument was closed in the court below.
1) Nonparty 1 Company remitted a total of USD 1,500,000 to Defendant 1 Company on May 29 and May 30, 2018, after the cross-default of the instant Corporate Bonds, and paid USD 5,249,991.85 to Nonparty 3 Company on December 24, 2018, in the name of interest on the instant Corporate Bonds.
2) Nonparty 1 Company announced self-rescue plans on three occasions, on August 17, 2018, November 8, 2019, and March 25, 2020, after the cross-default of the instant Corporate Bonds, but it is insufficient to recognize that any portion of the face amount of the instant ABCP had been paid up to the date the oral argument was closed in this case, and there is no other evidence to recognize this.
3) It appears that Nonparty 1 Company's financial condition rapidly deteriorated after the cross-default of the instant Corporate Bonds, and it is also difficult to predict the amount that could be recovered through Nonparty 1 Company's self-rescue plans after the date the oral argument was closed in this case.

C. Examining the matter in light of the legal principles set forth above and the record, the above determination of the court below concerning the date of occurrence of damage is difficult to uphold as is, for the following reasons.
1) The instant ABCP is a debt security, structured such that when the instant Corporate Bonds, the underlying asset, are repaid at maturity, such repayment funds are paid, through Nonparty 3 Company, to the ABCP investors. It is clear that although the maturity date of the instant ABCP arrived on November 9, 2018, the face amount was not paid to the Plaintiff.
2) Furthermore, since no material can be found suggesting that the Plaintiff could recover even a portion of the principal of the instant ABCP after maturity, it should be held that the Plaintiff suffered damage equivalent to the amount obtained by deducting the amount recovered or recoverable in connection with the instant ABCP from the investment funds paid to acquire the instant ABCP, upon the arrival of the maturity date of the instant ABCP.

D. Nevertheless, the court below determined, based solely on the reasons stated in its judgment, that the Plaintiff's damage actually occurred on the date the oral argument was closed in the court below, which was after the maturity date of the instant ABCP had passed. This determination of the court below contains an error of misapprehending the legal principles concerning the date of occurrence of damage and the starting date for calculation of delay damages, thereby affecting the judgment.

8. Scope of Reversal

The portion concerning delay damages of the claim for damages under Article 750 of the Civil Code, among the portions of the judgment below in which the Plaintiff lost against the Defendant Securities Companies, contains the grounds for reversal set forth above. Since the Plaintiff is seeking, in the alternative, a claim for damages under Article 750 of the Civil Code and a claim for damages under Article 179(1) of the Capital Markets Act against the Defendant Securities Companies, insofar as the portion concerning delay damages of the claim for damages under Article 750 of the Civil Code, among the portions of the judgment below in which the Plaintiff lost against the Defendant Securities Companies, is reversed, the corresponding portion of the claim for damages under Article 179(1) of the Capital Markets Act, which is in a relationship of alternative joinder with the former, must also be reversed together.

9. Conclusion

The portion of the judgment below concerning the delay damages of the Second Conjunctive Claim, among the portions in which the Plaintiff lost against the Defendant Securities Companies, is reversed, and this portion of the case is remanded to the court below for further hearing and determination; the remainder of the Plaintiff's appeal and the appeals of the Defendant Securities Companies are all dismissed. Accordingly, it is so decided as set forth in the Order by the unanimous opinion of the Justices participating in the decision.

Presiding Justice Noh Kyung-pil; Justice O Seok-jun (Presiding Reporting Justice); Justice Lee Suk-yeon

(State Administration of Foreign Exchange of China)에 보증사실의 등록(이하 ‘SAFE등록’이라 한다)을 신청하여야 한다.
