A company that illegally solicited deposits from the public without authorization (유사수신업체) had paid sales commissions to its sales representatives. Although these payments qualified as 'benefits given for an illegal cause' (불법원인급여) — which are normally non-recoverable under Korean civil law — the Supreme Court ruled that, exceptionally, the company's rehabilitation administrator (관리인) could recover these payments based on principles of victim protection and fairness. The administrator ultimately prevailed in this case.

Key takeaways
  • CaseThe administrator of an unauthorized deposit-taking company's rehabilitation proceedings sought to recover sales commissions previously paid to sales representatives, arguing the payments were illegal-cause benefits (불법원인급여).
  • OutcomeThe Supreme Court ruled that, exceptionally, recovery of illegal-cause payments can be allowed when necessary to protect victims and uphold principles of fairness, resulting in a win for the administrator.
  • LessonEven money paid in connection with an illegal act may, in exceptional cases, still be subject to a legitimate claim for return—especially when doing so protects victims or serves the public interest.
Issues
  • Whether a claim for return of an 'illegal cause payment' (불법원인급여) can be permitted under Korean civil law despite the general prohibition on such claims
  • The legal validity of the sales commission payment agreements made by an unauthorized deposit-taking business (유사수신업체)
  • Whether a rehabilitation administrator (관리인) has standing to bring an unjust enrichment claim (부당이득반환청구권) during rehabilitation proceedings (회생절차)
Key reasoning

Under Korean law, a person who voluntarily pays money for an illegal purpose generally cannot later demand its return, since courts will not aid claims arising from one's own wrongdoing (the 'illegal cause payment' doctrine, 불법원인급여). However, the Supreme Court held that this rule admits exceptions where enforcing it would violate the principles of equity (공평의 이념) and good faith (신의성실의 원칙). In this case, allowing the recovery of sales commissions served two important purposes: protecting the victims of the illegal deposit-taking scheme who had lost money, and deterring similar unlawful conduct in the future. Therefore, despite the payments technically being illegal-cause benefits, the Court found sufficient special circumstances to justify allowing the administrator's claim for restitution.

Summary of Decision (English, AI translation)

[1] Article 746 of the Civil Act (민법) provides that where property has been given on account of an illegal cause, the return of such benefit may not be claimed. To recognize a claim for the return of such benefit, in accordance with the general principles of unjust enrichment, even though the benefit was given on account of an illegal cause, would amount to accepting and protecting the assertion of a person who has acted contrary to the ideals of law, and would thus not only run counter to the fundamental purport of the unjust enrichment system, which is based on the idea of equity, but would also be contrary to the ideals of the legal system as a whole, including the principle of good faith. Against this background, Article 746 of the Civil Act expresses the legal ideal that a person who has engaged in conduct lacking social validity is placed outside the protective sphere of the law and may not, in any form, seek recovery of the benefit that he himself provided; this provision already embodies the idea of equity and the principle of good faith.

According to the text of Article 746 of the Civil Act, where a given benefit constitutes a benefit given on account of an illegal cause and the illegal cause exists on the part of the person who gave the benefit, the general rule is that the giver may not seek the return of such benefit given on account of an illegal cause, regardless of whether the illegal cause also exists on the part of the beneficiary, and regardless of whether the degree or illegality of the beneficiary's illegal cause is greater than that of the giver. However, where illegal causes exist on the part of both the giver and the beneficiary, if the illegality of the beneficiary is significantly greater than that of the giver, while the illegality of the giver is comparatively minor, a claim by the giver for return may be permitted in light of the principles of equity and good faith. This, too, reflects the idea of equity and the principle of good faith in the interpretation of Article 746 of the Civil Act.

Furthermore, in addition to the foregoing, where there exist special circumstances such that denying a claim for the return of a benefit given on account of an illegal cause, and ultimately recognizing the beneficiary who was involved in bringing about the illegal cause as entitled to retain the benefit, would run counter to the principles of equity and good faith, a claim against the beneficiary for the return of the benefit given on account of an illegal cause should exceptionally be permitted. Whether to allow such a claim for return must be determined in light of the purport of the system governing benefits given on account of an illegal cause, by comprehensively considering all relevant circumstances, including the purpose and background of the giving of the benefit, the content of the illegality that caused the benefit to be given, the purpose of the norm that renders the act underlying the benefit illegal and the interests it protects, the motive and details behind the involvement of the giver or the beneficiary in bringing about the illegal cause, the party seeking the return of the benefit, the party to whom the returned benefit substantively belongs, and the effect that permitting the claim for return would have on the deterrence of illegality.

[2] In a case where Company A, a stock company, raised several hundred billion won by soliciting numerous investors through a quasi-deposit-taking act (유사수신행위) on the pretext of raising funds necessary for investment in non-performing loans and real estate projects, and where B and others, together with Company A, solicited investors and received business commissions from Company A in proportion to the funds they attracted; and where, after rehabilitation proceedings were commenced against Company A, C, who was appointed as the administrator (관리인), sought against B and others the return, as unjust enrichment, of the business commissions on the ground that the agreement to pay such business commissions did not exist or was invalid: the Supreme Court held as follows. In light of the fact that the Act on the Regulation of Quasi-Deposit-Taking Acts (유사수신행위의 규제에 관한 법률) aims to protect bona fide transacting parties and to establish sound financial order by prohibiting quasi-deposit-taking acts and criminally punishing violators; that Company A, as a quasi-deposit-taking entity, agreed with its sales personnel to pay business commissions in proportion to their fund-raising performance in order to induce an unspecified large number of persons and raise greater funds, and that this agreement, given its content, character, and purpose of implementing and promoting the quasi-deposit-taking act, was contrary to good morals and other social order; that Company A paid excessive business commissions, etc. to its sales personnel in order to attract investment, and as the resulting losses accumulated, the company reached a point where it was paying business commissions out of newly raised investment funds, such that the business commissions received by B and others may be regarded as having originated from the capital contributions of the victims of the quasi-deposit-taking act; that the rehabilitation plan approved in the rehabilitation proceedings provides that all funds held by the company, including any money to be received by administrator C in the event of success in the lawsuit for return of unjust enrichment against the sales personnel and others, are to be used entirely for repayment to rehabilitation creditors before the company is liquidated, such that C's claim against B and others for the return of money delivered in the name of business commissions is aimed at securing funds for repayment to rehabilitation creditors, a substantial number of whom are victims of the quasi-deposit-taking act; and that if the claim for return were denied on the ground that the payment of the business commissions constituted a benefit given on account of an illegal cause, the victims' losses would remain uncompensated, while B and others would retain their illegal gains as they are, contrary to the normative purpose of the Act on the Regulation of Quasi-Deposit-Taking Acts, which is to protect bona fide transacting parties and establish sound financial order, whereas if the claim for return of the business commissions is recognized, the capital contributions of the victims of the quasi-deposit-taking act would be recovered for them, at least in part, which better accords with the principles of equity and good faith, and would also contribute to reducing future incentives for quasi-deposit-taking acts, thereby serving the legislative purpose of the system governing benefits given on account of an illegal cause, namely, the deterrence of illegality — in light of all these considerations, B and others may not refuse to return the business commissions on the ground of the legal doctrine concerning benefits given on account of an illegal cause. The Supreme Court held that the court below, which determined otherwise, erred in its interpretation of the law.

[Plaintiff, Appellant] Successor to litigation of the plaintiff, the administrator, upon succession from the non-party administrator of ○○○ Daebu Co., Ltd., a debtor undergoing rehabilitation (Litigation Representative: Trinity Law LLC, Attorney Jang Yeong-jae and 2 others)

[Defendant, Appellee] Defendant 1 and 1 other

[Judgment Below] Busan High Court Decision 2024Na50295 rendered on September 11, 2024

[Order]

The judgment below is reversed, and the case is remanded to the Busan High Court.

[Reasoning]

The grounds for appeal are examined.

1. Overview of the case

According to the reasoning of the judgment below and the record, the following facts may be ascertained.

A. ○○○ Daebu Co., Ltd. (hereinafter “the Company in this case”) raised several hundred billion won by soliciting numerous investors through quasi-deposit-taking activities (유사수신행위), purportedly to raise funds necessary for investment in non-performing loans and real estate business, from around July 2014 to around May 2021.

B. The Defendants, as other business operators (so-called freelancers), solicited investors together with the Company in this case, agreeing to receive sales commissions from the Company in proportion to the funds they attracted, and thereby solicited numerous investors. As sales commissions arising from such quasi-deposit-taking activities, from around December 2018 to around May 2021, Defendant 1 received 48,734,555 won and Defendant 2 received 40,812,237 won (hereinafter “the sales commissions in this case”).

C. On August 18, 2021, the Company in this case received a decision commencing rehabilitation proceedings from the Seoul Bankruptcy Court under Case No. 2021Hoehap100068. Thereafter, the Company submitted a liquidation-type rehabilitation plan providing that, if it prevailed in this case, approximately 54.7 billion won, including money to be recovered from the Defendants, would all be used to repay the rehabilitation creditors, following which the Company would be liquidated; the rehabilitation plan was approved on February 6, 2023, and the rehabilitation proceedings are currently ongoing (hereinafter “the rehabilitation proceedings in this case”).

D. The non-party, who had been appointed as the administrator of the Company in this case at the time of the decision commencing the rehabilitation proceedings in this case, filed the instant lawsuit against the Defendants and Co-Defendant 1 in the first instance and 6 others, seeking restitution of unjust enrichment on the ground of the non-existence or invalidity of the agreement to pay the sales commissions in this case. The non-party resigned while the case was pending in the first instance, and on October 17, 2022, the Plaintiff was appointed as the new administrator of the Company in this case and succeeded to the instant litigation procedure.

2. As to the first ground for appeal

It violates the principle of party presentation (변론주의) to recognize and make a determination based on facts that the parties have not asserted, with respect to material facts constituting legal requirements (see Supreme Court Decision 81Daka550 rendered on April 27, 1982; Supreme Court Decision 2020Da289989 rendered on March 25, 2021, etc.). Where a party fails to clearly dispute, in oral argument, facts asserted by the opposing party, such facts shall be deemed admitted (Article 150(1) of the Civil Procedure Act (민사소송법)).

The court below determined that it could not be recognized that the Company in this case was the party that paid the sales commissions in this case to the Defendants. However, according to the record, the Plaintiff sought restitution of unjust enrichment in the complaint in this case on the premise that the Company in this case had paid the sales commissions in this case to the Defendants, and the Defendants did not dispute the fact that they received sales commissions from the Company in this case or the amount thereof, and it is difficult to find that they disputed this in light of the overall purport of the oral arguments either; therefore, this should be deemed admitted pursuant to Article 150(1) of the Civil Procedure Act.

Nevertheless, the court below made a determination to the contrary based on facts that the parties had not even asserted. Such determination by the court below contains an error that violated the principle of party presentation and affected the judgment. The argument in this part of the grounds for appeal pointing this out is well-founded.

3. As to the second ground for appeal

A. Relevant legal principles

1) Article 746 of the Civil Act (민법) provides that where property has been given for an illegal cause, restitution of the benefit may not be claimed. If restitution were to be recognized in accordance with the general principles of unjust enrichment even where the payment was made for an illegal cause, this would amount to endorsing and protecting the assertion of a person who has acted contrary to the ideals of the law, which would not only run counter to the fundamental purpose of the unjust enrichment system, which is grounded in the ideal of fairness, but would also violate the principle of good faith and other ideals of the legal system as a whole. Against this background, Article 746 of the Civil Act expresses the legal ideal that a person who has engaged in conduct lacking social validity is placed outside the protective sphere of the law, such that he or she may not, in any form, seek the recovery of his or her own performance (see Supreme Court en banc Decision 79Da483 rendered on November 13, 1979; Supreme Court Decision 2024Meu13669, 13676 rendered on October 16, 2025, etc.); this provision already embodies the ideal of fairness and the principle of good faith.

2) According to the text of Article 746 of the Civil Act, where a given performance constitutes an illegal-cause payment (불법원인급여) and the payer bears the illegal cause, the payer may not, in principle, seek restitution of that illegal-cause payment, regardless of whether the beneficiary also bears an illegal cause or whether the degree or illegality of the beneficiary’s illegal cause is greater than that of the payer. However, where both the payer and the beneficiary have an illegal cause, and the beneficiary’s illegality is significantly greater than that of the payer, while the payer’s illegality is minor in comparison, the payer’s claim for restitution may be permitted in light of the principles of fairness and good faith (see Supreme Court Decision 93Da12947 rendered on December 10, 1993, etc.). This, too, reflects the ideal of fairness and the principle of good faith in the interpretation of Article 746 of the Civil Act.

3) Furthermore, even beyond the foregoing, where there exist special circumstances such that denying a claim for restitution of an illegal-cause payment and ultimately allowing the beneficiary, who was involved in creating the illegal cause, to retain the payment would run counter to the ideal of fairness and the principle of good faith, it should be held that, exceptionally, a claim for restitution of the illegal-cause payment against the beneficiary is permitted. Whether to permit such a claim for restitution should be determined by comprehensively considering all relevant circumstances, in light of the purpose of the illegal-cause payment system, including the purpose and circumstances of the payment, the content of the illegality underlying the payment, the purpose and protected interests of the norm that renders the underlying act illegal, the motive and content of the payer’s or beneficiary’s involvement in creating the illegal cause, the subject seeking restitution of the payment, the person to whom the restituted payment substantively belongs, and the effect that permitting the claim for restitution would have on the deterrence of illegality.

B. Determination

1) Examining the facts set forth above in light of the foregoing legal principles, it should be held that, with respect to the Plaintiff’s claim for restitution of the sales commissions in this case, the Defendants may not refuse restitution on the ground of the doctrine of illegal-cause payment. The specific reasons are as follows.

A) Quasi-deposit-taking activity refers to conduct engaged in as a business of raising funds from an unspecified large number of persons, such as by receiving contributions upon an undertaking to pay in the future the full amount of the contribution or an amount exceeding it, without obtaining the authorization or permission required under relevant statutes or without making the required registration or notification (Article 2 of the Act on the Regulation of Quasi-Deposit-Taking Activities (유사수신행위의 규제에 관한 법률, hereinafter “the Quasi-Deposit-Taking Regulation Act”)). The Quasi-Deposit-Taking Regulation Act prohibits quasi-deposit-taking activity and the making of representations or advertisements concerning quasi-deposit-taking business, and imposes criminal punishment on violators thereof, with the purpose of protecting bona fide transacting parties and establishing sound financial order (Articles 1, 3, 4, and 6).

B) The Company in this case, as a quasi-deposit-taking business entity, agreed with sales personnel including the Defendants to pay sales commissions in proportion to their fund-raising performance, for the purpose of inducing an unspecified large number of persons and raising more funds by encouraging sales personnel including the Defendants to solicit investment funds. Such agreement was intended to carry out and promote conduct that is criminally punishable under the Quasi-Deposit-Taking Regulation Act, namely, quasi-deposit-taking activity, and through it, an unspecified large number of victims who entered into investment contracts due to the quasi-deposit-taking activity were produced; in light of its content, character, and purpose, this appears to be contrary to good morals and other social order and to bear conspicuous antisocial character.

C) The Company in this case paid excessive sales commissions to sales personnel and excessive dividends to investors in order to attract investment, and as the resulting losses accumulated, it reached a point where sales commissions were paid out of newly raised investment funds. Accordingly, it may be said that the sales commissions in this case received by the Defendants originated from the contributions of the victims of the quasi-deposit-taking activity.

D) The rehabilitation plan approved after the commencement of the rehabilitation proceedings in this case does not provide for the continuation of the business of the Company in this case, but rather provides that all funds, including money to be recovered should the Plaintiff prevail in this lawsuit and in other actions for restitution of unjust enrichment against sales personnel and others, together with funds held by the Company, shall be used entirely to repay the rehabilitation creditors, after which the Company in this case shall be liquidated. Accordingly, the Plaintiff’s claim against the Defendants for restitution of the money delivered in the name of sales commissions is intended to secure funds, pursuant to the approved rehabilitation plan, for repayment of the rehabilitation creditors, a substantial number of whom are victims of the quasi-deposit-taking activity.

E) Nevertheless, if the claim for restitution were denied on the ground that the payment of the sales commissions in this case constitutes an illegal-cause payment, the victims’ harm would remain uncompensated, while the Defendants, who directly carried out the quasi-deposit-taking activity, would retain the unlawful gains based on the victims’ contributions as they are. This runs counter to the normative purpose of the Quasi-Deposit-Taking Regulation Act, which is to protect bona fide transacting parties and establish sound financial order. Conversely, if the claim for restitution of the sales commissions in this case is recognized, the contributions of the victims of the quasi-deposit-taking activity, who constitute the majority of the rehabilitation creditors, would be partially restored to them pursuant to the rehabilitation plan approved in the rehabilitation proceedings in this case, which would produce a result more consonant with the ideal of fairness and the principle of good faith.

F) In a situation where the sales commissions to be restituted may thus be attributed to the victims of the quasi-deposit-taking activity, if the claim for restitution of the sales commissions is nevertheless denied, the Defendants would be able to enjoy the benefit of retaining the sales commissions received as consideration for attracting investment, notwithstanding the illegality of the quasi-deposit-taking activity, thereby creating an incentive to engage in further quasi-deposit-taking activity even after this case. Conversely, if the claim for restitution of the sales commissions is recognized, the Defendants would bear the burden that, even if they engage in the future in solicitation of investment funds constituting quasi-deposit-taking activity and receive sales commissions therefor, they may in the future be required to restitute such commissions, and thus the incentive to engage in quasi-deposit-taking activity would be reduced; this may accordingly be said to contribute to the deterrence of illegality, which is the legislative purpose of the illegal-cause payment system.

2) Nevertheless, the court below rejected the Plaintiff’s claim for restitution of the sales commissions in this case on the ground that the payment of the sales commissions in this case constituted an illegal-cause payment. Such determination by the court below contains an error that misapprehended the legal principles concerning illegal-cause payments and affected the judgment. The argument in this part of the grounds for appeal pointing this out is well-founded.

4. Conclusion

The judgment below is reversed, and the case is remanded to the court below for further hearing and determination, and it is so ordered by the unanimous opinion of the participating Justices, as stated in the Order.
