This Supreme Court of Korea (대법원) ruling addresses the validity of comprehensive wage arrangements (포괄임금제), where a fixed salary is paid to cover both regular wages and statutory allowances like overtime pay, without separate calculation. The Court held that such arrangements are not permitted in ordinary employment situations where working hours can be readily calculated. Furthermore, if the fixed amount paid under a comprehensive wage arrangement falls short of what the Labor Standards Act (근로기준법) requires, the employer must pay the shortfall.

Key takeaways
  • CaseAn employer applied a comprehensive wage arrangement (포괄임금제) to ordinary employees—whose working hours were not difficult to calculate—and paid a fixed amount intended to cover overtime and other statutory allowances.
  • OutcomeThe Supreme Court ruled that such a comprehensive wage arrangement cannot be applied absent special circumstances, and ordered the employer to pay the difference between the fixed amount paid and the statutory minimum required under the Labor Standards Act.
  • LessonEmployers should not casually apply comprehensive wage arrangements to ordinary employees; instead, they must accurately calculate and pay statutory allowances based on actual hours worked.
Issues
  • Whether a comprehensive wage arrangement (포괄임금제) is permissible when working hours can be readily and clearly calculated
  • Whether an employer must pay the difference when statutory allowances paid under a comprehensive wage arrangement fall short of the amounts required by the Labor Standards Act (근로기준법)
Key reasoning

The Court reasoned that comprehensive wage arrangements (포괄임금제) are only justified in special circumstances where calculating actual working hours is genuinely difficult, such as in monitoring or intermittent work (감시·단속적 근로). In ordinary cases where working hours can be clearly tracked, employers must calculate and pay statutory allowances (법정수당) such as overtime pay based on actual hours worked. This is grounded in the mandatory nature (강행성) of the Labor Standards Act, meaning its minimum standards cannot be waived by agreement. The Court also applied the principle of complementary application (보충성 원칙), meaning that even under a comprehensive wage agreement, if the amount paid is less than what the law requires, the employer remains obligated to pay the difference. In short, a lump-sum wage arrangement cannot be used to circumvent statutory minimum protections for workers whose hours are measurable.

Summary of Decision (English, AI translation)

[1] Unless there are special circumstances such as monitoring or intermittent work where it is difficult to calculate working hours, and absent other special circumstances showing that the provisions on working hours under the Labor Standards Act (근로기준법) cannot be applied as they are, the principle of wage payment according to working hours under the Labor Standards Act must be applied. Therefore, even in such cases, entering into a wage payment contract in the form of a comprehensive wage system (포괄임금제) that pays a fixed amount as statutory allowances regardless of the number of working hours cannot be permitted insofar as it violates the regulations on working hours prescribed by the Labor Standards Act.

[2] Article 22 of the former Labor Standards Act (wholly amended by Act No. 8372 on April 11, 2007) (current Article 15) provides that an employment contract stipulating working conditions that fall short of the standards set by the Labor Standards Act shall be void only with respect to that portion (the mandatory nature of the Labor Standards Act), and that the standards set by the Labor Standards Act shall apply to fill the void portion (the supplementary nature of the Labor Standards Act). Accordingly, where a comprehensive wage system arrangement is agreed upon even though there are no circumstances such as difficulty in calculating working hours, and the fixed amount of statutory allowances included in the comprehensive wage falls short of the statutory allowances calculated according to the standards set by the Labor Standards Act, the portion of the wage payment contract based on the comprehensive wage system corresponding to such shortfall shall be void as being disadvantageous to the worker, and the employer is obligated to pay the worker the shortfall in statutory allowances pursuant to the principles of the mandatory nature and supplementary nature of the Labor Standards Act.

[Defendant, Appellant] Republic of Korea
[Judgment Below] Seoul Central District Court Judgment 2007Na2861, decided December 13, 2007

[Order]

The appeal is dismissed. The costs of the appeal shall be borne by the Defendant.

[Reasoning] The grounds for appeal are examined.

Article 24 of the Labor Standards Act (Act No. 8293, prior to the amendment of January 26, 2007) (currently Article 17 of the current Act) provides that "an employer shall, at the time of concluding an employment contract, clearly state to the worker the wages, working hours, and other working conditions. In such cases, matters concerning the composition items, calculation method, and payment method of wages shall be clearly stated in the manner prescribed by Presidential Decree," and Article 55 of the same Act (prior to the wholesale amendment by Act No. 8372 of April 11, 2007) (currently Article 56 of the current Act) provides that for overtime work and night work (work between 10:00 p.m. and 6:00 a.m.) or holiday work performed in excess of the standard working hours prescribed in Articles 49, 50, 51, and the main text of Article 67 of the same Act, pursuant to Articles 52, 58, and the proviso of Article 67 of the same Act, wages calculated by adding at least 50/100 of the ordinary wage shall be paid. In light of these provisions and Article 6 of the Enforcement Decree of the Labor Standards Act (prior to the wholesale amendment by Presidential Decree No. 20142 of June 29, 2007), which sets forth provisions regarding ordinary wages, it is a principle that, when concluding an employment contract, an employer shall determine a basic wage and, on that basis, calculate and pay statutory allowances such as overtime allowance, night work allowance, and holiday work allowance corresponding to overtime work, night work, holiday work, etc., according to the actual working hours of the worker.

This principle of wage payment method is premised on the calculation of the number of working hours. However, there may be exceptional cases, such as monitoring/intermittent work, where, in consideration of the working hours, form of work, and nature of the duties, calculation of working hours is recognized as difficult. In such cases, even if an employer and a worker conclude a so-called comprehensive (lump-sum) wage payment contract, whereby, without calculating the basic wage in advance, an amount including even the statutory allowances is set as the monthly salary or daily wage, or whereby, while calculating the basic wage in advance, a certain amount is set as the various statutory allowances without distinguishing among them, to be paid regardless of the number of working hours, such a contract shall be valid if it does not otherwise disadvantage the worker and is recognized as reasonable in light of various circumstances (see Supreme Court Decision 95Da4056, decided April 25, 1997; Supreme Court Decision 96Da38995, decided July 22, 1997; Supreme Court Decision 99Da2881, decided May 28, 1999; Supreme Court Decision 2002Da16958, decided June 14, 2002; Supreme Court Decision 2003Da66523, decided August 19, 2005, etc.).

However, if it is not a case in which calculation of working hours is difficult as described above, then, absent special circumstances suggesting that the provisions on working hours under the Labor Standards Act should not otherwise be applied as they are, the principle of wage payment according to working hours under the Labor Standards Act as discussed above must be applied. Therefore, even in such a case, concluding a comprehensive (lump-sum) wage payment contract whereby a fixed amount is paid as statutory allowances regardless of the number of working hours cannot be permitted insofar as it violates the regulations on working hours prescribed by the Labor Standards Act.

Meanwhile, Article 22 of the former Labor Standards Act (prior to the wholesale amendment by Act No. 8372 of April 11, 2007) (currently Article 15 of the current Act) provides that an employment contract setting working conditions that fall short of the standards prescribed by the Labor Standards Act shall be null and void only with respect to that portion (the mandatory nature of the Labor Standards Act), while the invalidated portion shall be governed by the standards prescribed by the Labor Standards Act (the supplementary nature of the Labor Standards Act). Accordingly, where a comprehensive (lump-sum) wage payment contract is concluded despite the absence of circumstances such as difficulty in calculating working hours, and the fixed statutory allowances included in the lump-sum wage fall short of the statutory allowances calculated according to the standards prescribed by the Labor Standards Act, the portion of the comprehensive wage payment contract corresponding to such shortfall shall be null and void as being disadvantageous to the worker, and the employer shall be obligated to pay the worker the shortfall in statutory allowances pursuant to the principles of the mandatory and supplementary nature of the Labor Standards Act.

In Supreme Court Decision 95Da4056, decided April 25, 1997, and Supreme Court Decision 2002Da16958, decided June 14, 2002, cited in the grounds for appeal, it was held that "the various allowances received by the plaintiffs as comprehensive (lump-sum) wages should be regarded as including all statutory allowances under the provisions of the Labor Standards Act, and thus the court below erred in its understanding of the law on the comprehensive wage system by recognizing the plaintiffs' specific overtime working hours, etc., as stated in its holding, and ordering payment of the difference between the various allowances paid as comprehensive wages and the allowances under the provisions of the Labor Standards Act as recognized by the court below." However, each of the cases addressed in the above Supreme Court decisions falls under a case where, in light of the form of work or the nature of the duties, etc., "calculation of working hours is difficult," and the legal principle held in the above Supreme Court decisions should be understood as meaning that, "in a case falling under circumstances where calculation of working hours is difficult as described above, a claim for the difference with statutory allowances under the Labor Standards Act premised on the calculation of working hours being possible, contrary to such circumstances, cannot be accepted." Furthermore, this does not go so far as to include the meaning that "even in cases other than those in which calculation of working hours is difficult, a comprehensive (lump-sum) wage contract setting statutory allowances at a fixed amount regardless of actual working hours may be validly formed." Therefore, the above Supreme Court decisions concern facts different from the instant case and are not appropriate to be invoked in this case.

The court below, premised on the fact that, in light of the plaintiffs' form and content of work, etc., the instant case does not fall under a case where calculation of working hours is difficult, etc., found that the wage system for the plaintiffs was a comprehensive (lump-sum) wage system whereby a fixed amount of overtime allowance was to be paid, and that, after around May 1, 2004, when payment of "service charges" was suspended, the overtime allowance received by the plaintiffs fell significantly short of the overtime allowance calculated according to the standards of the Labor Standards Act. On this basis, the court below determined that the portion of the comprehensive wage agreement corresponding to such shortfall was null and void, and that the Defendant was obligated to pay the plaintiffs the wages for that portion.

Upon examination in light of the legal principles set forth above and the record, the above determination by the court below is deemed justified and may be upheld.

The judgment below does not contain an error, as argued in the grounds for appeal, of making a determination contrary to Supreme Court precedent regarding the calculation of statutory allowances under a comprehensive wage system.

Therefore, the appeal is dismissed, and it is so decided as set forth in the Order by the unanimous opinion of the participating Justices.
