This Supreme Court case established the principle that a labor union (노동조합) cannot waive a worker's already-vested, specific wage claim without individual consent from that worker. The case arose when Korean Air employees disputed the non-payment of their April and December 1998 bonuses, and the Supreme Court dismissed the appeal, ruling that the bonus claims must be honored according to established labor-management practice regarding payment dates.

Key takeaways
  • CaseIncident: Korean Air employees sued the company for unpaid bonuses after not receiving their 1998 bonus payments.
  • OutcomeResult: The Court ruled that the labor union could not waive the employees' already-accrued bonus claims without their individual consent, and that the company must adhere to the payment date established by labor-management practice.
  • LessonLesson: Once wages have already accrued, they become the worker's personal property and cannot be unilaterally waived by the union; established bonus payment practices must be strictly observed.
Issues
  • Whether a labor union can waive a worker's already-vested wage claim without obtaining that worker's individual consent
  • The point in time at which a bonus payment claim becomes legally concrete and specific
  • The standard for determining the payment due date for bonuses calculated over a period exceeding one month
Key reasoning

Once a wage claim (임금지급청구권) becomes specific and concrete, it falls within the worker's private property rights, meaning a labor union cannot waive it merely through a collective bargaining agreement (단체협약) without the individual worker's consent or specific authorization. As a general rule, bonus claims calculated over a period exceeding one month become due by the last day of that period. However, if a specific payment date has been established as a consistent labor-management practice (노사관행), that practice must be followed instead of the general rule. Applying this to the facts, the Court found that the union could not have validly waived the workers' already-accrued bonus claims without their consent.

Summary of Decision (English, AI translation)

[1] Under the principle of autonomy of collective agreements, a labor union may conclude with an employer not only a collective agreement that changes working conditions favorably but also one that changes them unfavorably; therefore, absent special circumstances such as where a collective agreement changing working conditions unfavorably is so lacking in reasonableness that it can be seen as deviating from the purposes of the labor union, such an agreement between labor and management cannot be deemed invalid, and the labor union need not obtain individual consent or authorization from the workers in advance in order to conclude such an agreement. However, since wages (including bonuses) for which the right to claim payment has already specifically arisen have moved into the private property sphere of the worker and are left to the worker's disposition, a labor union cannot, by means of a collective agreement with the employer alone, engage in a disposition such as waiver or deferral of payment thereof unless it has obtained individual consent or authorization from the workers.

[2] As to when a bonus paid to a worker under a collective agreement, etc. becomes a specific right to claim payment, Article 42(2) of the Labor Standards Act (근로기준법) provides that "wages shall be paid at least once a month on a fixed date," while its proviso states, "provided, however, that this shall not apply to wages paid temporarily, allowances, or other equivalent items, or wages prescribed by Presidential Decree." Article 18 of the Enforcement Decree of the same Act (같은법시행령) provides that "'wages paid temporarily, allowances, or other equivalent items, or wages prescribed by Presidential Decree' under the proviso of Article 42(2) of the Act means the following," and item 3 thereof lists "incentive payments, efficiency allowances, or bonuses calculated on grounds spanning a period exceeding one month." Accordingly, among the bonuses paid by an employer to a worker as remuneration for labor, those calculated over a period exceeding one month need not necessarily be paid on a fixed date, and in principle it suffices to pay them by the last day of the bonus calculation period. However, where it has become an established labor-management practice to pay such bonuses on a fixed date of the relevant month, payment must be made in accordance with that practice.

[3] This is a case holding that, since a bonus paid periodically at intervals of two months has the nature of wages for two months' labor, but its calculation period exceeds one month and it is difficult to find an established labor-management practice regarding its payment timing, it is reasonable to deem the payment date of a bonus paid every two months to be the last day of the relevant month.

[Reasoning]

1. Summary of the Judgment Below

The court below, citing the judgment of the first instance, found as follows: According to the collective agreement (단체협약) dated April 1, 1998 concluded between the Defendant company and the labor union of the Defendant company (hereinafter referred to only as the "Labor Union"), bonuses equivalent to the sum (100%) of basic pay, weekly holiday allowance, seniority allowance, and commuting allowance were to be paid every February, April, June, August, October, and December, as well as at Chuseok (Korean Thanksgiving). The Defendant company and the Labor Union concluded a wage agreement (임금협약) on May 7, 1998, providing that "in consideration of the Defendant company's difficult business circumstances, the 100% bonus for April 1998 shall not be paid, and if the 1998 business performance results in a deficit, the additional 100% bonus for December 1998 shall also not be paid." Additionally, as a result of the labor-management council and collective bargaining for the fourth quarter of 1998 held on December 18, 1998, the parties reached an agreement providing that "50% of the December 1998 bonus shall be paid." The court below found that, pursuant to the above agreements, the Defendant company did not pay the 100% bonus for April 1998 and the 50% (unpaid portion) of the bonus for December 1998 to its employees, namely the Plaintiff (Selected Party, hereinafter referred to only as the "Plaintiff") and the selected parties (hereinafter referred to as "the Plaintiff et al.").

As to the Plaintiff's argument that the wage agreement of May 7, 1998, which provided for non-payment of the 100% bonus for April 1998, constituted an agreement to waive bonus payment claims that had already been individually vested in each employee, and was therefore invalid absent individual authorization from the employees, the court below found, based on the evidence adopted, as follows: The Defendant company requested labor-management consultation with the Labor Union around March 1998 to conclude a new collective agreement and wage agreement to replace the 1996 collective agreement that was to expire on March 31 of that year, but the Labor Union repeatedly postponed this. Since the Defendant company asserted that a certain degree of workforce adjustment was unavoidable due to the IMF economic crisis, it was a precondition for the Labor Union to conclude an employment stability agreement that would avoid mass layoffs. Ultimately, it was not until May 7, 1998 that the 1998 collective agreement, together with a wage agreement providing that the 100% bonus for April 1998 would not be paid and that the 100% bonus for December 1998 might also not be paid depending on business performance, and an employment stability agreement providing that union members would not be dismissed for business reasons, were simultaneously drafted and signed and sealed. In light of the circumstances of the conclusion of the collective agreement and wage agreement as found above, together with the fact that the bonus provision of the collective agreement first set the total annual bonus amount at 700% and, for convenience, merely designated the payment timing as February, April, June, August, October, and December, as well as Chuseok, of each year—there being no basis to necessarily interpret the "April bonus" as compensation specifically for work performed from March 1 to April 30—the court below held that it could not be said that the Plaintiff et al. immediately acquired a claim for payment of the 100% April 1998 bonus against the Defendant merely because the previous collective agreement remained effective under the automatic extension provision upon expiration of its term on March 31, 1998. Rather, the court below found it reasonable to interpret that, since the above collective agreement and wage agreement all took effect retroactively as of April 1, 1998, the claim for payment of the April 1998 bonus never arose in the first place, and thus rejected the Plaintiff's above argument. Meanwhile, as to the Plaintiff's argument of invalidity of similar purport concerning the wage agreement providing for payment of only 50% of the December 1998 bonus, the court below did not render a judgment on this point, and instead rejected the Plaintiff's invalidity argument regarding that agreement solely on other grounds.

2. Determination on the Grounds of Appeal

A. Under the principle of collective bargaining autonomy (협약자치의 원칙), a labor union may conclude with an employer not only a collective agreement that changes working conditions favorably but also one that changes working conditions unfavorably. Therefore, absent special circumstances such as where a collective agreement changing working conditions unfavorably is so lacking in reasonableness as to be considered to have departed from the purposes of the labor union, such an agreement between labor and management cannot be deemed invalid, and the labor union need not obtain prior individual consent or authorization from the employees for such an agreement. However, as for wages (including bonuses) for which a specific claim for payment has already arisen, since such wages have moved into the private property domain of the employee and are subject to the employee's own disposal, the employer and the labor union cannot, by a collective agreement alone, engage in a disposal act such as waiver or deferral of payment thereof unless the labor union has obtained individual consent or authorization from the employees—this is as argued in the grounds of appeal (see Supreme Court Decision 99Da67536 rendered on September 29, 2000).

B. However, as to when a bonus paid to an employee pursuant to a collective agreement, etc. becomes a specific claim for payment, Article 42(2) of the Labor Standards Act (근로기준법) provides that "wages shall be paid at least once a month on a fixed date," but its proviso provides that "this shall not apply to wages, allowances, or other equivalent payments paid temporarily, or to wages prescribed by Presidential Decree." Article 18 of the Enforcement Decree of the same Act (같은법시행령) provides that "'wages, allowances, or other equivalent payments paid temporarily, or wages prescribed by Presidential Decree' under the proviso of Article 42(2) of the Act shall mean the following," and subparagraph 3 thereof provides for "incentive pay, efficiency allowance, or bonuses calculated based on reasons spanning a period exceeding one month." Accordingly, among bonuses paid by an employer to an employee as compensation for labor, those calculated over a period exceeding one month need not necessarily be paid on a fixed date, and in principle it is sufficient if payment is made by the last day of the bonus payment period. However, where the practice of paying such a bonus on a fixed date within the relevant month has become an established labor-management practice, payment must be made in accordance with that practice.

C. Examining the present case, the record shows that not only the 1998 collective agreement but also the previous collective agreement between the Defendant company and the Labor Union provided for the payment of a 100% bonus in February, April, June, August, October, and December, as well as at Chuseok. Prior to December 1997, the Defendant company generally paid bonuses, except the Chuseok bonus, on the 21st day of the relevant month, which was also the payment date for basic pay and various allowances, although the payment date sometimes varied. In particular, the February 1998 bonus was paid on February 27 pursuant to an agreement with the Labor Union due to changes in economic conditions and deteriorating business performance resulting from the IMF regime. The April 1998 bonus was not paid on the 21st of that month; rather, collective bargaining concerning the collective agreement and wage agreement continued, and on April 29, 1998, the Defendant company and the Labor Union reached an agreement that the April 1998 bonus would not be paid and that the matter would be governed by the outcome of the labor-management agreement to be reached in the wage agreement regarding the annual total bonus payment rate and payment timing, thereby agreeing to defer payment of the April 1998 bonus. In light of the foregoing, it is reasonable to view the bonuses other than the Chuseok bonus, which were paid regularly at two-month intervals, as having the character of wages for two months of work; however, since the calculation period exceeds one month, there was no need to pay them on a fixed date. Furthermore, in light of the circumstances noted above, it is difficult to find that a practice of paying bonuses together with basic pay and various allowances on the 21st of the relevant month persisted at the Defendant company. Accordingly, it is reasonable to view the payment date of the bonus paid every two months at the Defendant company as the last day of the relevant month. (In this case, where the 1998 collective agreement was concluded on May 7, after the expiration of the term of the previous collective agreement on March 31, 1998, the previous collective agreement remained effective from April 1, 1998 pursuant to Article 32(3) of the Trade Union and Labor Relations Adjustment Act (노동조합및노동관계조정법), such that the bonus should have been paid for April 1998 in accordance with that collective agreement; it is merely that, as discussed below, no specific claim for payment had arisen even by May 7. Nevertheless, the court below erred in holding that because the 1998 collective agreement was not concluded until May 7, no bonus payment claim arose before that date, and in determining that, because the wage agreement of the same date providing for non-payment of the April bonus took effect retroactively as of April 1, 1998, the claim for payment of the April bonus never arose in the first place. The court below's further statement that there is no basis to necessarily interpret the "April bonus" as compensation specifically for work performed from March 1 to April 30 is likewise erroneous.)

D. On the premise of the above view regarding the bonus payment date, examining first the April 1998 bonus: as noted above, the Defendant company and the Labor Union had already reached a valid agreement on April 29, 1998—before the last day of April, on which date the specific claim for payment of the April 1998 bonus would have arisen—to defer payment of the April 1998 bonus until the wage agreement was concluded. Therefore, it cannot be said that a specific claim of the employees for payment of the April 1998 bonus had arisen by May 7, 1998, when the wage agreement providing for non-payment of the April 1998 bonus was concluded. Accordingly, it cannot be said that the wage agreement of May 7, 1998, providing for non-payment of the April 1998 bonus, constituted a waiver or deferral of a specific wage claim that had already arisen in favor of the Plaintiff et al.

E. Furthermore, since the payment date of the December 1998 bonus should be viewed as the last day of December, as noted above, it cannot be said that a specific claim for payment of the December 1998 bonus had arisen by December 24, 1998—the date on which, as found in the record, the wage agreement providing for payment of only 50% of the December bonus was concluded (the court below found that the wage agreement was concluded on December 18, 1998, but this appears to be an erroneous finding of fact). Accordingly, it cannot be said that the wage agreement of December 24, 1998 constituted a waiver or deferral of a specific wage claim that had arisen in favor of the Plaintiff et al. (However, it was erroneous for the court below to fail to render a judgment on this point despite the Plaintiff's explicit argument thereon.)

F. Accordingly, the Plaintiff's argument that the wage agreements of May 7, 1998 and December 24, 1998 are each invalid on the ground that they constituted a waiver of the Plaintiff et al.'s specific wage claims without individual authorization is without merit. Although the judgment below contains the errors in fact-finding and determination, as well as the omission of judgment, noted above, its conclusion rejecting the Plaintiff's argument to the above effect and dismissing the Plaintiff's claims for payment of the April and December 1998 bonuses is justified. Therefore, the above errors do not affect the outcome of the judgment, and the grounds of appeal pointing out such errors cannot be accepted.

3. Accordingly, the appeal is dismissed, and it is so decided by the unanimous opinion of the Justices participating in the judgment, as set forth in the Order.
