This case involved a trademark holder in the food industry whose registered trademark went unused for over three years after the holder was declared bankrupt. The Korean Supreme Court held that bankruptcy alone does not constitute a 'justifiable reason (정당한 이유)' for non-use of a registered trademark. Since the bankruptcy trustee (파산관재인) could have obtained court approval to continue business operations but made no attempt to do so, the Court ruled that cancellation of the trademark registration could not be avoided, ultimately dismissing the plaintiff's appeal and finalizing the cancellation decision.

Key takeaways
  • CaseA food company trademark holder went bankrupt and left its registered trademark unused for more than three years.
  • OutcomeThe Supreme Court ruled that bankruptcy alone is not a justifiable excuse for non-use, especially since the bankruptcy trustee never attempted to continue operations or use the mark.
  • LessonBankruptcy trustees must actively attempt to preserve or exercise trademark rights (e.g., seeking court approval to continue business) to avoid losing the trademark registration due to non-use.
Issues
  • What qualifies as a 'justifiable reason' for non-use of a registered trademark: objective/external unavoidable circumstances versus subjective/internal circumstances
  • The standard for evaluating justifiable non-use when the trademark holder has been declared bankrupt (assessed based on the bankruptcy trustee's conduct)
  • Whether trademark cancellation can be avoided when the bankruptcy trustee sold the trademark rights but the registration transfer had not yet been completed
Key reasoning

To qualify as a 'justifiable reason' for non-use of a registered trademark, there must be an objective and external unavoidable circumstance beyond the control of the party entitled to use the mark—mere commencement of bankruptcy proceedings does not meet this standard. Once bankruptcy is declared, the bankruptcy trustee (파산관재인) holds the authority to manage and dispose of the trademark rights, so the justifiability of non-use must be assessed from the trustee's perspective rather than the original trademark holder's. In this case, the trustee never attempted to continue business operations (even though court approval for such continuation was available) or to use the trademark in any way. Because the trustee took no action to preserve or exercise the trademark rights, the Court found no justifiable reason for the non-use, warranting cancellation of the registration.

Summary of Decision (English, AI translation)

[1] Article 119(1)(iii) of the Trademark Act (상표법) provides, as one of the grounds for trial to cancel trademark registration, the case where none of the trademark holder, exclusive licensee, or non-exclusive licensee has, without justifiable reason, used the registered trademark in Korea on its designated goods for three or more consecutive years prior to the filing date of the request for the trial to cancel. This provision imposes on the trademark holder or licensee an obligation to use the registered trademark on the designated goods, and allows for the cancellation of trademark registration as a sanction where the registered trademark has not been used for a certain period of time. The purpose of this provision is to remedy the ill effects arising from the adoption of the registration system, under which a trademark may be registered regardless of use so long as certain requirements are met, and to expand the opportunity for others to select trademarks.

Article 119(3) of the Trademark Act provides that, unless the respondent in a trial to cancel trademark registration proves that the registered trademark was legitimately used in Korea on at least one of the designated goods related to the request for the trial within three years prior to the filing date of the request, the trademark holder cannot avoid cancellation of the trademark registration with respect to the designated goods related to the request for cancellation; however, where the respondent proves that there was a justifiable reason for non-use, cancellation of the trademark registration may be avoided.

In order for such a justifiable reason to be recognized so as to avoid cancellation of trademark registration, the respondent to the trial to cancel trademark registration must prove that a situation continued in which the registered trademark could not be used on the designated goods due to unavoidable causes arising from objective and external factors beyond the control of the person entitled to use the registered trademark—not only cases of force majeure, such as illness or other natural disasters, rendering business impossible, but also cases such as where, due to legal regulation, prohibition of sale, or national import restriction measures, the designated goods of the registered trademark could not, of necessity, be generally and normally traded in Korea. Reasons based solely on subjective and internal factors, such as sluggish business of the person entitled to use the registered trademark or concerns over legal disputes, cannot, absent special circumstances, serve to avoid cancellation of the trademark registration.

[2] Under the Debtor Rehabilitation and Bankruptcy Act (채무자 회생 및 파산에 관한 법률), all property held by a bankrupt debtor at the time of the declaration of bankruptcy belongs to the bankruptcy estate (Article 382(1)), and the authority to manage and dispose of the bankruptcy estate belongs to the bankruptcy trustee (Article 384); therefore, the authority to manage and dispose of the trademark right of a registered trademark belonging to the bankruptcy estate also belongs to the bankruptcy trustee. Accordingly, whether there is a justifiable reason for non-use of the registered trademark during the period when the trademark holder has been declared bankrupt and a bankruptcy trustee has been appointed must be determined based on the bankruptcy trustee who manages the trademark right of the registered trademark belonging to the bankruptcy estate.

[3] In a case where Company A, a limited partnership company (합자회사) and the holder of the trademark right to a registered trademark, was declared bankrupt, and thereafter Company A's bankruptcy trustee sold the trademark right of the registered trademark to Company B, a stock company (주식회사), but Company B did not complete the registration of transfer of rights accordingly, and Company B subsequently filed a request for a trial to cancel the registration of Company A's registered trademark on the ground of "non-use of trademark" under Article 119(1)(iii) of the Trademark Act: in light of the circumstances by which Company A, having received a decision commencing rehabilitation proceedings and a decision terminating such proceedings, and having twice received decisions dismissing its applications for commencement of rehabilitation proceedings, voluntarily filed for bankruptcy and was thereby declared bankrupt, it is difficult to view the mere fact that bankruptcy proceedings were commenced against Company A as constituting a continuing situation in which the registered trademark could not be used on the designated goods due to unavoidable causes arising from objective and external factors beyond the control of the person entitled to use the registered trademark. Meanwhile, since Company B, although it purchased the trademark right of the registered trademark, did not complete the registration of transfer, the holder of the trademark right to the registered trademark remained Company A, and since the authority to manage and dispose of the trademark right of the registered trademark belonging to the bankruptcy estate came to belong to the bankruptcy trustee upon Company A being declared bankrupt, whether there is a justifiable reason for the non-use of the registered trademark must be determined based on Company A's bankruptcy trustee. Although there was a possibility of using the registered trademark on the designated goods if Company A's bankruptcy trustee had obtained the court's permission to continue Company A's business within the necessary scope in order to prevent cancellation of the trademark registration due to non-use of the trademark, no circumstances can be found indicating that Company A's bankruptcy trustee filed such an application for permission with the intention of using the registered trademark on the designated goods, nor can any other unavoidable reason rendering use of the registered trademark impossible for Company A's bankruptcy trustee be found. The court held that, accordingly, there was no justifiable reason for the non-use of the above registered trademark.

[Plaintiff, Appellant] ○○ Trading Co., Ltd. (Law Firm Yulwoo, Attorneys Lee Jeong-min and 1 other, Counsel for the Plaintiff)
[Defendant, Appellee] △△ Pharmaceutical Co., Ltd.
[Judgment Below] Patent Court Judgment 2024Heo26, decided October 31, 2024

[Order]

The appeal is dismissed. The costs of the appeal are to be borne by the Plaintiff.

[Reasoning]

The grounds of appeal are examined.

1. Overview of the Case
According to the reasoning of the judgment below and the evidence duly adopted and examined by the court below, the following facts can be established.

A. □□□ Limited Partnership Company (hereinafter "Nonparty 1 Company") filed a trademark registration application on December 2, 2004, with the mark "(mark omitted)" and designated goods being "beans, sweet potatoes, etc. under Class 29 of the Goods Classification," and obtained registration of the trademark right on November 15, 2005 [(trademark registration number omitted), hereinafter "the registered trademark at issue"], thereby becoming the trademark right holder.

B. Nonparty 1 Company received a decision commencing rehabilitation proceedings from the Seoul Central District Court on August 25, 2009, and, with the court's permission on September 14, 2009, while the rehabilitation proceedings were ongoing, borrowed 400 million won from the Plaintiff. On November 23, 2009, Nonparty 1 Company created a floating pledge over eight trademark rights and service mark rights, including the registered trademark at issue, in favor of the Plaintiff as security for the above loan obligation. Nonparty 1 Company received a decision terminating the rehabilitation proceedings on October 27, 2010, and this decision became final on November 24, 2010.

C. Nonparty 1 Company filed an application for commencement of rehabilitation proceedings with the Suwon District Court on November 12, 2010, but the application was dismissed on February 15, 2011. Nonparty 1 Company also filed an application for commencement of rehabilitation proceedings with the Seoul Central District Court on March 11, 2015, but this application was likewise dismissed on July 7, 2015.

D. Nonparty 1 Company, as an insolvent debtor, filed a bankruptcy petition with the Seoul Central District Court on March 15, 2016, and was declared bankrupt on April 25, 2016, with Nonparty 2 appointed as bankruptcy trustee. On April 21, 2017, the Seoul Central District Court approved Nonparty 2's resignation as bankruptcy trustee and appointed Nonparty 3 as the new bankruptcy trustee.

E. Around July 2017, the bankruptcy trustee of Nonparty 1 Company obtained the court's approval to sell the trademark right in the registered trademark at issue and sold the trademark right to the Defendant; however, the Defendant did not complete the registration of the transfer of rights pursuant to this sale.

F. On August 10, 2022, the Defendant filed a petition with the Korean Intellectual Property Trial and Appeal Board (특허심판원) against Nonparty 3, the bankruptcy trustee of Nonparty 1 Company, seeking a trial to cancel the trademark registration of the registered trademark at issue pursuant to Article 119(1)(3) of the Trademark Act (상표법) (hereinafter "the cancellation trial at issue"). The Plaintiff intervened in the cancellation trial proceedings as an intervenor on the side of the respondent, being an interested party with respect to the registered trademark at issue.

G. When the Korean Intellectual Property Trial and Appeal Board rendered a decision on January 24, 2024, granting the Defendant's request for the cancellation trial at issue, the Plaintiff, as an intervenor in the cancellation trial proceedings, filed the instant lawsuit seeking cancellation of the above decision.

2. The Judgment Below
The court below determined that the registered trademark at issue had not been used in Korea within three years before the date of filing of the cancellation trial petition, and that, in light of various circumstances—including the background of Nonparty 1 Company's bankruptcy declaration, the circumstances of use of the registered trademark at issue prior to the bankruptcy declaration, and whether the bankruptcy trustee of Nonparty 1 Company made any effort to use the trademark, such as by applying to the court for permission to continue business operations for the purpose of using the trademark—there was no justifiable reason for such non-use, and therefore the registration should be canceled pursuant to Article 119(1)(3) of the Trademark Act.

3. Judgment of the Supreme Court
A. Relevant Legal Principles
Article 119(1)(3) of the Trademark Act provides, as one of the grounds for a trial to cancel trademark registration, the case where none of the trademark right holder, exclusive licensee, or non-exclusive licensee has, without justifiable reason, used the registered trademark in Korea on its designated goods continuously for three years or more prior to the date of filing of the cancellation trial petition. This provision imposes on the trademark right holder or licensee an obligation to use the registered trademark on the designated goods, and allows the cancellation of trademark registration as a sanction where the registered trademark has not been used for a certain period. Its purpose is to rectify the ill effects arising from the adoption of the registration system, under which a trademark may be registered upon satisfaction of certain requirements regardless of actual use, and to expand the opportunity for other persons to select trademarks (see Supreme Court en banc Decision 2012Hu2463, decided September 26, 2013, and others).

Article 119(3) of the Trademark Act provides that unless the respondent in a trademark registration cancellation trial proves that the registered trademark was legitimately used in Korea, within three years before the date of filing of the trial petition, on at least one of the designated goods related to the cancellation trial petition, the trademark right holder cannot avoid cancellation of the trademark registration with respect to the designated goods related to the cancellation trial petition; however, if the respondent proves that there was a justifiable reason for the non-use, the trademark right holder may avoid cancellation of the trademark registration.

In order for such justifiable reason to be recognized so as to avoid cancellation of the trademark registration, the respondent in the trademark registration cancellation trial must prove not only that business could not be conducted due to force majeure such as illness or natural disaster, but also that a situation persisted in which the person entitled to use the registered trademark was unable to use the registered trademark on the designated goods due to unavoidable circumstances arising from objective and external factors beyond that person's control—such as where, due to legal regulation, prohibition on sale, or national import restriction measures, the designated goods of the registered trademark could not be generally and normally traded in Korea. A reason based solely on subjective and internal factors, such as poor business performance or concern over legal disputes on the part of the person entitled to use the registered trademark, cannot, absent special circumstances, serve as grounds for avoiding cancellation of the trademark registration.

Meanwhile, pursuant to the Debtor Rehabilitation and Bankruptcy Act (채무자 회생 및 파산에 관한 법률, hereinafter "the Debtor Rehabilitation Act"), all property held by an insolvent debtor at the time of the bankruptcy declaration belongs to the bankruptcy estate (Article 382(1)), and the authority to manage and dispose of the bankruptcy estate belongs to the bankruptcy trustee (Article 384). Accordingly, the authority to manage and dispose of the trademark right in a registered trademark belonging to the bankruptcy estate also belongs to the bankruptcy trustee. Therefore, whether there was a justifiable reason for non-use of the registered trademark during the period when the trademark right holder was declared bankrupt and a bankruptcy trustee was appointed must be determined based on the bankruptcy trustee who manages the trademark right in the registered trademark belonging to the bankruptcy estate.

B. As to the Instant Case
1) The Plaintiff argues, as grounds for appeal, that the reason Nonparty 1 Company failed to use the registered trademark at issue in Korea for three years or more before the date of filing of the cancellation trial petition was due to the commencement of bankruptcy proceedings against Nonparty 1 Company, and that this constitutes a justifiable reason. However, this argument is difficult to accept in light of the following circumstances.

A) The registered trademark at issue was not used in Korea by the trademark right holder, exclusive licensee, or non-exclusive licensee on at least one of its designated goods continuously for three years or more prior to the date of filing of the Defendant's cancellation trial petition.

B) Nonparty 1 Company received a decision commencing rehabilitation proceedings and a subsequent decision terminating those proceedings, then had its applications for commencement of rehabilitation proceedings dismissed twice, before ultimately filing a bankruptcy petition on its own initiative and being declared bankrupt. In light of this course of events leading to the commencement of bankruptcy proceedings, the mere fact that bankruptcy proceedings were commenced against Nonparty 1 Company is insufficient to establish that a situation persisted in which the person entitled to use the registered trademark at issue was unable to use it on the designated goods due to unavoidable circumstances arising from objective and external factors beyond that person's control.

C) Although the Defendant purchased the trademark right in the registered trademark at issue during the bankruptcy proceedings, it did not complete the registration of the transfer, and therefore Nonparty 1 Company remains the holder of the trademark right in the registered trademark at issue. Meanwhile, upon the bankruptcy declaration against Nonparty 1 Company, the trademark right in the registered trademark at issue came to belong to the bankruptcy estate, and the authority to manage and dispose of the trademark right came to belong to the bankruptcy trustee.

D) Since the bankruptcy proceedings against Nonparty 1 Company had already been ongoing three years before the date of filing of the cancellation trial petition, whether there was a justifiable reason for the non-use of the registered trademark at issue during the three-year period must be determined based on the bankruptcy trustee of Nonparty 1 Company, who held the authority to manage and dispose of the trademark right in the registered trademark at issue.

E) Article 486 of the Debtor Rehabilitation Act provides that a bankruptcy trustee may, with the court's permission, continue the debtor's business. Had the bankruptcy trustee of Nonparty 1 Company obtained the court's permission under this provision and continued Nonparty 1 Company's business to the extent necessary in order to prevent the cancellation of the trademark registration at issue due to non-use, there would have been a possibility of using the registered trademark at issue on the designated goods.

F) However, no circumstances can be found showing that the bankruptcy trustee of Nonparty 1 Company filed such an application for permission with a view to using the registered trademark at issue on the designated goods. Nor can any other unavoidable circumstances be found that rendered the use of the registered trademark at issue impossible for the bankruptcy trustee of Nonparty 1 Company.

2) The court below determined, in the same vein, that there was no justifiable reason for the non-use of the registered trademark at issue. Examining the reasoning of the judgment below in light of the legal principles set forth above, there is no error in the judgment below, as alleged in the grounds of appeal, in misapprehending the legal principles concerning the grounds for cancellation of trademark registration or in failing to conduct the necessary examination, which would have affected the judgment.

4. Conclusion
The appeal is dismissed, and the costs of the appeal are to be borne by the losing party. This judgment is rendered as stated in the Order by the unanimous opinion of the participating Justices.
