When a company shortened its mandatory retirement age from 58 to 55 through an amendment to its Rules of Employment (취업규칙) approved by the labor union representing a majority of employees, the Korean Supreme Court held that this amendment also applied to non-union managerial employees without requiring their individual consent. The Court further ruled that reaching the retirement age results in automatic termination of employment, and employees have no right to demand an extension of their retirement age.

Key takeaways
  • CaseA company shortened its mandatory retirement age from 58 to 55 with the consent of the majority union, and a non-union managerial employee argued the change was invalid as to him without his individual consent, demanding an extension of his retirement age.
  • OutcomeThe Supreme Court ruled that majority union consent makes the amended Rules of Employment binding on non-union employees as well, and that reaching the retirement age results in automatic termination with no right to demand an extension.
  • LessonIf a majority union exists, its consent alone is sufficient to make changes to Rules of Employment applicable to all employees, meaning non-union employees must also accept the amended working conditions.
Issues
  • Whether the consent requirement for unfavorable amendments to Rules of Employment (취업규칙) applies equally to employees who are not members of the majority union
  • The validity and scope of application of a rule shortening the mandatory retirement age
  • The legal nature of automatic retirement upon reaching the mandatory retirement age
  • Whether an employee has a legal right to demand an extension of the retirement age
Key reasoning

Under Korean labor law, when an employer amends its Rules of Employment (취업규칙) in a way that is unfavorable to employees, obtaining consent from a union representing a majority of the workforce is generally sufficient to make the amendment binding on all employees, including those who are not union members, without requiring separate individual consent. The Court reasoned that non-union employees are still covered by the collective bargaining framework represented by the majority union, so the union's consent substitutes for individual consent. Additionally, retirement upon reaching the mandatory retirement age is merely a notification of an already-determined fact (관념의 통지), not a dismissal requiring separate justification. Therefore, since termination automatically occurs by operation of the amended rule, employees have no independent legal right to demand that their retirement age be extended or maintained at the prior age.

Summary of Decision (English, AI translation)

[1] The authority to draft and amend rules of employment (취업규칙) belongs, in principle, to the employer, so that the employer may draft and amend the rules of employment in accordance with its own intention; provided, however, that where a change to the rules of employment unilaterally alters existing working conditions to the disadvantage of employees, the consent of the group of employees subject to the former rules of employment, obtained through a collective decision-making method, is required. As for the method of consent, where there is a labor union organized by a majority of the employees, the consent of that labor union is required, and where there is no such labor union, the consent of a majority of the employees obtained through a meeting-type method is required. Here, "a majority of the employees" means a majority of the group of employees who were subject to the existing rules of employment.

[2] In a case where the existing retirement provisions of the rules of employment were amended to shorten the retirement age, and the consent of the labor union, composed of a majority of the employees who had been subject to the existing retirement provisions, was obtained with respect thereto, the court held that such amendment was lawful and valid, and therefore naturally applied, regardless of individual consent, even to an employee who, although holding a position at or above a certain grade and thus ineligible to join the labor union, had been subject to the existing retirement provisions.

[3] Where an employer provides in its rules of employment, etc. that the occurrence of certain grounds constitutes automatic retirement or removal from office, and treats the procedure therefor differently from an ordinary dismissal or disciplinary dismissal, and where the grounds for such automatic retirement appear to be grounds for the automatic extinguishment of the employment relationship, such as the employee's death, retirement age, or expiration of the term of the labor contract, then, so long as the rules of employment providing for such grounds of automatic retirement are valid, the employment relationship terminates as a matter of course upon the mere occurrence of such grounds, on the date of occurrence thereof or on the prescribed date; and the handling of retirement due to such grounds for automatic extinguishment of the employment relationship, such as retirement age, is merely a "notice of a fact" (관념의 통지) that officially confirms and communicates the grounds and timing of a retirement that has already occurred as a matter of law, and is not a new formative act, such as a "dismissal disposition," that deprives the employee of his or her status.

[4] Whether or not, absent special circumstances, an employer will continue to maintain the employment relationship with an employee who has reached the retirement age specified in the rules of employment, etc., such as by extending that retirement age, falls within the employer's authority, and the employee concerned does not have a right to demand an extension of the retirement age. The legitimacy of the employer's measure in not permitting an extension of the retirement age for the employee concerned must be judged by whether the employer's act violates the content or purport of the provisions of statutes and the rules of employment, etc., and the mere fact that the failure to permit an extension of the retirement age is harsh to the employee concerned, or is inequitable in comparison with the treatment of other employees, cannot by itself be taken to conclusively establish that such measure lacks legitimacy.

[Judgment Below] Seoul High Court Decision 2007Na6064 rendered on November 16, 2007

[Order]

The judgment below is reversed, and the case is remanded to the Seoul High Court.

[Reasoning]

The grounds of appeal are examined.

1. As to Ground of Appeal No. 2

The authority to draft and amend rules of employment (취업규칙) belongs in principle to the employer, and the employer may draft and amend the rules of employment according to its own intention. However, where an amendment to the rules of employment unilaterally changes the content of existing working conditions to the disadvantage of employees, the consent of the group of employees subject to the former rules of employment, obtained through a collective decision-making method, is required. As for the method of obtaining such consent, where there is a labor union organized by a majority of the employees, the consent of that labor union is required, and where there is no such labor union, the consent of a majority of the employees obtained through a meeting-style method is required (see Supreme Court Decision 91Da17542, decided September 24, 1991; Supreme Court Decision 91Da37522, decided April 10, 1992, etc.). Here, the "majority of employees" refers to a majority of the group of employees subject to the existing rules of employment (see Supreme Court Decision 2005Da21494, decided November 10, 2005, etc.).

The court below, upon comprehensive consideration of the evidence it adopted, found the following facts: the existing Retirement Regulations, one of the Defendant company's rules of employment, provided regarding mandatory retirement that "the age of mandatory retirement shall be 58 years of age (Article 2(2))" and that "even in the case of an employee who has reached the retirement age, the company may extend the retirement age within a range not exceeding one year from the retirement date, when the company deems it necessary (Article 3(2)(2))"; that on May 24, 2004, the Defendant company amended these provisions to read "the age of mandatory retirement shall be 55 years of age (Article 2(2))" and "even in the case of an employee who has reached the retirement age, the company may extend the retirement age within a range not exceeding three years from the retirement date, when the company deems it necessary (Article 3(2)(2))"; that the Defendant company obtained, with respect to this amendment, the consent of the labor union composed of a majority of the employees subject to the existing Retirement Regulations; and that the Plaintiff, who was at the time a department head (부장) of the Defendant company, holding a position of assistant general manager (차장, Grade 10) or higher, was not eligible to join the said labor union, but was nonetheless included within the scope of application of the existing Retirement Regulations. Based on these findings, the court below determined that, insofar as no separate consent procedure was conducted with respect to employees excluded from union membership eligibility, such as the Plaintiff, the mere fact that the labor union had given its consent as described above could not be deemed sufficient to conclude that the Retirement Regulations as amended on May 24, 2004 applied to the Plaintiff.

However, the judgment of the court below is difficult to accept as it stands.

In light of the legal principles set forth above, insofar as it is clear, as found by the court below, that the labor union which consented to the amendment of the existing Retirement Regulations was composed of a majority of the Defendant company's employees subject to the Regulations, the amendment of the Defendant company's Retirement Regulations dated May 24, 2004 must be deemed lawful and effective, regardless of whether the Plaintiff and others individually consented thereto. Accordingly, the amended Regulations must naturally be deemed applicable to the Plaintiff as well.

Nevertheless, the court below, taking a different view, determined that the Retirement Regulations as amended on May 24, 2004 could not be effective as against the Plaintiff. The judgment below thus contains an error of law that misapprehends the legal principles concerning amendments to rules of employment disadvantageous to employees, thereby affecting the outcome of the judgment. The argument in the grounds of appeal on this point is well-founded.

2. As to Grounds of Appeal Nos. 1, 3, and 4

Where an employer provides in its rules of employment, etc., that the occurrence of a certain event constitutes a cause for automatic retirement (당연퇴직) or removal from office, and prescribes a procedure therefor different from that for ordinary dismissal or disciplinary dismissal, and where such cause for automatic retirement appears to be a cause for automatic extinguishment of the employment relationship, such as the employee's death, retirement age, or expiration of the term of the employment contract, then, insofar as the rules of employment prescribing such cause for automatic retirement are valid, the employment relationship must be deemed to terminate automatically upon the occurrence of such cause, on the date of occurrence or on the prescribed date (see Supreme Court Decision 94Da4011, decided April 11, 1995; Supreme Court Decision 2007Du2067, decided October 25, 2007, etc.). The processing of retirement due to a cause for automatic extinguishment of the employment relationship, such as retirement age, is merely a "notice of a fact" (관념의 통지) that officially confirms and informs of the cause and timing of retirement that has already occurred as a matter of law, and is not a new formative act, such as a "dismissal disposition," that deprives the employee of his or her status (see Supreme Court Decision 97Nu1686, decided October 24, 1997; Supreme Court Decision 97Nu1990, decided November 11, 1997, etc.).

Meanwhile, the principle of good faith (신의성실의 원칙) under the Civil Act (민법) refers to the abstract norm that parties to a legal relationship must not exercise rights or perform obligations in a manner or with content that is inequitable or that betrays trust, giving due regard to the interests of the other party. In order to deny the exercise of a right on the ground that it violates the principle of good faith, it must be shown that trust was extended to the other party, or that circumstances have arisen under which it is objectively legitimate for the other party to have such trust, and that the exercise of the right in violation of such trust of the other party has reached a degree that cannot be tolerated in light of the concept of justice (see Supreme Court Decision 91Da3802, decided December 10, 1991, etc.). Furthermore, whether an employer, with respect to an employee who has reached the mandatory retirement age specified in the rules of employment, etc., and is thereby subject to automatic retirement, will continue the employment relationship by, for example, extending the retirement age, is, absent special circumstances, a matter within the employer's authority, and the employee concerned does not have a right to demand an extension of the retirement age (see Supreme Court Decision 88Nu4812, decided March 28, 1989; Supreme Court Decision 94Nu873, decided May 24, 1994; Supreme Court Decision 95Da6991, decided July 22, 1997; Supreme Court Decision 96Da52236, decided February 13, 1998, etc.). The legitimacy of the employer's measure in not permitting the extension of the retirement age for the employee concerned must be judged by whether the employer's act violates the content or purport of the relevant statutes and rules of employment, etc., and the legitimacy thereof cannot be denied merely on the ground that the failure to permit the extension is harsh on the employee concerned or is inequitable compared to the treatment of other employees (see Supreme Court Decision 95Nu15926, decided October 29, 1996, etc.).

The court below, upon comprehensive consideration of the evidence it adopted, found the following facts: the Plaintiff, born on (date of birth omitted), was working as a department head at the Defendant company when he was dismissed on December 31, 1997; the Plaintiff thereafter obtained a favorable judgment in a suit for confirmation of invalidity of dismissal and was reinstated to the Defendant company on October 10, 2003; and the Plaintiff was processed for retirement on February 28, 2006, on the ground that he had reached the retirement age of 55 pursuant to the Retirement Regulations amended on May 24, 2004. Based on these findings, the court below determined as follows: that the Defendant, as a means of causing the Plaintiff and other reinstated employees to reach retirement age early, amended the Retirement Regulations disadvantageously by concluding a collective agreement after several rounds of negotiation with a labor union that was unfriendly toward the reinstated employees; that, through a behind-the-scenes agreement with the labor union, the Defendant selectively applied the disadvantageously amended Retirement Regulations only to the reinstated employees, namely the Plaintiff and Nonparties 1 and 2, treating them as having reached mandatory retirement; and that this amounted, in effect, to amending the Retirement Regulations to the disadvantage of the Plaintiff and others, in consultation with a labor union that the Plaintiff was ineligible to join and that was hostile toward the reinstated employees, for the purpose of excluding the Plaintiff and others, and then applying the amended Regulations to the Plaintiff, which the court below found to be invalid as being in violation of the principle of good faith.

However, the judgment of the court below is difficult to accept, for the following reasons.

First, even upon close examination of the evidence adopted by the court below, no material can be found supporting the conclusion that the Defendant company amended the Retirement Regulations on May 24, 2004 as a means of causing the Plaintiff and other reinstated employees to reach retirement age early. Furthermore, as discussed above, insofar as the Defendant company's amendment of the Retirement Regulations dated May 24, 2004 is lawful and valid, only the amended Retirement Regulations apply from that point onward, and all employees subject to the amended Retirement Regulations must naturally retire upon reaching the age of 55. No basis can be found for concluding that the Defendant company selectively applied the amended Retirement Regulations only to the Plaintiff and other reinstated employees, or that it entered into a legally binding behind-the-scenes agreement with the labor union.

Moreover, in light of the legal principles set forth above, the Defendant company's processing of the Plaintiff's retirement on February 28, 2006 constitutes a notice of a fact that officially confirms and informs of the cause and timing of retirement that has already occurred as a matter of law, and is not a new formative legal act such as a dismissal disposition. In light of the form and content of the amended Retirement Regulations, Article 3(2)(2) thereof merely constitutes a provision granting authority or discretion (권한규정 내지 재량규정), under which the Defendant company may, when it deems it necessary, extend the retirement age within a certain range even for an employee who has reached the retirement age and is thereby subject to automatic retirement; it cannot be regarded as granting the employee concerned who has reached the retirement age a right to demand an extension of the retirement age from the Defendant company. Accordingly, absent special circumstances such as the Defendant company having individually promised the Plaintiff an extension of the retirement age, even if the Defendant company, after comprehensively considering all relevant circumstances, did not extend the retirement age of the Plaintiff, who had reached the retirement age of 55 specified in the Retirement Regulations, this cannot be deemed to have imposed any restriction on or infringement of the Plaintiff's legal interests. Even if the labor union that consented to the amendment of the Retirement Regulations dated May 24, 2004 was unfriendly toward the Plaintiff and other reinstated employees who were not eligible for membership, or even if the Defendant company failed to extend the retirement age only for the Plaintiff and other reinstated employees, such circumstances alone cannot be deemed sufficient to conclude that the Defendant company's measure of not extending the Plaintiff's retirement age violated the principle of good faith.

Nevertheless, the court below, taking a different view, determined that the Plaintiff's retirement upon reaching the retirement age of 55 pursuant to the Retirement Regulations as amended on May 24, 2004 constituted a de facto dismissal by the Defendant company and was invalid as being in violation of the principle of good faith. The judgment below thus contains an error of law in misapprehending the rules of evidence and thereby erroneously finding the facts, or in misapprehending the legal principles concerning automatic retirement due to retirement age, extension of retirement age, and the principle of good faith, thereby affecting the judgment. The argument in the grounds of appeal on this point is well-founded.

3. Accordingly, the judgment below is reversed, and the case is remanded to the court below for further hearing and determination. This Judgment is rendered by the unanimous opinion of the Justices participating in the decision, as set forth in the Order.
