This case addressed whether a debtor who arbitrarily disposed of collateral (a vehicle) after creating a security mortgage (저당권) could be held liable for breach of trust (배임죄). The Supreme Court ruled that the debtor did not qualify as 'a person handling another's affairs (타인의 사무를 처리하는 자)', and therefore breach of trust was not established. The Court also held that a seller who sold the same vehicle to two different buyers (double sale) likewise did not commit breach of trust. The lower court's guilty verdict was reversed and the case was remanded.

Key takeaways
  • CaseA debtor sold off a vehicle that was already pledged as mortgage collateral, and separately, a seller sold the same vehicle to two different buyers.
  • OutcomeThe Supreme Court ruled that neither the debtor nor the seller qualified as 'a person handling another's affairs,' so breach of trust (배임죄) was not established in either case.
  • LessonSimply fulfilling one's own contractual obligations—such as honoring a mortgage agreement or a sales contract—does not amount to managing another person's affairs, and therefore cannot be punished as breach of trust under Korean law.
Issues
  • Whether a debtor's unauthorized disposal of mortgaged collateral (a vehicle) constitutes breach of trust (배임죄)
  • Whether a seller's double sale of a vehicle in a sales contract constitutes breach of trust (배임죄)
  • The proper scope of interpretation for 'a person handling another's affairs (타인의 사무를 처리하는 자)', a key element required to establish breach of trust
Key reasoning

Under Korean criminal law, breach of trust (배임죄) can only be committed by a person who is legally obligated to handle the affairs of another party. The Supreme Court reasoned that when a debtor creates a mortgage (저당권) over property as security for a debt, the debtor is simply fulfilling their own contractual obligation to the creditor—not managing the creditor's affairs. Similarly, in a sales contract, a seller who sells the same item twice (double sale) is merely performing their own duty to transfer ownership, not handling the buyer's affairs on the buyer's behalf. Because neither the debtor nor the seller falls within the category of 'a person handling another's affairs,' the essential element required for a breach of trust conviction is missing in both scenarios.

Summary of Decision (English, AI translation)

[1] Even where a creditor lends money based on trust in the debtor's performance of an obligation to pay, and thereby obtains the benefit of satisfaction of the claim through the debtor's faithful performance, this does not mean that the creditor has entrusted the debtor, based on trust in him, with the duty of protecting or managing the creditor's property. Since performance of a monetary obligation is, after all, something the debtor does as performance of his own obligation to render payment, it cannot be regarded as handling the creditor's affairs. Therefore, a debtor cannot be deemed to fall under the category of "a person who administers another's affairs" in relation to the creditor.

The same applies where a debtor, in order to secure a monetary obligation, agrees to create, or does create, a security interest (mortgage) in favor of the creditor over movable property owned by the debtor pursuant to the Act on Mortgage on Specific Movables such as Motor Vehicles The obligations that a debtor bears under a mortgage agreement—namely, the obligation to provide the movable property as collateral, the passive obligation not to damage, diminish, or destroy the collateral or to maintain and preserve its security value, and the obligation to cooperate with the creditor's enforcement of the security interest, such as the obligation to actually deliver the collateral to the creditor or a person designated by the creditor upon enforcement of the security interest—are all the debtor's own obligations to perform, assumed under the mortgage agreement. Furthermore, a mortgage agreement is ancillary to the contract giving rise to the secured claim, such that once the secured obligation is extinguished, the rights and obligations under the mortgage agreement are likewise extinguished. Since the obligations borne by the debtor under a mortgage agreement are aimed at achieving the purpose of the security—that is, realization of the claim through enforcement of the security interest in the event of default—the typical and essential content of the relationship between the parties remains the realization of the monetary claim, or the satisfaction of the secured obligation, regardless of whether it is before or after the conclusion of the mortgage agreement or the creation of the security interest.

Accordingly, the debtor's performance of the above obligations to render payment constitutes merely the debtor's own affairs, and it cannot be said that the debtor, going beyond the relationship of conflicting interests typical of an ordinary contract, handles the creditor's affairs based on a relationship of trust with the creditor. Therefore, the debtor cannot be deemed to fall under the category of "a person who administers another's affairs," who is the subject of the crime of breach of trust, in relation to the creditor. Consequently, even if the debtor disposes of the collateral to a third party or otherwise diminishes or eliminates its security value, thereby creating a risk to the creditor's enforcement of the security interest or realization of the claim through such enforcement, the crime of breach of trust does not arise.

The above legal principle applies equally to a case in which the debtor arbitrarily disposes of movable property to a third party, where a mortgage has been created over such movable property pursuant to the Factory and Mine Foundation Mortgage Act (공장 및 광업재단 저당법) in order to secure a monetary obligation.

[2] In the case of a contract that takes effect upon one party agreeing to transfer a property right to the other party and the other party agreeing to pay the price therefor, such as a sale (Article 563 of the Civil Act (민법)), the obligation of each party to perform in accordance with the terms of the contract is, in principle, absent special circumstances, "one's own affair." In a contract for the sale of movable property, the seller is not in the position of administering the buyer's affairs, and therefore, even if the seller disposes of the subject matter to a third party, the crime of breach of trust under the Criminal Act (형법) does not arise.

The above legal principle applies equally to a contract for the sale of movable property for which registration is required for the transfer of rights. Accordingly, the seller of a motor vehicle or the like is not in the position of administering the buyer's affairs, and therefore, even if the seller disposes of the vehicle to a third party without transferring the registration of ownership to the buyer, the crime of breach of trust likewise does not arise.

[Defendant] Defendant
[Appellant] Defendant
[Defense Counsel] Attorney Park Dong-hyun
[Lower Court Judgment] Gwangju High Court Decision 2019No7, 75, 208 (Jeonju), decided May 6, 2020

[Order]

The guilty portion of the lower court's judgment is reversed, and this part of the case is remanded to the Gwangju High Court.

[Reasoning]

The grounds for appeal are examined (however, the part concerning breach of trust against victim Nonsokoin 1 is examined ex officio).

1. Each breach of trust part against victim Nonsokoin 2 Co., Ltd.

A. 1) The crime of breach of trust is established when a person who administers another's affairs, by an act in violation of his duty, acquires a pecuniary advantage or causes a third party to acquire it, thereby causing loss to the other person who is the subject of the affairs; therefore, the subject of this crime must be in the position of administering another's affairs. In order to be considered "a person who administers another's affairs" here, the typical and essential content of the relationship between the parties must be, beyond a relationship of conflicting interests in an ordinary contract, to protect or manage another's property based on a relationship of trust between them, as in the case where all or part of the affairs concerning the management of another's property are performed on behalf of that other person. It cannot be said that a debtor is "a person who administers another's affairs" merely because there exists a relationship in which the counterparty obtains the benefit of satisfaction of contractual rights or realization of a claim through the debtor's faithful performance of an obligation in an ordinary contractual relationship involving conflicting interests, or merely because there exists an ancillary duty to protect or consider the counterparty in the course of performing the contract; rather, it must be the case that, as with a mandate, the typical and essential content of the performance obligation under the contract consists in undertaking, with a certain authority, to handle the counterparty's property-related affairs (see Supreme Court en banc Decision 2019Do9756, decided February 20, 2020, etc.).

2) Even in a relationship of monetary claim and obligation, where the creditor lends money based on trust in the debtor's performance of the obligation and obtains the benefit of satisfaction of the claim through the debtor's faithful performance, this does not mean that the creditor has entrusted the debtor with the duty of protecting or managing the creditor's property based on trust in the debtor; the performance of a monetary obligation is, after all, performed by the debtor as the fulfillment of his own performance obligation, and thus cannot be regarded as administering the creditor's affairs. Therefore, the debtor cannot be considered "a person who administers another's affairs" in relation to the creditor.

The same applies even where the debtor, in order to secure a monetary obligation, agrees to establish, or establishes, a security interest (mortgage) over his own movable property in favor of the creditor pursuant to the Act on Mortgage on Motor Vehicles and Other Specific Movables (자동차 등 특정동산 저당법) or similar statutes. The obligations that the debtor bears under the mortgage agreement—namely, the obligation to provide the movable property as security, the passive obligation not to damage, reduce, or destroy the security's collateral value or the collateral itself, and the obligation to cooperate in the creditor's enforcement of the security interest, such as the obligation to actually deliver the collateral to the creditor or a person designated by the creditor upon enforcement of the security interest—are all the debtor's own performance obligations arising under the mortgage agreement. Furthermore, a mortgage agreement is ancillary to the agreement giving rise to the secured claim, such that when the secured obligation is extinguished, the rights and obligations under the mortgage agreement are likewise extinguished. Since the obligations borne by the debtor under the mortgage agreement are for the purpose of achieving the security's objective—that is, realization of the claim through enforcement of the security interest in the event of default—the typical and essential content of the relationship between the parties remains the realization of the monetary claim or the repayment of the secured obligation, both before and after the conclusion of the mortgage agreement or the establishment of the mortgage (see Supreme Court en banc Decision 2019Do14770, decided August 27, 2020, etc.).

Accordingly, the debtor's performance of the above-mentioned performance obligations constitutes merely the debtor's own affairs, and it cannot be said that the debtor, going beyond the relationship of conflicting interests in an ordinary contract, undertakes to handle the creditor's affairs based on a relationship of trust with the creditor; therefore, the debtor cannot be considered, in relation to the creditor, "a person who administers another's affairs," who is the subject of the crime of breach of trust. Accordingly, even if the debtor disposes of the collateral to a third party or otherwise reduces or extinguishes its security value, thereby creating a risk to the creditor's enforcement of the security interest or realization of the claim thereby, the crime of breach of trust is not established.

3) The above legal principle likewise applies to a case in which a debtor arbitrarily disposes of movable property, over which a mortgage has been established pursuant to the Factory and Mining Foundation Mortgage Act (공장 및 광업재단 저당법) to secure a monetary obligation, to a third party.

4) To the extent inconsistent with the views expressed in this judgment, all Supreme Court decisions holding the contrary view—including Supreme Court Decision 2003Do67, decided July 11, 2003, and Supreme Court Decision 2010Do11665, decided September 13, 2012, and other decisions to the same effect—which held that a debtor who has established a mortgage or factory mortgage over movable property in favor of the creditor to secure the debt is "a person who administers another's affairs," and that breach of trust is established where the debtor disposes of the secured object, are hereby overruled.

B. In light of the foregoing legal principles, the lower court's determination on the above breach of trust part is examined as follows.

1) The gist of this part of the charge is that the defendant, having each borrowed funds to purchase the ○○ bus and the △△△△ bus from victim Nonsokoin 2 Co., Ltd. and having established mortgages over each of these buses, thereby had a duty to keep the said buses in accordance with the purpose of the security; nevertheless, the defendant disposed of them, thereby obtaining a pecuniary advantage and causing pecuniary loss to the victim. The lower court upheld the first instance court's determination finding this charge guilty.

2) However, in light of the foregoing legal principles, even though the mortgages were established over the said buses for the purpose of securing the debt owed to the victim, insofar as it cannot be said that the defendant, based on a relationship of trust with the victim, undertook to handle the victim's affairs, the defendant cannot be considered, in relation to the victim, "a person who administers another's affairs" as referred to in the crime of breach of trust. Therefore, even if the defendant disposed of the said buses as stated in the charge, the crime of breach of trust is not established. Nevertheless, the lower court, contrary to this, determined this part of the charge to be guilty on the premise that the defendant bore a duty to keep the said buses in accordance with the purpose of the security until repayment of the debt to the victim, and was thus in the position of "a person who administers another's affairs." This lower court judgment erred by misapprehending the legal principles concerning "a person who administers another's affairs" in the crime of breach of trust.

2. The breach of trust part against victim Nonsokoin 1

A. In the case of a contract, such as a sale, which takes effect upon one party agreeing to transfer a property right to the counterparty and the counterparty agreeing to pay the price therefor (Article 563 of the Civil Act (민법)), the obligations that both parties must perform in accordance with the content of the contract are, in principle, absent special circumstances, "one's own affairs." In a contract for the sale of movable property, the seller is not in the position of administering the buyer's affairs in relation to the buyer, and therefore, even if the seller disposes of the object to another, the crime of breach of trust under the Criminal Act is not established (see Supreme Court en banc Decision 2008Do10479, decided January 20, 2011, etc.).

The above legal principle likewise applies to a sales contract concerning movable property for which registration is required for the transfer of rights; thus, the seller of, for example, a motor vehicle is not in the position of administering the buyer's affairs in relation to the buyer, and even if the seller, without effecting the registration of transfer of ownership to the buyer, disposes of the vehicle to another, the crime of breach of trust is likewise not established.

B. In light of the foregoing legal principles, the lower court's determination on the above breach of trust part is examined as follows.

1) The gist of this part of the charge is that the defendant, having agreed to sell one △△△△ bus to victim Nonsokoin 1 for 36,000,000 won and having received 20,000,000 won from the victim as a down payment and interim payment, nevertheless established a joint collateral mortgage over the said bus in favor of Nonsokoin 3 Mutual Savings Bank, thereby causing the said bank to obtain a pecuniary advantage and causing loss to the victim. The lower court upheld the first instance court's determination finding this charge guilty.

2) However, in light of the foregoing legal principles, even though the defendant owed the victim an obligation to effect registration of transfer of ownership over the said bus, such obligation is merely the defendant's own affair under the said sales contract, and insofar as it cannot be said that the defendant, based on a relationship of trust with the victim, undertook to handle the victim's affairs, the defendant cannot be considered, in relation to the victim, "a person who administers another's affairs" as referred to in the crime of breach of trust. Therefore, even if the defendant established a joint collateral mortgage over the said bus as stated in the charge, the crime of breach of trust is not established. Nevertheless, the lower court determined this part of the charge to be guilty on the premise that the defendant fell within this category. This lower court judgment erred by misapprehending the legal principles concerning "a person who administers another's affairs" in the crime of breach of trust.

3. The part concerning violation of the Act on the Aggravated Punishment, etc. of Specific Economic Crimes (특정경제범죄 가중처벌 등에 관한 법률) (fraud) and fraud, forgery of private documents and uttering of forged private documents against victim Nonsokoin 4; the fraud parts against victim Nonsokoin 5 and victim Nonsokoin 6; and the obstruction of exercise of rights part against victim Nonsokoin 7 Mutual Savings Bank

The lower court found each of these charges guilty for the reasons stated in its judgment. Examining the reasoning of the lower court's judgment in light of the relevant legal principles and the evidence lawfully adopted, there is no error in the lower court's determination that departs from the limits of the principle of free evaluation of evidence in violation of the rules of logic and experience, or that misapprehends the legal principles concerning the deceptive act and criminal intent to defraud in the crime of fraud, or the intent required for the crime of obstruction of exercise of rights.

4. Scope of reversal

For the reasons set forth above, the portions of the lower court's judgment concerning each breach of trust against victim Nonsokoin 2 Co., Ltd. and victim Nonsokoin 1 must be reversed; and since the lower court imposed a single sentence on the ground that this part and the remaining guilty portions were in a concurrent-crime relationship under the first sentence of Article 37 of the Criminal Act (형법), the entire guilty portion of the lower court's judgment must ultimately be reversed.

5. Conclusion

Therefore, without examining the remaining grounds for appeal, the guilty portion of the lower court's judgment is reversed, and this part of the case is remanded to the court below for further hearing and determination; and it is so decided as stated in the Order by the unanimous opinion of the Justices participating in the judgment.

Chief Justice Kim Myeong-su (Presiding Justice), Justice Park Sang-ok, Justice Lee Ki-taek, Justice Kim Jae-hyung, Justice Park Jeong-hwa, Justice Ahn Cheol-sang, Justice Min Yu-suk, Justice Kim Seon-su (Justice in charge), Justice Lee Dong-won, Justice Noh Jeong-hui, Justice Kim Sang-hwan, Justice Noh Tae-ak, Justice Lee Heung-gu
