In a construction project structured as original contractor (원도급인) → first-tier subcontractor (1차하도급인) → second-tier subcontractor (2차하도급인), unpaid wages arose for workers employed by the second-tier subcontractor. The Supreme Court of Korea (대법원) ruled that the original contractor at the top of the chain does not bear joint and several liability (연대책임) under Article 44 of the former Labor Standards Act (근로기준법). The Court also established the legal principle that merely executing a joint guarantee document (연대보증서) cannot be treated as actual payment of construction costs. The lower court's judgment was reversed and remanded (파기환송) for further review.

Key takeaways
  • CaseWorkers of a second-tier subcontractor were not paid wages, and a claim for reimbursement was pursued up the subcontracting chain to the original contractor.
  • OutcomeThe Supreme Court ruled the original (topmost) contractor is not jointly liable under Article 44 of the Labor Standards Act, and that a joint guarantee document alone does not prove payment of construction costs.
  • LessonWage liability protections for subcontracted workers apply primarily to immediate or nearby higher-tier contractors, not automatically to the original contractor at the very top of a multi-tier subcontracting structure; parties should not rely on a guarantee document alone as proof of payment.
Issues
  • Whether the 'higher-tier contractor' (상위 수급인) referenced in the proviso of Article 44(1) of the former Labor Standards Act includes the original (topmost) contractor
  • The proper scope of reversal when an appellate court has already dismissed all claims raised in an alternative combined lawsuit
Key reasoning

The Court held that the term 'contractor' (수급인) under the statute, by its plain wording, does not literally include the very first (original) contractor at the top of a multi-tiered subcontracting chain. Where subcontracting occurs through two or more tiers, unpaid workers of a lower-tier subcontractor already have a statutory remedy to claim joint liability against their immediate or higher-tier subcontractor, so there is no need to expand the statute's scope to reach the original contractor as well. Additionally, the Court clarified that simply signing a joint guarantee document (연대보증서) does not, by itself, constitute payment of the construction price; actual payment must be separately proven.

Summary of Decision (English, AI translation)

[1] Article 44(1) of the former Labor Standards Act (근로기준법) (before amendment by Act No. 17185 on March 31, 2020) (hereinafter “the above provision”) provides that, where a business is carried out through multiple rounds of subcontracting, if a subcontractor fails to pay wages to its employees due to a cause attributable to the immediately superior contractor, that immediately superior contractor shall be jointly and severally liable with the subcontractor for the wages of the employees employed by the subcontractor (main text), and where the cause attributable to the immediately superior contractor arose from a cause attributable to a higher-tier contractor, that higher-tier contractor shall also be jointly and severally liable (proviso).

Considering the language and legislative purpose of the above provision, where subcontracting has occurred two or more times, the “higher-tier contractor” referred to in the proviso of the above provision should be construed as not including the person who initially placed the order, that is, the original ordering party. The specific reasons are as follows.

① In order to fall under the “higher-tier contractor” referred to in the proviso of the above provision, one must first be a contractor, that is, a person who has received an order or subcontract; however, the original ordering party cannot, in light of the plain language, be regarded as a contractor.

② Where subcontracting has occurred only once, such that there exist only an ordering party and a contractor, if the ordering party is not regarded as the immediately superior contractor, the contractor’s employees would be unable to assert joint and several liability against anyone under the above provision, thereby entirely failing to achieve the legislative purpose of the above provision; accordingly, it is necessary, out of necessity, to regard the ordering party as the immediately superior contractor. By contrast, where subcontracting has occurred two or more times, the subcontractor’s employees are already able to assert joint and several liability against the immediately superior contractor or a higher-tier contractor who is at fault, and considering further that the original ordering party is in many cases not a business operator, there is no need to depart from the plain language “contractor” and adopt an expansive interpretation.

[2] Where the plaintiff appeals from an appellate judgment that dismissed all of several claims joined in the alternative, if the court of final appeal finds that the appeal as to any one of the alternative claims has merit, it must reverse the entirety of the judgment below.

[Judgment Below] Daegu District Court Judgment 2020Na305773, decided April 22, 2022

[Order]

The judgment below is reversed, and the case is remanded to the Daegu District Court.

[Reasoning]

The grounds of appeal (to the extent that the statements in the briefs submitted after the expiration of the period for submitting the grounds of appeal supplement the grounds of appeal) are examined.

1. Determination on the First Ground of Appeal

A. Article 44(1) of the former Labor Standards Act (근로기준법) (before amendment by Act No. 17185 on March 31, 2020) (hereinafter “the instant provision”) provides that, where a business is carried out through multiple subcontracts, if a subcontractor fails to pay wages to workers due to a cause attributable to the immediately superior contractor, the immediately superior contractor shall be jointly and severally liable with the subcontractor to pay the wages of the workers employed by the subcontractor (main text), and further provides that where the cause attributable to the immediately superior contractor arose from a cause attributable to a higher-tier contractor, such higher-tier contractor shall also be jointly and severally liable (proviso).

Considering the language and legislative purpose of the instant provision, where subcontracting has occurred two or more times, the “higher-tier contractor” under the proviso of the instant provision should be interpreted as not including the person who originally placed the order, i.e., the original ordering party. The specific reasons are as follows.

1) In order to fall under the “higher-tier contractor” referred to in the proviso of the instant provision, one must first be a contractor, that is, a person who has received an order or a subcontract; however, the original ordering party cannot, in light of the language of the provision, be regarded as falling under the category of “contractor.”

2) Where subcontracting has occurred only once, so that there exist only an ordering party and a contractor, unless the ordering party is deemed to be the immediately superior contractor, the workers of the contractor would have no one against whom to claim joint and several liability under the instant provision, thereby completely failing to achieve the legislative purpose of the provision; therefore, it is unavoidably necessary to regard the ordering party as the immediately superior contractor in such a case (see, e.g., Supreme Court Decision 97Da48388, decided February 5, 1999, etc.). By contrast, where subcontracting has occurred two or more times, the subcontractor’s workers can already assert joint and several liability against the immediately superior contractor or a higher-tier contractor who bears a cause attributable, and considering also that the original ordering party is in many cases not a business operator, there is no need to depart from the language “contractor” to give it an expansive interpretation.

B. The court below determined, for the reasons stated in its judgment, that the Defendant, as the original ordering party who subcontracted the instant construction work to the non-party company, does not bear joint and several liability under the instant provision toward the workers of the non-party company’s subcontractor or its sub-subcontractor. Examining the reasoning of the judgment below in light of the aforementioned legal principles and the record, there is no error in the judgment below that misapprehended the legal principles concerning the “higher-tier contractor” under the instant provision in a manner that affected the conclusion of the judgment.

2. Determination on the Second Ground of Appeal

A. The court below, with respect to the Plaintiff’s claim exercising the right of subrogation for the non-party company’s claim for construction payment against the Defendant, based on the Plaintiff’s claim for a fixed amount against the non-party company as the preserved claim, determined that the Defendant had paid the entire construction payment owed to the non-party company, on the ground that the sum of (i) the amount the Defendant paid directly to the non-party company, (ii) the amount the Defendant paid to satisfy the non-party company’s subcontract construction payment obligations, and (iii) the amount for which the Defendant provided a joint and several guarantee for the non-party company’s remaining subcontract construction payment obligations and executed a notarial deed consenting to compulsory execution thereon, exceeded the construction payment the Defendant was obligated to pay to the non-party company. On this basis, the court below dismissed this part of the Plaintiff’s claim.

B. However, absent any separate agreement between the parties, the mere fact that the Defendant provided a joint and several guarantee for the non-party company’s obligation and executed the aforementioned notarial deed cannot be regarded as equivalent to the Defendant having performed the monetary payment obligation it owes to the non-party company. Nevertheless, the court below erred in finding, based solely on the aforementioned circumstances, that the Defendant had paid the entire construction payment owed to the non-party company, thereby misapprehending the legal principles concerning the effect of a joint and several guarantee and the extinction of obligations, which affected the conclusion of the judgment. The ground of appeal pointing this out is well-founded.

3. Scope of Reversal

Where a plaintiff appeals against a judgment of the appellate court that dismissed all of several claims joined in the alternative, if the appellate court finds that the appeal regarding any one of the alternative claims is well-founded, the judgment below must be reversed in its entirety (see, e.g., Supreme Court en banc Decision 2010Da95390, decided January 19, 2012, etc.). As discussed above, since the portion of the Plaintiff’s claim based on the exercise of the creditor’s subrogation right is unlawful and must be reversed, the portion of the Plaintiff’s claim based on the instant provision, which stands in an alternative relationship with the aforementioned claim, must also be reversed.

4. Conclusion

Therefore, the judgment below is reversed, and the case is remanded to the court below for further hearing and determination. This judgment is rendered by the unanimous opinion of the Justices participating in the decision, as set forth in the Order.

Justice Eom Sang-pil (Presiding Justice), Justice Noh Jeong-hee, Justice Lee Heung-gu (Justice in Charge), Justice Oh Seok-jun
