The company introduced a wage peak system (임금피크제) with the labor union's consent, cutting an employee's wages progressively down to 60% and then 40% of the original amount. The Supreme Court held that because the employee's existing individual employment contract was more favorable and the employee had not individually consented to the change, the original employment contract terms should prevail over the amended rules of employment (취업규칙).

Key takeaways
  • CaseIncident: The company introduced a wage peak system with union consent, drastically cutting the employee's wages to 60% and then 40% of the original level.
  • OutcomeResult: The court ruled that since the employee's original contract was more favorable and he had not individually consented, the employer was required to pay wages under the original contract terms.
  • LessonLesson: Union consent alone is not sufficient — employers must obtain each individual employee's personal consent before making unfavorable changes to wages.
Issues
  • Whether rules of employment amended with collective consent take precedence over an employee's pre-existing individual employment contract
  • Whether individual employee consent is required when introducing a wage peak system that reduces wages
  • The legal effect of a pre-existing individual employment contract when rules of employment are amended to the employee's disadvantage
Key reasoning

Under Article 94 of the Labor Standards Act (근로기준법), collective consent from a labor union or majority of employees is merely a procedural requirement for validly amending the rules of employment (취업규칙). However, when such an amendment is unfavorable to employees and conflicts with an existing individual employment contract that is more favorable to the employee, the individual contract terms continue to control unless the employee personally consents to the change. In other words, collective consent to amend workplace rules cannot substitute for an individual employee's consent when the amendment reduces contractual benefits already secured under that employee's personal employment contract. Since the wage peak system in this case was less favorable than the terms of the employee's existing individual contract, and the employee never individually agreed to the reduction, the previous contractual wage terms remained legally binding and enforceable.

Summary of Decision (English, AI translation)

[1] Article 97 of the Labor Standards Act (근로기준법) provides: “A labor contract that sets working conditions falling short of the standards prescribed in the rules of employment shall be null and void with respect to that part. In such a case, the invalidated part shall be governed by the standards prescribed in the rules of employment.” This provision is intended to protect employees, who are in a subordinate position, by conferring upon the rules of employment mandatory and supplementary effect as minimum standards where the working conditions set forth in a labor contract fall short of the standards prescribed in the rules of employment, thereby invalidating the portion of the labor contract that falls short of the rules of employment and having that portion governed by the standards set forth in the rules of employment, so as to prevent an employee from being made to accept working conditions falling short of the standards set by the rules of employment under the guise of an individual agreement between labor and management. Considering the content and legislative purpose of this provision, when Article 97 of the Labor Standards Act is construed in reverse, a portion of an individual labor contract that sets working conditions more favorable than the standards prescribed in the rules of employment is valid and takes precedence over the standards prescribed in the rules of employment.

Meanwhile, Article 94 of the Labor Standards Act provides: “When preparing or amending the rules of employment, an employer shall hear the opinion of the labor union, if there is a labor union organized by a majority of the employees at the relevant business or workplace, or of a majority of the employees, if there is no labor union organized by a majority of the employees. Provided, that when amending the rules of employment in a manner disadvantageous to employees, the employer shall obtain their consent.” This provision establishes the requirement of obtaining such collective consent in order to protect employees where an employer seeks to amend, in a manner disadvantageous to employees, rules of employment that the employer unilaterally establishes. Furthermore, Article 4 of the Labor Standards Act provides: “Working conditions shall be determined by free will of workers and employers on an equal footing.” The main purpose of this provision is to protect employees by making clear that an employer shall not unilaterally determine working conditions and that working conditions are matters to be determined through free agreement between the parties to the employment relationship. Considering the content and purpose of each of these provisions, since the collective consent required under Article 94 of the Labor Standards Act is merely a requirement for the valid amendment of the rules of employment, even where the rules of employment have been amended disadvantageously to employees with such collective consent, the principle of free determination of working conditions under Article 4 of the Labor Standards Act must still be observed.

Therefore, rules of employment amended in a manner disadvantageous to employees cannot be said to have effect prevailing over a pre-existing individual labor contract provision that sets more favorable working conditions, even if collective consent was obtained. In such a case, the content of the labor contract continues to remain validly in effect, the favorable content of the labor contract may not be altered by the standards of the amended rules of employment, and, absent the individual employee’s consent, the content of the labor contract that is more favorable than the rules of employment shall apply with priority.

[2] In a case where Gap, an employee, and Eul Co., Ltd., an employer, entered into a labor contract in the form of an annual salary contract fixing a basic annual salary, and Eul Co., Ltd. thereafter, with the consent of the labor union organized by a majority of its employees, enacted and publicly announced detailed rules on the operation of a wage peak system as rules of employment, which rules defined the “wage peak base annual salary” as the total annual salary comprising the basic annual salary set under the annual salary contract plus welfare benefits, and provided that an employee with less than two years remaining until retirement age would be paid 60% of the wage peak base annual salary, and an employee with less than one year remaining until retirement age would be paid 40% of the wage peak base annual salary, and where Gap expressed his intent not to consent to the application of the wage peak system, but Eul Co., Ltd. nevertheless paid Gap wages reduced in accordance with the rules of employment: the court held that, since the rules of employment had the effect of reducing by 60% or 40% the annual salary amount set forth in the labor contract for Gap, an employee subject to the wage peak system, and since Gap did not consent to the amendment of the labor contract in accordance with the standards of the rules of employment, the pre-existing labor contract, which set more favorable working conditions than the rules of employment with respect to the annual salary amount, applied with priority; even though the rules of employment had obtained the consent of the majority labor union, the pre-existing labor contract remained validly in effect, and the annual salary amount set forth in the pre-existing labor contract could not be reduced pursuant to the rules of employment. The court held that the judgment below, which held otherwise, erred in its misapprehension of the legal principles.

[Defendant, Appellee] Mungyeong Leisure Town Co., Ltd. (Attorney Lee Sang-uk, Counsel for the Defendant)
[Judgment Below] Suwon District Court Decision 2017Na68660 Decided December 7, 2017

[Order]

The judgment below is reversed, and the case is remanded to the Panel Division of the Suwon District Court.

[Reasoning]

The grounds of appeal (including the supplementary brief on grounds of appeal submitted after the expiration of the period for submitting the grounds of appeal, to the extent it supplements the grounds of appeal) are examined as follows.

1. Article 97 of the Labor Standards Act (근로기준법) provides: “A labor contract that sets working conditions falling short of the standards set forth in the rules of employment shall be null and void with respect to that portion. In such a case, the invalidated portion shall be governed by the standards set forth in the rules of employment.” This provision is intended to protect employees, who are in a subordinate position, by granting the rules of employment mandatory and supplementary effect as a minimum standard where the working conditions set forth in a labor contract fall short of the standards set forth in the rules of employment, thereby invalidating the portion of the labor contract that falls short of the rules of employment and having that portion governed by the standards set forth in the rules of employment, so as to prevent employees from being forced, under the guise of an individual agreement between labor and management, to accept working conditions falling short of the standards set forth in the rules of employment. Considering the content and legislative purpose of this provision, when Article 97 of the Labor Standards Act is interpreted a contrario, the portion of an individual labor contract that sets working conditions more favorable than the standards set forth in the rules of employment is valid and takes precedence over the standards set forth in the rules of employment.

Meanwhile, Article 94 of the Labor Standards Act provides: “In preparing or amending the rules of employment, an employer shall hear the opinion of the labor union, if there is a labor union organized by a majority of the employees of the relevant business or workplace, or the opinion of a majority of the employees, if there is no labor union organized by a majority of the employees. Provided, That where the rules of employment are to be amended disadvantageously to the employees, the employer shall obtain their consent.” This provision requires an employer, who unilaterally establishes the rules of employment, to obtain the collective consent described above when seeking to amend the rules of employment disadvantageously to employees, in order to protect the employees. Furthermore, Article 4 of the Labor Standards Act provides: “Working conditions shall be determined by free agreement between employees and employers on an equal footing.” The main purpose of this provision is to protect employees by making clear that an employer must not unilaterally determine working conditions, and that working conditions are matters to be determined through free agreement between the parties to the employment relationship. Considering the content and purpose of each of these provisions, the collective consent required under Article 94 of the Labor Standards Act is merely a requirement for a valid amendment of the rules of employment; therefore, even where the rules of employment have been amended disadvantageously to employees with collective consent, the principle of free determination of working conditions under Article 4 of the Labor Standards Act must still be observed.

Accordingly, rules of employment amended in a manner disadvantageous to employees cannot be deemed to take precedence over the portion of an existing individual labor contract that sets more favorable working conditions, even if collective consent was obtained. In such a case, the content of the labor contract continues to remain valid, the favorable content of the labor contract cannot be altered by the standards of the amended rules of employment, and, absent the individual employee’s consent, the content of the labor contract, which is more favorable than the rules of employment, takes precedence and applies.

2. A. According to the reasoning of the judgment below and the record, the following facts and circumstances may be ascertained.

1) The Plaintiff, an employee at Grade 1, and the Defendant, the employer, entered into an annual salary contract in or around March 2014 setting the base annual salary at KRW 70,900,000 (hereinafter “the instant labor contract”). Converting the above base annual salary into a monthly amount results in a monthly base salary of KRW 5,908,330.

2) On June 25, 2014, the Defendant obtained the consent of the labor union organized by a majority of the Defendant’s employees and enacted and announced the Wage Peak System Operation Rules (hereinafter “the instant rules of employment”), which constitute rules of employment. The instant rules of employment set the “wage peak base annual salary” as the total annual salary consisting of the base annual salary set forth in the annual salary contract plus welfare benefits, and provide that an employee with less than two years remaining until mandatory retirement shall be paid 60% of the wage peak base annual salary, and an employee with less than one year remaining until mandatory retirement shall be paid 40% of the wage peak base annual salary.

3) In accordance with the instant rules of employment (however, using the base annual salary under the annual salary contract, rather than the wage peak base annual salary, as the reference), the Defendant calculated the Plaintiff’s monthly base salary as KRW 3,545,000 (= KRW 5,908,330 × 0.6) for the period from October 1, 2014 to June 30, 2015, on the ground that the Plaintiff had less than two years remaining until mandatory retirement, and as KRW 2,363,330 (= KRW 5,908,330 × 0.4) for the period from July 1, 2015 to June 30, 2016 (the Plaintiff’s date of mandatory retirement), on the ground that the Plaintiff had less than one year remaining until mandatory retirement, and paid wages accordingly, taking into account deductions arising from a disciplinary suspension, among other things.

4) When the Defendant, on September 23, 2014, notified the Plaintiff of the details of wages under the application of the wage peak system, the Plaintiff expressed to the Defendant an intention not to consent to the application of the wage peak system. Meanwhile, it does not appear that the content of the Plaintiff’s duties changed before or after the application of the instant rules of employment.

B. Examining the above facts and circumstances in light of the legal principles set forth above, since the instant rules of employment have the effect of reducing, by 60% or 40%, the annual salary amount set forth in the instant labor contract for the Plaintiff, an employee who became subject to the wage peak system, it must be said that, with respect to the annual salary amount, the instant labor contract sets forth working conditions more favorable than the instant rules of employment. Accordingly, since the Plaintiff did not consent to the amendment of the instant labor contract in accordance with the standards of the instant rules of employment, the instant labor contract, which sets forth working conditions more favorable than the instant rules of employment with respect to the annual salary amount, takes precedence and applies. Ultimately, even though the instant rules of employment obtained the consent of the majority labor union, the instant labor contract continues to remain valid, and the annual salary amount set forth in the instant labor contract cannot be reduced by the instant rules of employment.

3. Nevertheless, the court below determined, based solely on circumstances such as that the instant rules of employment were validly amended with collective consent, that the instant rules of employment, which were amended disadvantageously as compared to the instant labor contract, applied to the Plaintiff as well, rather than the instant labor contract. Such determination by the court below contains an error that misapprehends the legal principles concerning the relationship between rules of employment and labor contracts and the disadvantageous amendment of rules of employment, thereby affecting the judgment.

4. Therefore, without examining the remaining grounds of appeal, the judgment below is reversed, and the case is remanded to the court below for further hearing and determination. This Judgment is rendered in accordance with the unanimous opinion of the Justices participating in the adjudication of this case, as set forth in the Order.
