In this case, workers sought additional statutory allowances calculated by including regular bonuses (정기상여금) in their ordinary wage (통상임금) base, despite a labor-management agreement (노사합의) that had excluded such bonuses from the ordinary wage calculation. The Supreme Court found that, given the company's sound financial condition, paying these additional allowances would not violate the principle of good faith (신의성실원칙). The Court reversed the lower court's decision and remanded the case for further proceedings.

Key takeaways
  • CaseIncident: Despite a labor-management agreement excluding regular bonuses from the ordinary wage, a worker filed a claim against the company for additional statutory allowances calculated to include those bonuses.
  • OutcomeResult: The Supreme Court ruled that, given the company's sound financial condition, the worker's claim did not violate the principle of good faith, and reversed and remanded the lower court's decision.
  • LessonLesson: Courts must exercise caution, as overriding the Labor Standards Act with the good faith principle is only justified when special circumstances threaten the very survival of the company.
Issues
  • The validity of a labor-management agreement excluding regular bonuses from the ordinary wage calculation
  • Whether a worker's claim for additional statutory allowances violates the principle of good faith
  • The strict standard for applying the good faith principle when an employer claims financial hardship
Key reasoning

The Court held that prioritizing the good faith principle (신의칙) over the mandatory provisions of the Labor Standards Act (근로기준법) is permissible only in exceptional cases involving special circumstances. Courts must be cautious and strict when determining whether a worker's claim for additional statutory allowances would seriously threaten the employer's business viability. In this case, considering the company's healthy financial and operational status, there was no basis to conclude that the workers' claim violated the good faith principle. Therefore, the lower court's application of the good faith doctrine to bar the claim was found to be erroneous.

Summary of Decision (English, AI translation)

[1] The principle of good faith (hereinafter “the principle of good faith”) refers to the abstract norm that a party to a legal relationship must not exercise rights or perform obligations in a manner or with content that is inequitable or breaches trust, while giving consideration to the interests of the other party. In order to deny the exercise of a right on the ground that it violates the principle of good faith, it must be shown that trust was conferred upon the other party, or that, viewed objectively, the other party has reached a state in which it is justified in holding such trust, and that exercising the right in a manner contrary to such trust of the other party has reached a degree that cannot be tolerated in light of the concept of justice.

Where the content of a labor-management agreement, such as a collective agreement, is invalid because it violates a mandatory provision of the Labor Standards Act (근로기준법), if an assertion of such invalidity were rejected on the ground that it constitutes an exercise of rights contrary to the principle of good faith, this would result in undermining the legislative purpose embodied in the mandatory provision; therefore, in principle, such an assertion cannot be deemed to violate the principle of good faith. However, this does not mean that the application of the principle of good faith is excluded without exception merely because the content of a labor-management agreement violates a mandatory provision of the Labor Standards Act. Only in exceptional cases where the general requirements for applying the principle of good faith set out above are satisfied, and where there exist special circumstances justifying the prioritized application of the principle of good faith notwithstanding the mandatory nature of the Labor Standards Act, may an assertion of invalidity of the labor-management agreement be deemed impermissible as violating the principle of good faith.

Where, in a labor-management agreement, the parties agreed to exclude regular bonuses from the basis for calculating ordinary wages on the premise that regular bonuses do not in themselves constitute ordinary wages, and set wage levels on that basis, if the employees were to add the regular bonuses to ordinary wages and, on that basis, demand payment of additional statutory allowances, thereby imposing a new financial burden on the employer that causes serious managerial difficulties or jeopardizes the survival of the enterprise, this may be markedly contrary to good faith in light of the concepts of justice and equity.

However, in determining whether to give priority to the principle of good faith over the mandatory provisions governing labor relations, it is necessary to fully consider the legislative purpose of the Labor Standards Act and similar statutes, which is to guarantee and improve the basic livelihood of workers by establishing minimum standards for working conditions. Moreover, since it is the employer who operates the enterprise, and the business circumstances of an enterprise may change at any time depending on various economic and social conditions inside and outside the enterprise, if a worker’s claim for additional statutory allowances arising from the recalculation of ordinary wages were to be rejected on the ground that it causes serious managerial difficulties or jeopardizes the survival of the enterprise, this could effectively result in shifting the risks of business management onto the workers. Therefore, whether a worker’s claim for additional statutory allowances violates the principle of good faith by causing serious managerial difficulties to the employer or jeopardizing the survival of the enterprise must be determined carefully and strictly.

[2] In a case where the issue was whether the claims of Eul et al., employees of Gap Co., Ltd., for additional statutory allowances violated the principle of good faith, the court held as follows: in light of the facts that (i) the scale of additional statutory allowances that other employees of Gap Co., Ltd. who have not filed suit could claim against Gap Co., Ltd. in the future amounts to only about 2–4% of Gap Co., Ltd.’s annual revenue and about 5–10% of the total labor costs for the relevant year; (ii) in view of Gap Co., Ltd.’s retained earnings for the relevant year, it appears that a substantial portion of the additional statutory allowances could be paid; and (iii) Gap Co., Ltd. had recorded operating profits for five consecutive years up to and including the relevant year, had consistently generated net income, and its revenue had continued to increase, it cannot be concluded that paying the additional statutory allowances would cause serious managerial difficulties to Gap Co., Ltd. or jeopardize the survival of the enterprise; therefore, the claims of Eul et al. cannot be deemed to violate the principle of good faith. The court held that the lower court’s judgment, which found otherwise, contained an error of law based on a misunderstanding of the applicable legal principles, among other errors.

[Judgment Below] Seoul High Court Decision 2014Na2033671 decided April 29, 2015

[Order]

The judgment below is reversed, and the case is remanded to the Seoul High Court.

[Reasoning] The grounds of appeal are examined.

1. The principle of good faith and fair dealing (신의성실의 원칙; hereinafter “the principle of good faith”) refers to the abstract norm that parties to a legal relationship must not exercise their rights or perform their obligations in a manner or with content that is inequitable or betrays trust, while having regard to the interests of the other party. In order to deny the exercise of a right on the ground that it violates the principle of good faith, it must be shown that trust was conferred upon the other party, or that, objectively viewed, the other party's holding of such trust had reached a legitimate state, and that the exercise of the right in violation of such trust of the other party has reached a degree that cannot be tolerated in light of the concept of justice.

Where the content of a labor-management agreement, such as a collective bargaining agreement, is null and void for violating a mandatory provision of the Labor Standards Act (근로기준법), if an assertion of such nullity were rejected on the ground that it constitutes an exercise of rights in violation of the principle of good faith, this would result in undermining the legislative purpose of the mandatory provision; therefore, in principle, such an assertion cannot be deemed to violate the principle of good faith. However, this does not mean that the application of the principle of good faith is excluded without exception merely because the content of a labor-management agreement violates a mandatory provision of the Labor Standards Act. Only in exceptional cases where the general requirements for applying the principle of good faith set out above are satisfied, and where there exist special circumstances that justify giving priority to the principle of good faith over the mandatory nature of the Labor Standards Act, may an assertion of the nullity of such a labor-management agreement be held impermissible as violating the principle of good faith.

Where, in a labor-management agreement, it was agreed to exclude regular bonuses from the basis for calculating ordinary wages on the premise that regular bonuses do not in themselves constitute ordinary wages, and wage levels were set on that premise, it may be significantly contrary to good faith, in light of the concepts of justice and equity, for the employees to add the regular bonuses to ordinary wages and, on that basis, seek payment of additional statutory allowances, thereby imposing a new financial burden on the employer that causes serious managerial difficulties or threatens the survival of the enterprise (see Supreme Court en banc Decision 2012Da89399 decided December 18, 2013).

However, in determining whether to give priority to the principle of good faith over mandatory provisions governing labor relations, full consideration must be given to the legislative purpose of the Labor Standards Act and similar statutes, which is to guarantee and improve the basic livelihood of workers by setting minimum standards for working conditions. Furthermore, since it is the employer who is the entity managing the enterprise, and since the business conditions of an enterprise may change from time to time according to various economic and social circumstances both inside and outside the enterprise, if a worker's claim for additional statutory allowances arising from the recalculation of ordinary wages were rejected on the ground that it causes serious managerial difficulties or threatens the survival of the enterprise, this could effectively result in shifting the risks of enterprise management onto the workers. Therefore, whether a worker's claim for additional statutory allowances violates the principle of good faith by causing serious managerial difficulties to the employer or threatening the survival of the enterprise must be determined carefully and strictly.

2. Examining the following circumstances, which can be ascertained from the reasoning of the judgment below and the record, in light of the legal principles set out above, it cannot be concluded that paying the additional statutory allowances would cause serious managerial difficulties to the Defendant or threaten the survival of its enterprise; therefore, the Plaintiff's claim in this case cannot be deemed to violate the principle of good faith.

A. The court below calculated the total amount of additional statutory allowances accruing to the Defendant's employees from August 1, 2011 to November 11, 2012 as approximately KRW 782,650,053. However, if the portions of the additional statutory allowances of employees other than the Plaintiff (Selected Party) and the Selected Parties, who did not file suit, for which the statute of limitations had already run as of the date of closing of argument in the court below, are deducted, the additional statutory allowances that the Defendant's employees may claim against the Defendant are estimated at approximately KRW 400 million.

B. The above scale of additional statutory allowances amounts to only about 2-4% of the Defendant's annual sales revenue, and about 5-10% of the total personnel expenses in 2013.

C. As of 2013, the Defendant's retained earnings alone exceeded KRW 300 million, indicating that a significant portion of the above additional statutory allowances could be paid.

D. The Defendant has recorded operating profits for five consecutive years since 2009, has continuously generated net income, and its sales revenue has also continued to increase.

E. Since the Defendant is subject to the bus quasi-public operation system (버스준공영제), it appears that, absent special circumstances, it will be able to operate its business stably.

3. Nevertheless, the court below determined that the Plaintiff's claim was impermissible as violating the principle of good faith, based solely on circumstances such as the fact that the total amount of statutory allowances the Defendant would additionally bear amounts to approximately KRW 782,650,053, as stated in its reasoning. Such determination by the court below contains an error affecting the judgment, in that it misapprehended the legal principles concerning the principle of good faith, or violated the rules of logic and experience, thereby exceeding the limits of free evaluation of evidence and erroneously finding the facts.

4. Therefore, the judgment below is reversed, and the case is remanded to the court below for further hearing and determination. This decision is rendered by the unanimous opinion of the participating Justices as stated in the Order.
