In a case where employees of the Korean Red Cross (대한적십자사) disputed whether their year-end bonus (기말상여금) and performance-based pay (성과급) should be counted as part of their 'ordinary wages' (통상임금) — the base wage figure used to calculate overtime pay and other allowances — the Supreme Court (대법원) ruled that a requirement of at least 15 days of work does not disqualify a bonus from being an ordinary wage, as long as an employee working their regular contracted hours could still meet that condition. The Court also held that the guaranteed minimum portion of the performance-based pay qualifies as an ordinary wage. The lower court's ruling was overturned and the case was remanded to the High Court (고등법원) for further proceedings.

Key takeaways
  • CaseIncident: Employees of the Korean Red Cross argued that their year-end bonus and performance pay should be classified as ordinary wages, which would increase their overtime pay and other wage-based benefits.
  • OutcomeResult: The Supreme Court ruled that even with a 15-day minimum work requirement, the bonus counts as an ordinary wage if a normally working employee could meet that condition, and the guaranteed minimum portion of the performance pay also qualifies as an ordinary wage.
  • LessonLesson: Companies should carefully review whether bonus or performance pay structures could be classified as ordinary wages when drafting compensation policies, and consider formal agreements to exclude such payments from ordinary wage calculations if that is not the intended outcome.
Issues
  • Whether the year-end bonus (기말상여금) qualifies as an ordinary wage (통상임금)
  • Whether the guaranteed minimum portion of performance-based pay (성과급) qualifies as an ordinary wage
  • The correct reference point in time for determining whether the previous year's performance pay counts as ordinary wage
Key reasoning

The Court reasoned that conditions requiring an employee to be employed on a specific date, or to have worked a certain number of days within their total scheduled working days, do not automatically disqualify a payment from being treated as an ordinary wage — as long as employees performing their regular contracted work could realistically satisfy that condition. Applying this principle, the guaranteed minimum amount of the performance-based pay was found to be compensation for regular contracted work, and therefore qualifies as an ordinary wage. The Court further clarified that when determining whether the previous year's performance pay counts as a guaranteed minimum payment, the assessment must be based on conditions during that prior year (the period for which the pay was actually earned), not the year in which it is paid out.

[Judgment Below] Seoul High Court Judgment 2020. 2. 7., 2014Na2045667, 2045681, 2045674

[Order]

Of the judgment below, all portions except the claims of Plaintiff 15, Plaintiff 24, and Plaintiff 25 for increased retirement allowance are reversed, and this portion of the case is remanded to the Seoul High Court. The appeal concerning the claims of Plaintiff 15, Plaintiff 24, and Plaintiff 25 for increased retirement allowance is dismissed.

[Reasoning] The grounds of appeal (including the descriptions in the briefs submitted after the deadline for submission of grounds of appeal, to the extent they supplement the grounds of appeal) are examined.
1. Regarding the legality of the amendment of claims (Defendant's first ground of appeal)
The court below, for the reasons stated in its judgment, rejected the Defendant's argument that the Plaintiffs' amendment of claims through the application to amend the purport of claim dated October 5, 2018 (hereinafter "the October 5, 2018 amendment of claims") was unlawful because it fell under a case that would significantly delay the litigation procedure.
Examining the reasoning of the judgment below in light of the relevant legal principles, there is no error in the lower court's determination, such as a misunderstanding of the legal principles concerning amendment of claims that affected the judgment, as argued in the grounds of appeal.
2. Regarding whether the payments constitute ordinary wages (Plaintiffs' first and second grounds of appeal, Defendant's second and third grounds of appeal)
A. Legal principles concerning ordinary wages
1) Article 6(1) of the Enforcement Decree of the Labor Standards Act (근로기준법 시행령) defines ordinary wages as "the hourly wage amount, daily wage amount, weekly wage amount, monthly wage amount, or piece-rate wage amount determined to be paid regularly and uniformly to an employee for prescribed work or total work." Interpreting the concept of ordinary wages faithfully to the definition and purpose of the statute, ordinary wages refer to wages determined to be paid regularly and uniformly as consideration for prescribed work. Wages determined to be paid regularly and uniformly as consideration when an employee fully provides prescribed work constitute ordinary wages regardless of the existence or likelihood of fulfillment of any condition attached thereto. Conditions attached to wages may be considered as one of the factors negating the character of consideration for prescribed work, regularity, or uniformity in the process of substantively determining the objective nature of the relevant wage, but the mere fact that the fulfillment of a condition is uncertain cannot be deemed to negate the status of ordinary wages.
Since ordinary wages are a conceptual tool reflecting the value of prescribed work as distinguished from actual work, they must be calculated based on an employment relationship premised on the continuous provision of prescribed work. An employee's continued employment is a natural prerequisite for providing prescribed work pursuant to the employment contract. Therefore, the mere fact that a condition is attached requiring that an employee be employed at a specific point in time in order to receive a certain wage does not negate the wage's character as consideration for prescribed work or its status as ordinary wages.
Even where a condition is attached to a certain wage requiring the fulfillment of a certain number of working days for payment (hereinafter "working days condition"), if such condition is one that an employee who fully provides prescribed work would satisfy—that is, a working days condition set within the number of prescribed working days—the mere fact that such condition is attached does not negate the wage's status as ordinary wages. Even if an employee's actual number of working days falls short of the prescribed working days such that the employee fails to receive the wage subject to the working days condition, so long as the wage possesses the character of consideration for prescribed work, regularity, and uniformity, it must be included in ordinary wages for the purpose of calculating statutory allowances for extended, night, and holiday work.
Incentive pay paid according to an employee's work performance is not paid merely because the employee provided prescribed work, but is paid only when certain work performance is achieved or an evaluation result reaches a certain standard; thus, it is generally difficult to view it as having the character of "consideration for prescribed work." Therefore, incentive pay in such a pure sense cannot be deemed to constitute ordinary wages. However, where it is determined that a minimum fixed amount will be paid regardless of work performance, that amount (hereinafter "minimum payment portion") constitutes consideration for prescribed work (see Supreme Court en banc Decision 2020Da247190, decided December 19, 2024, etc.). Even if incentive pay determined according to an employee's work performance in the preceding year is paid in the current year, if only the timing of payment is set as the current year, the relevant incentive pay constitutes wages for the preceding year. Since ordinary wages must be capable of being calculated before extended, night, or holiday work is provided, whether there is a minimum payment portion with respect to incentive pay that constitutes wages for the preceding year must be determined based on the preceding year, which is the period subject to payment, rather than the current year, which is the time of payment; and if there is a minimum payment portion, this constitutes consideration for prescribed work in the preceding year and thus constitutes ordinary wages for the preceding year.
B. Whether the year-end bonus constitutes ordinary wages (Plaintiffs' second ground of appeal)
1) The court below determined that the year-end bonus is a wage that is paid only upon fulfillment of the condition of having worked at least 15 days during the calculation period, and therefore lacks fixedness, and thus does not constitute ordinary wages.
2) According to the reasoning of the judgment below and the evidence duly adopted and examined by the court below, the following facts may be known.
A) The Defendant's collective bargaining agreement and remuneration regulations provide, with respect to the year-end bonus, that 100% of the payment base amount is to be paid each in March, June, September, and December of each year, for a total of 400%, provided that "a person whose number of days of salary payment is less than 15 days" during the year-end bonus calculation period (referring to the period between the previous reference date and the current reference date, with the reference date being the last day of the month in which the year-end bonus is paid) is excluded from the recipients of payment.
B) The Defendant's collective bargaining agreement sets "8 hours per day, 40 hours per week" as the standard working hours, and provides for work from Monday to Friday.
3) Examining the above factual relationship in light of the legal principles set forth above: The Defendant's workplace appears to ordinarily operate on a 5-day work week, and 15 days of salary payment (working days) within the approximately three-month year-end bonus calculation period, which is a payment requirement for the year-end bonus, constitutes a number of working days that an employee who fully provides prescribed work could satisfy. Since the year-end bonus is a wage in which a fixed amount equivalent to 400% of the payment base amount is divided and paid at fixed intervals, it constitutes ordinary wages determined to be paid regularly and uniformly as consideration for prescribed work, notwithstanding the above condition regarding the number of days of salary payment (working days).
Nevertheless, the court below determined that the year-end bonus does not constitute ordinary wages based solely on the circumstances stated in its judgment. This determination by the court below contains an error of misunderstanding the legal principles concerning ordinary wages that affected the judgment.
C. Whether the performance evaluation pay constitutes ordinary wages (Plaintiffs' first ground of appeal, Defendant's second ground of appeal)
1) Determination of the court below
The court below determined that the performance evaluation pay is a wage paid in the current year based on an evaluation of the preceding year's work performance, etc., and since its payment rate and specific payment amount are determined in the middle of the current year, the entire amount cannot be deemed to have fixedness; however, the minimum performance evaluation pay received even if the lowest grade is received in the evaluation of work performance, etc. (95% up to the 2011 performance evaluation pay, and 66% from the 2012 performance evaluation pay onward) has fixedness and thus constitutes ordinary wages for the current year.
2) Determination of the Supreme Court
A) According to the reasoning of the judgment below and the evidence duly adopted and examined by the court below, the following circumstances or facts may be known.
(1) In the course of this litigation, the Plaintiffs argued that the performance evaluation pay is consideration for work of the current year and thus constitutes ordinary wages for the current year, while the Defendant disputed this, arguing that the performance evaluation pay constitutes consideration for work of the preceding year.
(2) The Defendant's employee remuneration operation regulations provide as follows with respect to performance evaluation pay.
① Taking into account the work performance, etc. of each of the Defendant's institutions for each fiscal year, a payment rate for each institution is calculated and paid on or after April 15 of the following year, with the payment standards and timing to be separately determined by the Defendant (President).
② The payment amount shall be the amount calculated according to the formula "payment base amount × number of months worked / 12 months × applicable institution's payment rate," based on the payment base amount as of the end of the year subject to evaluation (December 31), provided that no payment shall be made to a person whose number of days of salary payment for the year subject to evaluation is less than 15 days.
③ Payment shall be made only to a person who was employed as of December 31 of the preceding year, based on the payment date.
(3) The Defendant, each year, evaluated the preceding year's work performance, etc. for each institution, determined the grade and payment rate for each institution, and then paid the performance evaluation pay between April and June of the current year. An employee who was employed as of December 31 of the preceding year but retired in the current year was paid performance evaluation pay in proportion to the number of months worked in the preceding year, whereas it appears that an employee who joined in the current year was not paid performance evaluation pay in the current year.
(4) The payment rate for performance evaluation pay was a minimum of 95% and a maximum of 105% in 2011 and 2012, when the performance evaluation pay for 2010 and 2011 was paid, but was set at a minimum of 66% and a maximum of 134% in 2013, when the performance evaluation pay for 2012 was paid. The Defendant's employee remuneration operation regulations contain no provision to the effect that a minimum fixed rate or amount will be paid even if the relevant institution receives the lowest grade, and the Defendant's wage agreements for 2010 through 2012 provide that the head of each institution may reduce the payment of performance evaluation pay taking into account financial circumstances and budget, etc.
B) Examining the above factual relationship in light of the legal principles set forth above:
(1) The performance evaluation pay is paid only to employees who were employed as of December 31 of the preceding year and whose number of working days in the preceding year was 15 days or more; however, the mere fact that such an employment condition and working days condition are attached should not be deemed to negate the character of consideration for prescribed work.
(2) However, in light of the fact that, among other things, a retiree who was employed as of December 31 of the preceding year is paid in proportion to the number of months worked in the preceding year, whereas an employee who joined in the current year is not paid at all, it is reasonable to view the performance evaluation pay as wages for the preceding year for which only the timing of payment was set as the current year.
(3) As such, the performance evaluation pay constitutes wages for the preceding year. However, the Defendant's employee remuneration operation regulations do not provide for a minimum payment rate or amount with respect to the performance evaluation pay. The payment rate for the 2012 performance evaluation pay changed compared to the payment rates for the 2010 and 2011 performance evaluation pay. Considering these circumstances, there is significant room to view the payment rate of the performance evaluation pay as being determined only in the current year, and, based on the preceding year, which is the period subject to payment, it is difficult to conclude that there was a minimum payment portion determined to be paid regardless of work performance so long as prescribed work was fully provided.
C) Nevertheless, the court below, under the mistaken premise that the performance evaluation pay is wages for the current year, determined that the portion corresponding to the minimum payment rate determined only in the current year constitutes ordinary wages for the current year. This determination by the court below contains an error of misunderstanding the legal principles concerning ordinary wages, etc., resulting in a failure to conduct the deliberation necessary to determine whether a minimum payment portion exists, thereby affecting the judgment. The Defendant's ground of appeal pointing this out has merit.
D) Meanwhile, with respect to the portion of the court below's determination that the remaining amount exceeding the minimum payment rate does not constitute ordinary wages, although there are inappropriate aspects in the reasoning stated, the conclusion of the court below on this point is justified, and there is no error therein, such as a misunderstanding of the legal principles concerning ordinary wages, that affected the judgment, as argued in the Plaintiffs' grounds of appeal.
D. Whether the allowance nominally called transportation subsidy, treatment improvement allowance, and position allowance constitute ordinary wages (Defendant's third ground of appeal)
The court below, for the reasons stated in its judgment, determined that the allowance nominally called transportation subsidy, treatment improvement allowance, and position allowance, being paid uniformly to all employees who meet certain conditions or standards and having fixedness, constitute ordinary wages.
Examining the reasoning of the judgment below in light of the relevant legal principles, although the part of the court below's judgment premised on fixedness as a conceptual indicium of ordinary wages in determining whether the allowances constitute ordinary wages is inappropriate, the conclusion that the above allowances constitute ordinary wages is justified. There is no error in the lower court's determination, such as a misunderstanding of the legal principles concerning ordinary wages, etc., that affected the judgment, as argued in the grounds of appeal.
3. Regarding whether the statute of limitations was interrupted (related to Plaintiffs' third ground of appeal, Defendant's fourth ground of appeal)
A. Regarding the increased retirement allowance of Plaintiff 15, Plaintiff 24, and Plaintiff 25 (hereinafter "Plaintiff 15 et al.")
The court below determined that, among the claims added by the Plaintiffs through the October 5, 2018 amendment of claims, the claim of Plaintiff 15 et al. for increased retirement allowance was made after three years had passed from the time of retirement, and thus the statute of limitations had run.
With respect to the above determination of the court below, Plaintiff 15 et al. argue that "since the Defendant, in the course of this litigation, acknowledged the obligation to pay increased retirement allowance to Plaintiff 15 et al. by submitting payroll ledgers on October 17 and around October 19, 2016, the statute of limitations was interrupted." However, this argument of Plaintiff 15 et al. is raised for the first time at the appellate stage and thus cannot constitute a lawful ground of appeal; moreover, the circumstances asserted by Plaintiff 15 et al. alone cannot be deemed to establish that the Defendant acknowledged the obligation to pay increased retirement allowance to Plaintiff 15 et al.
B. Regarding the remaining portion excluding the increased retirement allowance of Plaintiff 15 et al.
The court below determined that, among the claims added by the Plaintiffs through the October 5, 2018 amendment of claims, the effect of the interruption of the statute of limitations resulting from the filing of this lawsuit extends to the remaining portion excluding the claim of Plaintiff 15 et al. for increased retirement allowance.
Examining the reasoning of the judgment below in light of the relevant legal principles, there is no error in the lower court's determination, such as a misunderstanding of the legal principles concerning interruption of the statute of limitations, that affected the judgment, as argued in the Defendant's grounds of appeal.
4. Regarding the defense of good faith principle (Defendant's fifth ground of appeal)
The court below, for the reasons stated in its judgment, rejected the Defendant's argument that the Plaintiffs' claims for wage differences arising from the recalculation of ordinary wages and for increased retirement allowance violate the principle of good faith.
Examining the reasoning of the judgment below in light of the relevant legal principles, there is no error in the lower court's determination, such as a misunderstanding of the legal principles concerning the defense of good faith principle in ordinary wage litigation, that affected the judgment, as argued in the grounds of appeal.
5. Scope of reversal
The portion of the judgment below dismissing the claim of Plaintiff 15 et al. for increased retirement allowance is justified. However, with respect to the remaining portion excluding the claim of Plaintiff 15 et al. for increased retirement allowance, the above grounds for reversal exist with respect to the portion excluding the year-end bonus from ordinary wages and the portion including part of the performance evaluation pay in the ordinary wages for the current year. In the court below after remand, it is necessary, taking into account the purport of the above reversal, to recalculate ordinary wages by including the year-end bonus in ordinary wages and excluding the performance evaluation pay from the ordinary wages for the current year, and then to newly calculate the scope of the claims to be granted with respect to the remaining portion (the Plaintiffs' claims for wage differences and the claims of the remaining Plaintiffs excluding Plaintiff 15 et al. for increased retirement allowance).
6. Conclusion
The portion of the judgment below excluding the claims of Plaintiff 15 et al. for increased retirement allowance is reversed, and this portion of the case is remanded to the court below for further deliberation and judgment; and since the appeal concerning the claims of Plaintiff 15 et al. for increased retirement allowance is without merit, it is dismissed. This judgment is rendered as stated in the Order, with the unanimous consent of the participating Justices.
