A bus company driver sought additional severance pay (퇴직금), arguing that a daily allowance (일비) labeled as expense reimbursement and regular bonuses (정기상여금) should be included in the calculation of ordinary wages (통상임금). The Supreme Court held that the daily allowance qualified as ordinary wages, and that including the regular bonuses did not violate the principle of good faith (신의칙) since doing so would not pose a serious financial threat to the company.

Key takeaways
  • CaseA bus company driver claimed additional severance pay (퇴직금) by arguing that a daily allowance (일비) and regular bonuses (정기상여금) should be included in ordinary wages (통상임금).
  • OutcomeThe Court ruled that a fixed daily allowance paid regardless of actual use qualifies as ordinary wages, and that including regular bonuses did not violate the principle of good faith (신의칙) since it would not threaten the company's survival.
  • LessonEven allowances labeled as expense reimbursement can be classified as ordinary wages if paid as a fixed amount, so employers must account for this when designing wage structures.
Issues
  • Whether a daily allowance (일비) nominally paid as expense reimbursement qualifies as ordinary wages (통상임금)
  • Whether including regular bonuses (정기상여금) in ordinary wages for severance pay calculation violates the principle of good faith (신의칙)
  • The extent of a labor union's authority to waive or dispose of individual workers' specific wage claims
Key reasoning

The Court reasoned that a daily allowance paid at a fixed amount regardless of actual usage or expenses incurred functions as ordinary wages, not as mere reimbursement for costs. Even though the allowance was nominally described as expense reimbursement, its fixed and unconditional nature meant it should be treated as part of the worker's regular compensation. Regarding the inclusion of regular bonuses in ordinary wages, the Court found no clear evidence that the resulting increase in severance pay obligations would threaten the company's continued existence or cause serious managerial difficulty. Therefore, the worker's claim was not barred by the principle of good faith (신의칙), which is only invoked in exceptional cases of genuine hardship to the employer.

Summary of Decision (English, AI translation)

[1] For money and valuables paid by an employer to an employee to constitute wages, they must be paid as remuneration for work, paid continuously and regularly to the employee, and the employer must be obligated to pay them pursuant to a collective agreement, employment rules, or the like. Money and valuables for which the obligation to pay can be seen as directly related to, or closely related to, the provision of labor may be said to be paid as remuneration for work.

Whether a certain wage falls under ordinary wages should be determined based on the objective nature of the wage, namely, whether it is money or valuables paid to the employee as consideration for prescribed work and is paid regularly, uniformly, and in a fixed manner, and not according to formal criteria such as the name of the wage or the length of the payment cycle.

Meanwhile, where an employer pays a certain amount of money to employees on a per-workday basis under the name of reimbursement of actual expenses, such as for cigarettes, gloves, beverages, cleaning, or other expenses incurred while on duty, regardless of whether the money is actually used for such purposes, such payments cannot be excluded from wages or ordinary wages on the ground that they constitute reimbursement of actual expenses.

[2] In a case where the issue was whether a daily allowance, which Company A, a bus passenger transportation business operator, paid pursuant to labor-management consultation to all of its driving employees who provided labor, in the name of cigarette money, glove money, beverage money, cleaning costs, and other expenses incurred while on duty, regardless of whether it was actually used for such expenses, constitutes ordinary wages: in light of the fact that there is no evidence suggesting that Company A did not pay or reduced the daily allowance on the ground that it was not actually used as expenses, it is reasonable to view the daily allowance as having been paid as remuneration for work in relation to the provision of labor by the driving employees; and since driving employees who reported to work on a given day were uniformly paid the daily allowance, and although the amount paid varied depending on the number of days worked, payment of the daily allowance was fixed to be made so long as prescribed work was provided on a working day, the daily allowance was paid regularly, uniformly, and in a fixed manner as consideration for prescribed work, and thus can be seen as included in ordinary wages. The court held that the lower court erred in its misapprehension of the legal principles, etc., by finding that the daily allowance did not constitute ordinary wages on the ground, among others, that it constituted welfare benefits.

[3] The principle of good faith and fair dealing (hereinafter the “principle of good faith”) refers to the abstract norm that parties to a legal relationship must not exercise rights or perform obligations in a manner or with content that is inequitable or that betrays trust, having regard to the interests of the other party. In order to deny the exercise of a right on the ground that it violates the principle of good faith, the other party must have been given trust, or must have reached a state in which it is objectively justifiable for the other party to have such trust, and the exercise of the right in violation of such trust of the other party must have reached a degree that cannot be tolerated in light of the concept of justice.

Where the content of a labor-management agreement, such as a collective agreement, is invalid for violating a mandatory provision of the Labor Standards Act (근로기준법), if an assertion of such invalidity were rejected on the ground that it constitutes an exercise of rights in violation of the principle of good faith, this would result in undermining the legislative purpose of the mandatory provision; therefore, in principle, such an assertion cannot be deemed to violate the principle of good faith. However, this does not mean that the application of the principle of good faith is excluded without exception merely because the content of a labor-management agreement violates a mandatory provision of the Labor Standards Act. Only in exceptional cases where the general requirements for applying the principle of good faith as described above are met, and where there exist special circumstances that justify giving priority to the principle of good faith notwithstanding the mandatory nature of the Labor Standards Act, can an assertion of invalidity of the labor-management agreement be deemed to violate the principle of good faith and thus be impermissible.

Where, in a labor-management agreement, on the premise that a regular bonus does not in itself constitute ordinary wages, the parties agreed to exclude the regular bonus from the calculation basis for ordinary wages and set the wage level on that premise, if the employees add the regular bonus to ordinary wages and, on that basis, seek payment of additional statutory allowances, etc., thereby imposing a new financial burden on the employer that causes serious managerial difficulties or jeopardizes the survival of the enterprise, such conduct may be deemed significantly contrary to good faith in light of the concepts of justice and equity.

However, in determining whether to give priority to the principle of good faith over the mandatory provisions governing labor relations, it is necessary to fully consider the legislative purpose of the Labor Standards Act and the like, which is to guarantee and improve the basic livelihood of workers by setting the minimum standards for working conditions. Moreover, since the entity operating the enterprise is the employer, and the management situation of an enterprise may change from time to time depending on various economic and social circumstances inside and outside the enterprise, if claims by employees for additional statutory allowances following the recalculation of ordinary wages were rejected on the ground that they cause serious managerial difficulties or jeopardize the survival of the enterprise, this could result in effectively shifting the risks of business management onto the employees. Therefore, whether an employee’s claim for additional statutory allowances, etc., causes serious managerial difficulties to the employer or jeopardizes the survival of the enterprise, thereby violating the principle of good faith, must be determined carefully and strictly.

[4] In a case where the issue was whether it violates the principle of good faith and fair dealing for B, who worked as a bus driver for Company A, a bus passenger transportation business operator, to seek payment of additional retirement allowance calculated by including the regular bonus in ordinary wages: in order to determine whether paying additional retirement allowance, etc., by including the regular bonus in ordinary wages would cause serious managerial difficulties to Company A, it is necessary to specify the scale of the additional retirement allowance, etc., that Company A would bear, excluding the portion for which the statute of limitations has already run, and important data would include how much cash-equivalent assets Company A held as of the date of conclusion of the fact-finding hearing and what Company A’s cash flow was like; however, Company A made no assertion or proof whatsoever regarding these matters, and the amount of additional retirement allowance claimed by B amounted to only about 0.9% of Company A’s annual sales and about 6.7% of its capital. Meanwhile, although Company A appears to have continuously incurred operating losses and net losses for several years, Company A maintained a similar level of sales revenue every year while receiving subsidies corresponding to the amount of its operating losses, and there are no special circumstances suggesting that the provision of such subsidies would be discontinued. Therefore, it cannot be concluded that paying additional retirement allowance, etc., by including the regular bonus in ordinary wages would cause serious managerial difficulties to Company A or jeopardize the survival of the enterprise, and thus B’s claim for additional retirement allowance cannot be deemed to violate the principle of good faith and fair dealing. The court held that the lower court, having found otherwise, erred in its misapprehension of the legal principles, etc.

[5] Since wages or retirement allowances for which a specific right to claim payment has already arisen have moved into the private property sphere of the employee and are left to the employee’s disposal, a trade union cannot, merely by concluding a collective agreement with the employer, engage in a disposal act such as waiver or deferral of payment thereof, unless it has obtained individual consent or authorization from the employee.

[Plaintiff, Appellee and Incidental Appellant] Plaintiff
[Defendant, Appellant and Incidental Appellee] Yesan Traffic Co., Ltd. (Litigation representative: Hanbat Law Firm, attorney in charge Park Ju-bong)
[Judgment Below] Daejeon District Court Decision 2013Na5617 decided March 26, 2014

[Order]

The part of the judgment below against the Plaintiff, excluding the portion concerning the claim for deducted overtime work allowance, is reversed, and this part of the case is remanded to the Daejeon District Court. The remainder of the Plaintiff's incidental appeal and the Defendant's appeal are all dismissed.

[Reasoning] The grounds of appeal are examined.
1. Judgment on the Defendant's grounds of appeal
A. As to the first ground of appeal
The court below determined, for the reasons stated in its judgment, that the instant collective agreement should apply to the period of employment from the Plaintiff's date of hire until the day before the amendment of the instant amended collective agreement.
Upon examining the record in light of the relevant legal principles, there is no error in the above determination of the court below, such as a misapprehension of the legal principles concerning disadvantageous modification of collective agreements, as alleged in the grounds of appeal.
B. As to the second ground of appeal
The court below determined that the length-of-service allowance and the driving allowance are fixed wages paid regularly and uniformly, and thus are included in ordinary wages.
Upon examining the record in light of the relevant legal principles, there is no error in the above determination of the court below, such as a misapprehension of the legal principles concerning ordinary wages, as alleged in the grounds of appeal.
C. As to the third ground of appeal
The court below determined that the Defendant is obligated to pay the Plaintiff additional retirement pay resulting from the recalculation of ordinary wages including the length-of-service allowance and the driving allowance.
Upon examining the record in light of the relevant legal principles, there is no error in the above determination of the court below, such as a misapprehension of the legal principles concerning the principle of good faith or a contradiction in reasoning affecting the judgment, as alleged in the grounds of appeal.
2. Judgment on the Plaintiff's grounds of incidental appeal
A. As to the first ground of appeal
(1) In order for money or valuables paid by an employer to an employee to constitute wages, such money or valuables must be paid as consideration for work, must be paid continuously and regularly to the employee, and the employer must be obligated to pay them pursuant to a collective agreement, rules of employment, etc. Money or valuables for which the obligation to pay arises directly in connection with, or is closely related to, the provision of labor may be deemed to have been paid as consideration for work (see Supreme Court Decision 94Da55934 decided May 12, 1995; Supreme Court Decision 2011Da23149 decided July 14, 2011, etc.).
Whether a certain wage falls under ordinary wages should be determined based on the objective nature of the wage as to whether it is money or valuables paid to the employee as consideration for prescribed work and is paid regularly, uniformly, and in a fixed amount, and should not be determined by formal criteria such as the name of the wage or the length of the payment cycle (Supreme Court en banc Decision 2012Da89399 decided December 18, 2013).
Meanwhile, where an employer pays employees a fixed amount for each workday in the name of reimbursement of actual expenses, regardless of whether it is actually used for that purpose, such payment cannot be excluded from wages or ordinary wages on the ground that it constitutes reimbursement of actual expenses.
(2) Examining the following circumstances, which can be known from the reasoning of the judgment below and the record, in light of the above legal principles, the daily allowance in this case can be deemed to have been paid regularly, uniformly, and in a fixed amount as consideration for prescribed work, and thus is included in ordinary wages.
① The labor and management of the Defendant agreed to pay a daily allowance of KRW 7,000 to driving employees who reported to work on the day, in the name of cigarette money, glove costs, beverage costs, cleaning costs, and other expenses incurred during driving duty.
② In accordance with the above agreement, the Defendant paid the instant daily allowance to all driving employees who provided labor, regardless of whether it was actually used as expenses. There is no material to show that the Defendant did not pay or reduced the daily allowance on the ground that it was not actually used as expenses. In light of these circumstances, it is reasonable to view that the instant daily allowance was paid as consideration for work in connection with the provision of labor by driving employees.
③ Driving employees who reported to work on the day uniformly received the instant daily allowance, and although the amount paid varied depending on the number of workdays, it was fixed that the instant daily allowance would be paid as long as prescribed work was provided on a workday.
Nevertheless, the court below determined, for reasons such as that it constitutes a welfare benefit as stated in its judgment, that the instant daily allowance does not fall under ordinary wages. Such determination by the court below contains an error affecting the judgment, such as a misapprehension of the legal principles concerning ordinary wages.
B. As to the second ground of appeal
(1) The principle of good faith (hereinafter referred to as the "principle of good faith") refers to the abstract norm that a party to a legal relationship must not exercise rights or perform obligations in a manner or content that is inequitable or betrays trust, while taking into account the interests of the other party. In order to deny the exercise of a right on the ground that it violates the principle of good faith, the other party must have been given trust, or it must have reached a state where it is objectively reasonable for the other party to have such trust, and the exercise of the right contrary to such trust of the other party must have reached a degree that cannot be tolerated in light of the concept of justice.
Where the content of a labor-management agreement, such as a collective agreement, is invalid for violating a mandatory provision of the Labor Standards Act (근로기준법), if an assertion of such invalidity is rejected on the ground that it constitutes an exercise of rights in violation of the principle of good faith, this would result in disregarding the legislative intent of the mandatory provision. Therefore, in principle, such an assertion cannot be deemed to violate the principle of good faith. However, it is not the case that the application of the principle of good faith is excluded without exception merely because the content of a labor-management agreement violates a mandatory provision of the Labor Standards Act. Only in exceptional cases where the general requirements for applying the principle of good faith as set out above are met, and where there are special circumstances that justify giving priority to the principle of good faith notwithstanding the mandatory nature of the Labor Standards Act, can the assertion of invalidity of the labor-management agreement be deemed impermissible as violating the principle of good faith.
Where labor and management agree, on the premise that regular bonuses do not themselves constitute ordinary wages, to exclude regular bonuses from the basis for calculating ordinary wages, and set the wage level on that premise, if the employees, by adding the regular bonuses to ordinary wages and seeking additional payment of statutory allowances, etc. on that basis, impose a new financial burden on the employer that causes serious managerial difficulties or threatens the survival of the enterprise, this may be significantly contrary to good faith in light of the concept of justice and equity (see Supreme Court en banc Decision 2012Da89399 decided December 18, 2013).
However, in determining whether to give priority to the principle of good faith over the mandatory provisions governing labor relations, it is necessary to fully consider the legislative intent of the Labor Standards Act, etc., which is to guarantee and improve the basic livelihood of employees by setting minimum standards for working conditions. Furthermore, since the entity managing an enterprise is the employer, and the business situation of an enterprise may change at any time depending on various economic and social circumstances inside and outside the enterprise, if employees' claims for additional statutory allowances, etc. resulting from the recalculation of ordinary wages are rejected on the ground that they cause serious managerial difficulties or threaten the survival of the enterprise, this may result in effectively transferring the risk of business management to the employees. Therefore, whether employees' claims for additional statutory allowances, etc. violate the principle of good faith by causing serious managerial difficulties to the employer or threatening the survival of the enterprise must be determined carefully and strictly (see Supreme Court Decision 2015Da217287 decided February 14, 2019).
(2) Examining the following circumstances, which can be known from the reasoning of the judgment below and the record, in light of the above legal principles, it cannot be concluded that paying additional retirement pay, etc. by including regular bonuses in ordinary wages would cause serious managerial difficulties to the Defendant or threaten the survival of the enterprise, and therefore the Plaintiff's claim for additional retirement pay cannot be deemed to violate the principle of good faith.
① In order to determine whether paying additional retirement pay, etc. by including regular bonuses in ordinary wages would cause serious managerial difficulties to the Defendant, the scale of the additional retirement pay, etc. to be borne by the Defendant, excluding the portion for which the extinctive prescription period has already run, must be specified. However, the Defendant has made no assertion or proof whatsoever regarding the overall scale of the additional retirement pay, etc. it would bear.
② Furthermore, in order to determine whether the payment of additional retirement pay, etc. would cause serious managerial difficulties to the Defendant, important data would include the amount of the Defendant's cash-equivalent assets and the state of the Defendant's cash flow as of the date of conclusion of the fact-finding hearing. The Defendant has made no assertion or proof regarding this either.
③ Meanwhile, the amount of the Plaintiff's claim for additional retirement pay is only about KRW 36 million. This is only about 0.9% of the Defendant's annual sales of approximately KRW 4 billion, and about 6.7% of the Defendant's capital of KRW 530 million. Therefore, absent special circumstances, it is difficult to view that paying the amount sought by the Plaintiff in this case would cause serious managerial difficulties to the Defendant.
④ It appears that the Defendant continued to have operating losses and net losses for the current term for several years prior to the date of conclusion of the fact-finding hearing below. However, the Defendant has maintained a similar level of sales revenue each year while receiving subsidies corresponding to the amount of the above operating losses, and there is no special circumstance suggesting that the payment of such subsidies would be discontinued. Therefore, it cannot be concluded that the payment of additional retirement pay, etc. would directly cause serious managerial difficulties to the Defendant or threaten the survival of the enterprise.
(3) Nevertheless, the court below determined, based solely on circumstances such as the Defendant's financial situation as stated in its judgment, that the Plaintiff's claim for additional retirement pay could not be permitted as it violated the principle of good faith. Such determination by the court below contains an error affecting the judgment, such as a misapprehension of the legal principles concerning the principle of good faith or exceeding the limits of free evaluation of evidence in violation of the rules of logic and experience. The grounds of incidental appeal pointing this out are well-founded.
C. As to the claim for deducted overtime work allowance among the third ground of appeal
The court below rejected the Plaintiff's assertion of wrongful deduction of overtime work allowance, for reasons such as that the Plaintiff individually consented to the deduction of overtime work allowance, as stated in its judgment.
Upon examining the record in light of the relevant legal principles, there is no error in the determination of the court below, such as exceeding the limits of free evaluation of evidence in violation of the rules of logic and experience, as alleged in the grounds of incidental appeal.
D. As to the claim for unpaid overtime work allowance among the third ground of appeal
(1) Since wages or retirement pay for which the right to claim payment has already specifically arisen have been transferred to the private property domain of the employee and are left to the employee's disposition, a collective agreement concluded between a labor union and an employer alone cannot effect a disposal act such as waiver or deferral of payment thereof, unless individual consent or authorization is obtained from the employee (see Supreme Court Decision 99Da67536 decided September 29, 2000; Supreme Court Decision 2016Da32193 decided February 15, 2017, etc.).
(2) According to the reasoning of the judgment below and the record, the following facts can be known.
① On July 30, 1997, the Defendant concluded an overtime work allowance payment agreement with the labor union (hereinafter referred to as the "instant agreement"), and in accordance therewith, paid all driving employees an overtime work allowance of KRW 2,000 per day, combined with their monthly wages.
② The Defendant did not pay driving employees the overtime work allowance under the instant agreement from June 1, 2008, on the ground that the grounds for payment of the overtime work allowance set forth in the instant agreement had ceased to exist.
③ On May 31, 2009, the Defendant agreed with the labor union not to pay the overtime work allowance under the instant agreement, retroactively from June 1, 2008.
(3) Examining these facts in light of the above legal principles, since the overtime work allowance that had already accrued from June 1, 2008 pursuant to the instant agreement had been transferred to the private property domain of the employee and left to the employee's disposition, the labor-management agreement purporting to waive it is invalid. Since the Defendant has not asserted or proven that there was individual consent or authorization from the Plaintiff, the Defendant is obligated to pay the Plaintiff the above overtime work allowance.
(4) Nevertheless, the court below determined, based solely on circumstances such as the existence of a labor-management agreement as stated in its judgment, that it was justified for the Defendant not to pay the Plaintiff the above overtime work allowance. Such determination by the court below contains an error affecting the judgment by misapprehending the legal principles concerning the scope of application of the principle of autonomy of collective agreements or the normative effect of collective agreements. The grounds of incidental appeal pointing this out are well-founded.
3. Conclusion
Therefore, the part of the judgment below against the Plaintiff, excluding the portion concerning the claim for deducted overtime work allowance, is reversed, and this part of the case is remanded to the court below for further hearing and determination; the remainder of the Plaintiff's incidental appeal and the Defendant's appeal are dismissed as groundless. The Justices unanimously render judgment as set forth in the Order.
