This case involved a taxi company that set its agreed statutory working hours (소정근로시간) significantly shorter than the employees' actual working hours, apparently to circumvent the Minimum Wage Act (최저임금법). The Supreme Court held that such an arrangement constitutes an unlawful evasion scheme (탈법행위) and is therefore invalid, and that courts must supplement the parties' intent to determine the appropriate statutory working hours.

Key takeaways
  • CaseA taxi company set the agreed statutory working hours (소정근로시간) far shorter than employees' actual working hours in order to avoid complying with the Minimum Wage Act (최저임금법).
  • OutcomeThe Supreme Court ruled this an unlawful evasion scheme (탈법행위), declared the agreement invalid, and held that courts must determine the appropriate statutory working hours in its place.
  • LessonManipulating statutory working hours (소정근로시간) to dodge minimum wage obligations will be voided by the courts — such hours must reflect actual working conditions.
Issues
  • Validity of a taxi company's agreement on statutory working hours (소정근로시간) under a fixed quota system (정액사납금제)
  • Whether the arrangement constitutes an unlawful evasion scheme (탈법행위) designed to circumvent the special provision of the Minimum Wage Act (최저임금법)
  • The court's obligation to supplement the parties' intent when the statutory working hours agreement is found invalid
Key reasoning

Even for a newly established taxi company, if the primary purpose of setting the statutory working hours (소정근로시간) is to evade the Minimum Wage Act (최저임금법), and there is a substantial discrepancy between the stated hours and the employees' actual working hours, the arrangement amounts to an unlawful evasion scheme (탈법행위) and is void. In such cases, courts cannot simply disregard the invalid agreement but must actively supplement the parties' presumed intent to establish what the appropriate, legally compliant statutory working hours should have been. This ensures that the minimum wage protections under the special taxi industry provision are not undermined through artificial contractual arrangements that misrepresent actual working conditions.

Summary of Decision (English, AI translation)

[1] A worker bears the obligation to work during the agreed prescribed working hours, and the employer pays wages for the performance of that obligation to work. In principle, the employer and the worker may freely agree on prescribed working hours by their own free will, so long as they do not exceed the standard working hours. However, where there are special circumstances such that the fixing of prescribed working hours can be evaluated as being merely a formality, or where the prescribed working hours were fixed with the intent to circumvent mandatory statutory provisions such as labor relations laws, the effect of the agreement on prescribed working hours as such must be denied.

Considering comprehensively the content and system of Article 32(1) of the Constitution (헌법) and the relevant provisions of the Minimum Wage Act (최저임금법), the legislative purpose and legislative history of Article 6(5) of the Minimum Wage Act as amended by Act No. 8964 on March 21, 2008 (hereinafter “the special provision”), the purport of the provisions of the Passenger Transport Service Act (여객자동차 운수사업법) and the public nature of the general taxi transportation business, and the circumstances before and after the agreement to shorten prescribed working hours, where, under the fixed-amount deposit system (정액사납금제), an employer, with the intent of avoiding a situation in which the fixed wage excluding output-based wages would fall short of the minimum wage, agrees with the taxi drivers’ labor union to shorten only the prescribed working hours—without any change in the actual working pattern or driving hours—in order to increase the nominal amount of the hourly fixed wage calculated on the basis of the prescribed working hours, such agreement must be deemed void as an unlawful act intended to circumvent the application of the mandatory special provision under the Minimum Wage Act, among other provisions.

In this regard, whether an agreement to shorten prescribed working hours made under the fixed-amount deposit system is void as an unlawful act must be determined from a normative standpoint, focusing on whether the primary purpose of the parties to the employment relationship who concluded the agreement was to avoid the application of the Minimum Wage Act, as well as on whether there is a significant discrepancy between the shortened prescribed working hours and the actual working hours of the taxi driver.

[2] Not only in cases where a taxi company operating under the fixed-amount deposit system shortens its existing prescribed working hours, but also in cases where a newly established company fixes prescribed working hours for the first time after the entry into force of Article 6(5) of the Minimum Wage Act as amended by Act No. 8964 on March 21, 2008, if the primary purpose of the parties to the employment relationship in fixing the prescribed working hours was to avoid the application of the Minimum Wage Act, and there is a significant discrepancy between the prescribed working hours and the actual working hours of the taxi driver, such fixing of prescribed working hours must be deemed void as an unlawful act.

[3] Where both parties to a contract fail to make a specific agreement on matters that constitute the premise or basis of the contract, and the contract is therefore interpreted by supplementing the parties’ intent, the supplemented intent of the parties refers not to the parties’ actual or subjective intent, but to the legitimate intent for adjusting interests that can be objectively inferred in light of the purpose of the contract, transactional practice, applicable statutes, and the principle of good faith.

Prescribed working hours are the hours during which a worker agrees to bear the obligation to work and the employer agrees to pay wages for the performance of that obligation, and they function as a conceptual tool necessary for calculating ordinary wages, which serve as the basis for calculating extended work allowances, etc. under the Labor Standards Act (근로기준법); for converting comparison wages into hourly wages under the Minimum Wage Act; and for determining the existence of an obligation to establish a retirement benefit system under the Employee Retirement Benefit Security Act (근로자퇴직급여 보장법). The Labor Standards Act imposes on employers, when concluding an employment contract, an obligation to deliver to the worker a written document specifying the prescribed working hours, and contains provisions penalizing violations of this obligation (Articles 17 and 114). Considering the significance and function of prescribed working hours as described above, where there is no valid fixing of prescribed working hours in an employment contract, rules of employment, collective agreement, etc., the court needs to determine valid prescribed working hours by interpreting the employment contract in a manner that supplements the intent of the parties to the employment relationship, for purposes of determining whether the minimum wage requirement has been met and, if not, the amount of the shortfall.

[4] In a case where Company A, a taxi company established after the entry into force of Article 6(5) of the Minimum Wage Act as amended by Act No. 8964 on March 21, 2008, fixed the daily prescribed working hours of its taxi drivers at 3 hours when establishing its rules of employment, and thereafter shortened this to 2 hours and 30 minutes through a wage agreement, and where B and others, who had worked as taxi drivers, sought payment of unpaid minimum wages, etc. from Company A, asserting that the above prescribed working hours were void: the Court held that there was ample room to interpret the employment contract by supplementing the intent of Company A and B and others in order to determine the prescribed working hours, in light of the following: the daily prescribed working hours of 3 hours fixed in the rules of employment were at a level that could hardly be regarded as the ordinary working hours of taxi drivers at the time, and Company A would have been in violation of the Minimum Wage Act had it fixed daily prescribed working hours of 4 hours or more; considering the actual driving conditions of taxi drivers in the same region, the level of Company A’s fixed wages, and the rate of increase in consumer prices, it can be inferred that there was a significant discrepancy between the actual working hours of B and others and the prescribed working hours fixed in the rules of employment and the wage agreement, such that the prescribed working hours fixed in both the rules of employment and the wage agreement are highly likely to be void; it appears that the actual working hours of B and others considerably exceeded the prescribed working hours of 3 hours or 2 hours and 30 minutes per day fixed in the rules of employment and the wage agreement; it appears that, had Company A and B and others fixed the prescribed working hours themselves, such hours would not have differed greatly from the ordinary driving hours of B and others; and the prescribed working hours of other taxi companies located in the same region may also serve as a factor to be considered in supplementing the intent of Company A and B and others regarding prescribed working hours. The Court found that the lower court, which held otherwise, erred in its misapprehension of the legal principles, among other errors.

[Plaintiffs, Appellants] Plaintiff 1 and 12 others (Attorney Park Gil-hwan for the plaintiffs)
[Defendant, Appellee] ○○○ Co., Ltd. (Lee Han-mu, Attorney at Law, LEADERS Law Firm, for the defendant)
[Judgment Below] Seoul High Court Judgment (Incheon) 2021Na13507, decided December 23, 2022

[Order]

The part of the judgment below concerning the plaintiffs is reversed, and this part of the case is remanded to the Seoul High Court.

[Reasoning]

The grounds of appeal are examined.

1. Determination on whether there was a transfer of business
The court below determined that the mere facts that the non-party company entered into an employment contract with Plaintiff 13 around 2000 setting daily prescribed working hours at 7 hours and 20 minutes, an employment contract with Plaintiff 6 in February 2001 setting daily prescribed working hours at 7 hours and 20 minutes, and an employment contract with Plaintiff 4 in April 2008 setting daily prescribed working hours at 6 hours and 40 minutes, are insufficient to find that there existed an agreement for transfer of business between the non-party company and the defendant, and therefore that it cannot be found that the employment relationships between the non-party company and the aforementioned plaintiffs were comprehensively succeeded to by the defendant.
Examining the relevant legal principles and the record, there is no error in the above determination of the court below, such as a violation of the rules of evidence, that affected the judgment.

2. Determination on the validity of the provisions on prescribed working hours in the Employment Rules of this case and each of the Wage Agreements of this case
A. Relevant legal principles
1) An employee bears an obligation to work during the agreed prescribed working hours, and the employer pays wages for the performance of that obligation to work; the employer and employee may, in principle, freely agree on the prescribed working hours by their own free will, so long as they do not exceed the standard working hours. However, where there are special circumstances such that the setting of prescribed working hours can be evaluated as being merely a formality, or where the prescribed working hours were set with the intent to circumvent mandatory provisions of labor-related statutes, the validity of such setting as an agreement on prescribed working hours must be denied.
Considering comprehensively the content and structure of Article 32(1) of the Constitution and the relevant provisions of the Minimum Wage Act (최저임금법), the legislative intent and legislative history of Article 6(5) of the Minimum Wage Act as amended by Act No. 8964 of March 21, 2008 (hereinafter “the special provision of this case”), the purport of the provisions of the Passenger Transport Service Act (여객자동차 운수사업법) and the public nature of general taxi transportation business, and the circumstances surrounding agreements to shorten prescribed working hours, in a situation where, under a fixed-amount quota (sanggeumja) system, an employer, intending to avoid a situation where the fixed wage excluding wages based on production performance falls short of the minimum wage, agrees with a labor union of taxi driver employees to shorten only the prescribed working hours—without any change in the actual work pattern or operating hours—in order to increase the nominal amount of the hourly fixed wage calculated on the basis of the prescribed working hours, such an agreement must be regarded as void as an unlawful act aimed at circumventing the application of the mandatory special provision of the Minimum Wage Act, etc. (see Supreme Court en banc Decision 2016Da2451, decided April 18, 2019, etc.).
In this regard, whether an agreement to shorten prescribed working hours made under a fixed-amount quota system is void as an unlawful act circumventing the law should be determined from a normative point of view, focusing on whether the main purpose of the parties to the employment relationship who concluded the agreement was to avoid the application of the Minimum Wage Act, as well as on whether there is a significant discrepancy between the shortened prescribed working hours and the actual working hours of the taxi driver employee (see Supreme Court Decision 2023Da279402, 280563, decided May 30, 2024, etc.).
2) Not only in cases where a taxi company operating under the fixed-amount quota system shortens its existing prescribed working hours, but also in cases where a newly established company sets prescribed working hours for the first time after the special provision of this case came into effect, if the main purpose of the parties to the employment relationship who set the prescribed working hours was to avoid the application of the Minimum Wage Act, and there is a significant discrepancy between the prescribed working hours and the actual working hours of the taxi driver employee, such setting of prescribed working hours must likewise be regarded as void as an unlawful act circumventing the law.

B. The court below, having comprehensively considered the evidence it adopted and found the facts as stated in its judgment, determined, in light of the circumstances set out below, that the setting of prescribed working hours in the Employment Rules of this case and each of the Wage Agreements of this case could not be regarded as an agreement to shorten only the prescribed working hours without any change in the actual work pattern or operating hours, and thus could not be regarded as void as an unlawful act aimed at circumventing the application of the mandatory special provision of this case, etc.
1) It cannot be found that there existed an agreement for transfer of business between the non-party company and the defendant. Even assuming that the employment relationship was succeeded to pursuant to a transfer of business, it is difficult to know how the prescribed working hours changed from the time the non-party company entered into the respective employment contracts with Plaintiff 13, Plaintiff 6, and Plaintiff 4 until the defendant enacted the Employment Rules of this case in 2011, and therefore it cannot be known whether the Employment Rules of this case, which set the daily prescribed working hours at 3 hours, shortened the existing prescribed working hours or simply maintained the content of the existing employment rules or wage agreement.
2) Although the daily prescribed working hours were shortened from 3 hours to 2 hours and 30 minutes under the 2017 Wage Agreement, this occurred after a considerable period had elapsed since the date the special provision of this case came into effect, and the degree of the shortening was not significant.

C. However, the above determination of the court below is difficult to accept as it stands, for the following reasons.
1) The special provision of this case took effect in △△ City, where the defendant is located, on July 1, 2010, and the defendant was established thereafter, on June 1, 2011. As noted above, since the defendant did not acquire the business from the non-party company by transfer, it can be said that the defendant, through the Employment Rules of this case, set the prescribed working hours of its taxi driver employees for the first time. However, the daily prescribed working hours of 3 hours set by the defendant on July 30, 2011 through the Employment Rules of this case are at a level that is difficult to regard as the ordinary working hours of taxi driver employees at that time. Under the 2014 Wage Agreement, the comparison wage was approximately 516,000 won per month, and dividing this by 25 days (the number of days for full attendance, excluding February) yields only 20,640 won; since the minimum hourly wage in 2014 was 5,210 won, the defendant would have been in violation of the Minimum Wage Act had it set daily prescribed working hours of 4 hours or more.
2) Since the actual working hours of taxi driver employees include preparation time and waiting time in addition to operating hours, considering the actual operating conditions of taxi driver employees belonging to taxi companies located in △△ City such as the defendant, the level of the defendant’s fixed wage, the rate of increase in consumer prices, etc., it may be inferred that there was a significant discrepancy between the plaintiffs’ actual working hours and the prescribed working hours set in the Employment Rules of this case and each of the Wage Agreements of this case. Even if the plaintiffs’ actual working hours partially decreased after the special provision of this case took effect, such change in working hours and work pattern cannot be regarded as sufficient to correspond to prescribed working hours of 3 hours or 2 hours and 30 minutes per day.
3) Examining the above circumstances in light of the legal principles set out above, there is substantial room to regard the prescribed working hours set in the Employment Rules of this case and each of the Wage Agreements of this case as all void. Nevertheless, the court below determined that they were valid, based solely on the circumstances stated in its judgment; such determination by the court below contains an error affecting the judgment by misunderstanding the legal principles concerning the validity of agreements on prescribed working hours and failing to conduct the necessary examination.

3. Determination on the prescribed working hours applicable to the plaintiffs
A. Relevant legal principles
1) Where both parties to a contract fail to make a specific agreement on matters that form the premise or basis of the contract, and thus the contract must be interpreted by supplementing the parties’ intent, the supplemented intent of the parties refers not to the parties’ actual or subjective intent, but to the intent for a fair adjustment of interests that can be objectively inferred in light of the purpose of the contract, trade customs, applicable statutes, the principle of good faith, etc. (see Supreme Court Decision 2005Da13288, decided November 23, 2006, etc.).
2) Prescribed working hours refer to the hours during which the employee has agreed to bear the obligation to work and the employer has agreed to pay wages for the performance of that obligation to work, and they function as a tool concept necessary for calculating ordinary wages, which serve as the premise for calculating extended-work allowances, etc. under the Labor Standards Act (근로기준법), for converting the comparison wage under the Minimum Wage Act into an hourly wage, and for determining the existence of an obligation to establish a retirement benefit system under the Employee Retirement Benefit Security Act (근로자퇴직급여 보장법). The Labor Standards Act imposes on the employer an obligation, when concluding an employment contract, to deliver to the employee a document specifying the prescribed working hours, and contains provisions punishing violations thereof (Articles 17 and 114). In light of the meaning and function of such prescribed working hours, where there is no valid provision on prescribed working hours in the employment contract, employment rules, collective agreement, etc., the court needs to determine the valid prescribed working hours by interpreting the employment contract in a manner that supplements the intent of the parties to the employment relationship, in order to determine whether there is a shortfall from the minimum wage and the amount of any such shortfall.

B. The court below rejected the plaintiffs’ argument that the prescribed working hours should be recognized as 8 hours per day, or at least 6 hours and 40 minutes, on the grounds that even if the provisions setting prescribed working hours in the Employment Rules of this case and each of the Wage Agreements of this case were void as violating mandatory statutory provisions, the plaintiffs could not claim the minimum wage, etc. calculated on the basis of actual working hours rather than prescribed working hours; there was no evidence to find that the plaintiffs’ actual working hours were 8 hours per day as they asserted; and it could not be found, merely from the prescribed working hours set by other taxi companies located in △△ City, etc., that the prescribed working hours applicable to the plaintiffs were 6 hours and 40 minutes per day.

C. However, the above determination of the court below is difficult to accept as it stands, for the following reasons.
1) It appears that the plaintiffs’ actual working hours during the period for which they claim the minimum wage significantly exceeded the prescribed working hours of 3 hours or 2 hours and 30 minutes per day set in the Employment Rules of this case and each of the Wage Agreements of this case. According to the tachometer operation records for December 2016 (Exhibit Eul No. 8) submitted by the defendant, the working hours—the sum of operating hours and vacant-car hours—of a substantial number of plaintiffs exceeded 150 hours. Since the plaintiffs’ full-attendance days number 25 (except in February), this amounts to a daily average exceeding 6 hours. It appears that the plaintiffs occasionally turned off the taxi meter and drove long distances, such as when traveling to and from Incheon Airport, and thus it is highly likely that the plaintiffs’ actual working hours were longer than shown in the tachometer operation records.
2) It appears that during the period for which they claim the minimum wage, the plaintiffs operated their taxis while taking appropriate rest within the dispatch time set by the defendant, and there is no material to find that the plaintiffs used the dispatch time against the defendant’s wishes; if the plaintiffs and the defendant had set prescribed working hours, it appears that such hours would not have differed significantly from the plaintiffs’ ordinary operating hours.
3) The plaintiffs assert that, around the time the special provision of this case took effect, taxi companies located in △△ City ordinarily set daily prescribed working hours at 6 hours and 40 minutes, and that the plaintiffs should likewise be subject to prescribed working hours at that level. As noted above, the non-party company itself entered into an employment contract with Plaintiff 4 around April 2008, after the special provision of this case was promulgated, setting daily prescribed working hours at 6 hours and 40 minutes. In response, the defendant, without rebutting how taxi companies located in △△ City set their prescribed working hours around that time, disputes this only on the ground that employment contracts or collective agreements of other taxi companies cannot be directly applied to the plaintiffs. During the period for which they claim the minimum wage, the plaintiffs worked under the fixed-amount quota system in the form of a two-shift daily rotation system or a one-person-one-vehicle system, working 6 days followed by 1 day off, with full-attendance days set at 25 (except in February); and the record shows that this is a work pattern and manner of working commonly found at taxi companies located in Gyeonggi Province, including the △△ City area. In light of these circumstances and the characteristics and current status of the taxi transportation business, the prescribed working hours of other taxi companies located in △△ City can also serve as a factor to be considered in supplementing the intent of the plaintiffs and the defendant regarding prescribed working hours.
4) Examining the above circumstances in light of the legal principles set out above, there was ample room to determine the prescribed working hours by interpreting the employment contract in a manner supplementing the intent of the plaintiffs and the defendant; nevertheless, the court below dismissed all of the plaintiffs’ claims without conducting such interpretation, and this contains an error affecting the judgment by misunderstanding the legal principles concerning the supplementary interpretation of juristic acts and failing to conduct the necessary examination.

4. Conclusion
The part of the judgment below concerning the plaintiffs is reversed, and this part of the case is remanded to the court below for further examination and determination, and it is so decided as stated in the Order, by the unanimous opinion of the Justices participating in the decision.

Justice Roh Tae-ak (Presiding Justice), Seo Kyung-hwan, Shin Suk-hee (Justice in charge), Roh Kyung-pil
