The Supreme Court ruled that when an employer and employee agree to split and pay out severance pay (퇴직금) in monthly installments, such an agreement is invalid, and any money paid under it constitutes unjust enrichment (부당이득). The Court held that the employer may offset this unjust enrichment against the final severance pay owed to the employee upon actual retirement.

Key takeaways
  • CaseAn employer and employee agreed to divide and pay severance pay (퇴직금) in monthly installments, and the employer actually made these payments.
  • OutcomeThe Supreme Court found the installment agreement invalid, ruling that the amounts already paid constituted unjust enrichment (부당이득) which could be deducted from the final severance pay due at retirement.
  • LessonSeverance pay (퇴직금) must, in principle, be paid only upon actual retirement; agreements to pay it in monthly installments during employment are not legally recognized.
Issues
  • Validity of an agreement to pay severance pay (퇴직금) in monthly installments
  • Whether money paid under such an invalid agreement constitutes unjust enrichment (부당이득)
  • Whether a claim for return of unjust enrichment may be offset against a severance pay claim
Key reasoning

Under Korean labor law, severance pay (퇴직금) must generally be paid only at the time of actual retirement, unless it qualifies as a valid interim settlement (중간정산). An agreement to pay severance pay in monthly installments during employment—rather than as a genuine interim settlement—amounts to an advance waiver of the employee's right to claim severance pay, which violates mandatory statutory provisions and is therefore void. Because the agreement is invalid, the monthly payments made under it cannot be considered either regular wages or actual severance pay; instead, they are treated as unjust enrichment received by the employee without legal basis. Consequently, the employer is entitled to offset (상계) this unjust enrichment against the severance pay that becomes due when the employee actually retires.

Summary of Decision (English, AI translation)

[1] [Majority Opinion] If an employer and an employee agree to pay a certain amount in advance as retirement pay together with the monthly salary or daily wage (hereinafter referred to as an "agreement to divide retirement pay"), such agreement is invalid as violating Article 34 of the former Labor Standards Act (근로기준법) (before amendment by Act No. 7379 of January 27, 2005), which is a mandatory provision, as it constitutes the employee's advance waiver of the retirement pay claim arising at final retirement, unless it is recognized as an interim settlement of retirement pay under the first sentence of Article 34(3) of the same Act. As a result, even if the employer paid the employee money designated as retirement pay pursuant to the agreement to divide retirement pay, such payment has no effect as payment of retirement pay. Now, where, during the continuation of the employment relationship, money is substantially paid in advance as retirement pay separately from the monthly salary or daily wage pursuant to an agreement to divide retirement pay, this presupposes that the said agreement is valid; if it has no effect as payment of retirement pay for the above reason, then since the employer was not originally obligated to pay money designated as retirement pay, the money already paid under the name of retirement pay pursuant to the said agreement cannot be deemed to constitute "wages paid as remuneration for labor" under Article 18 of the same Act. Thus, where the employer has substantially paid the employee money designated as retirement pay, but such payment is not recognized as effective either as payment of retirement pay or as payment of wages under Article 18 of the same Act, the employer has suffered damage equivalent to the amount of said money by paying it to the employee without legal cause, while the employee has gained a benefit equivalent to the same amount; therefore, it is reasonable from the standpoint of fairness to hold that the employee must return the money received under the name of retirement pay to the employer as unjust enrichment.

[Separate and Dissenting Opinion by Justice Kim Young-ran and Justice Kim Neung-hwan] Money paid to an employee under the name of retirement pay together with or included in the monthly salary or daily wage pursuant to a so-called agreement to divide retirement pay cannot, firstly, be retirement pay in that it is paid while the employment contract continues, and secondly, since it is paid continuously and periodically by the employer, who bears the obligation to pay under the agreement, but is not retirement pay, it can only be regarded as a kind of wage paid as remuneration for labor. An agreement to divide retirement pay has as its essential components (i) that the employer pays the employee a certain amount monthly or daily, and (ii) that the designation of such money is retirement pay. Of these, the only part that must be deemed invalid for violating the law is the part designating the payment as retirement pay. If that part were deemed valid, it would result in permitting the employee to waive in advance, in violation of a mandatory statute, the retirement pay claim that ultimately arises at retirement. However, the agreement that the employer will pay the employee a certain amount monthly or daily is valid. There is no basis for deeming this invalid. Given that retirement pay is deferred wages, the money paid monthly or daily to the employee as above should be regarded as being paid by the employer as remuneration for labor pursuant to the valid agreement as described above, and therefore, notwithstanding its designation, it should be regarded as a kind of wage. As such, since the money paid to the employee pursuant to an agreement to divide retirement pay cannot be retirement pay and has only the character of wages, the employee's receipt thereof constitutes the legitimate receipt of wages under the employment contract including the agreement to divide retirement pay, and cannot constitute unjust enrichment; therefore, there is no room for a set-off defense premised on the employer having a claim for return thereof, with the employer's claim for return as the active claim and the employee's retirement pay claim as the passive claim, at the time of the employee's final retirement.

[2] [Majority Opinion] Under the main text of Article 42(1) of the former Labor Standards Act (before amendment by Act No. 7379 of January 27, 2005), wages must be paid directly to the employee in currency and in full; therefore, in principle, an employer may not set off a claim it holds against an employee against the employee's wage claim, and this is to protect employees who are in an economically and socially subordinate relationship. Since retirement pay to be received by an employee also has the nature of wages, the same applies thereto. However, where wages have been overpaid due to a calculation error or the like, if the employee, after retirement, claims wages or retirement pay not received during his or her employment, or if, even where the employee claims wages during employment, the time of the overpayment and the time of exercise of the set-off right are close enough not to lose the substance of adjustment or settlement of wages, and moreover the employer gives advance notice of the amount and method of set-off or otherwise takes measures such that there is no risk of harming the employee's stability of economic life, the employer may set off its claim for return of the overpaid wages, as the active claim, against the employee's wage claim or retirement pay claim. This legal principle also applies where the employer has already paid the employee money designated as retirement pay, but such payment has no effect as payment of retirement pay, so that the employer acquires a claim for return of unjust enrichment equivalent to the same amount, and sets this off, as the active claim, against the employee's retirement pay claim. Meanwhile, Article 246(1)(5) of the Civil Execution Act (민사집행법) provides, for the public and social policy reason of guaranteeing the livelihood of an employee who is an obligor, that "an amount equivalent to one half of a claim for retirement pay or other benefits of a similar nature" is a claim exempt from attachment, and Article 497 of the Civil Act (민법) provides that an obligor of a claim exempt from attachment may not assert set-off against the obligee. Therefore, it is reasonable to hold that set-off of the employer's claim for return of unjust enrichment equivalent to the amount paid to the employee under the name of retirement pay, as the active claim, against the employee's retirement pay claim, is permitted only with respect to the amount corresponding to the portion exceeding one half of the retirement pay claim.

[Separate and Dissenting Opinion by Justice Yang Sung-tae, Justice Lee Hong-hoon, and Justice Yang Chang-soo] The principal basis on which set-off is exceptionally permitted in connection with the settlement of overpaid wages is that the overpayment of wages arises from calculation errors or the like, and that, because certain restrictions can be imposed as to timing and procedure, there is no risk of harming the employee's stability of economic life. However, where money designated as retirement pay, whose effect as payment of retirement pay cannot be recognized, has been paid and the return of unjust enrichment equivalent to that amount becomes an issue, this cannot be regarded as a case of overpayment of wages or retirement pay due to calculation error or the like; moreover, the amount is often large, approaching the amount of retirement pay that should properly be paid, so there is a greater possibility that the employee's stability of economic life may be threatened. Furthermore, disputes between the parties are bound to arise in connection with recognizing money designated as retirement pay as unjust enrichment; if set-off is permitted even in such cases, thereby recognizing the employer's unilateral deduction, this would depart from the original purpose of the retirement pay system and be unduly disadvantageous to the employee, and moreover risks excessively hollowing out the institutional purpose of prohibiting set-off in connection with the payment of wages in the first place. Therefore, it would be more reasonable in many respects to interpret that, where an employer has already paid the employee money designated as retirement pay, but such payment has no effect as payment of retirement pay, so that the employer acquires a claim for return of unjust enrichment equivalent to the same amount, the employer may not set this off, as the active claim, against the employee's retirement pay claim.

[Plaintiffs, Appellants] Plaintiff 1 and 25 others (Attorney-at-law: Cheongan Law Firm, in charge attorney Oh Dong-gyun)
[Defendant, Appellee] Defendant Corporation (Attorneys: Cho Young-gil and 4 others)
[Judgment Below] Seoul High Court Decision 2006Na86698 rendered on November 30, 2007

[Order]

The part of the judgment below dismissing the claims of the plaintiffs other than Plaintiff 6, Plaintiff 7, and Plaintiff 17 is reversed in its entirety, and this part of the case is remanded to the Seoul High Court. The appeals of Plaintiff 6, Plaintiff 7, and Plaintiff 17 are all dismissed. The costs of the appeal by Plaintiff 6, Plaintiff 7, and Plaintiff 17 shall be borne by the said plaintiffs.

[Reasoning] The grounds of appeal are examined.

1. On the issue of whether the amounts nominally paid as retirement allowance constitute unjust enrichment

A. The former Labor Standards Act (Guro Gijunbeop) (before amendment by Act No. 7379 of January 27, 2005; hereinafter the "Act") provides in Article 34(1) that "an employer shall establish a system whereby an average wage of 30 days or more per one year of continuous service is paid to a retiring worker; provided that this shall not apply where the period of service is less than one year," and in the first sentence of Article 34(3) that "notwithstanding the provisions of paragraph (1), where a worker so requests, an employer may settle in advance and pay the retirement allowance for the period of continuous service of the worker concerned before the worker retires." The "retirement allowance" under the above statutory provisions is, in essence, in the nature of deferred wages, in that the employer withholds a portion of the wages owed for the worker's provision of labor, accumulates it, and pays it as a lump sum when the worker retires after having worked for one year or more (see Supreme Court Decision 2004Da8333 rendered on March 30, 2007, etc.). Accordingly, unless a valid interim settlement of retirement allowance has been made, the right to claim retirement allowance cannot arise while the employment contract remains in existence.

Therefore, if an employer and a worker agree to pay a certain amount in advance as retirement allowance together with the monthly salary or daily wage (hereinafter the "installment retirement allowance agreement"), such agreement, unless it is recognized as an interim settlement of retirement allowance under the first sentence of Article 34(3) of the Act, constitutes an advance waiver by the worker of the right to claim retirement allowance that arises upon final retirement, and is void as being in violation of Article 34 of the Act, which is a mandatory provision (see Supreme Court Decision 2000Da27671 rendered on July 26, 2002, Supreme Court Decision 2007Do4171 rendered on August 23, 2007, etc.). As a result, even if the employer paid the worker an amount nominally designated as retirement allowance pursuant to the installment retirement allowance agreement, such payment has no effect as payment of retirement allowance.

B. Meanwhile, "wages" as provided in Article 18 of the Act refer to all money and valuables paid by the employer to the worker as remuneration for labor, which are paid continuously and regularly to the worker and for which the employer bears an obligation to pay pursuant to a collective agreement, rules of employment, remuneration regulations, employment contract, labor practice, etc. (see Supreme Court Decision 98Da34393 rendered on September 3, 1999, Supreme Court Decision 2006Da48229 rendered on December 8, 2006, etc.). However, where, during the continuance of the employment relationship, a retirement allowance is substantively paid in advance separately from the monthly salary or daily wage pursuant to an installment retirement allowance agreement, this presupposes the validity of such agreement; if, for the reasons stated above, such payment has no effect as payment of retirement allowance, then the employer was not originally obligated to pay the amount nominally designated as retirement allowance, and therefore the amount already paid as retirement allowance pursuant to such agreement cannot be regarded as "wages paid as remuneration for labor" under Article 18 of the Act.

Thus, where an employer has substantively paid a worker an amount nominally designated as retirement allowance, but such payment is not recognized as having the effect of retirement allowance payment, nor is it recognized as having the effect of wage payment under Article 18 of the Act, the employer has, without legal cause, paid the worker an amount designated as retirement allowance and thereby suffered a loss equivalent to that amount, while the worker has gained a benefit equivalent to the same amount. It is therefore reasonable, from the standpoint of equity, to hold that the worker must return the amount received as nominal retirement allowance to the employer as unjust enrichment.

C. The court below, comprehensively considering the circumstances found based on the evidence lawfully adopted, held that where the defendant employer entered into an installment retirement allowance agreement with the plaintiffs as workers and paid amounts designated as retirement allowance pursuant thereto, such payment has no effect either as an interim settlement of retirement allowance or as payment of retirement allowance, and that the amounts so paid constitute unjust enrichment which the plaintiffs must return to the defendant.

This determination by the court below is justified in light of the legal principles set forth above, and there is no error therein, as alleged in the grounds of appeal, in misapprehending the legal principles concerning wages, retirement allowance, and unjust enrichment.

2. On the issue of the permissibility of set-off

A. Pursuant to the main text of Article 42(1) of the Act, wages must be paid directly to the worker in currency and in full; accordingly, in principle, an employer may not set off a claim it holds against the worker against the worker's wage claim, this being intended to protect workers who are in a position of economic and social subordination. Since the retirement allowance to be received by a worker also has the nature of wages, the same principle applies thereto (see Supreme Court Decision 88Daka26413 rendered on May 8, 1990, etc.). However, where wages have been overpaid due to a calculation error or the like, and the worker, after retirement, claims wages or retirement allowance not received during his or her employment, or even where the worker claims wages while still employed, if the timing of the overpayment and the timing of the exercise of the right of set-off are sufficiently close so as not to lose the character of a settlement or adjustment of wages, and, moreover, if the employer has notified the amount and method of the set-off in advance or otherwise, such that there is no risk of undermining the stability of the worker's economic life, the employer may set off its claim for the return of the overpaid wages, as an automatic claim (active claim), against the worker's wage claim or retirement allowance claim (see Supreme Court Decision 93Da38529 rendered on December 28, 1993, Supreme Court en banc Decision 94Da26721 rendered on December 21, 1995, etc.). This legal principle also applies where an employer, having already paid a worker an amount nominally designated as retirement allowance which has no effect as payment of retirement allowance and therefore has acquired an unjust enrichment claim in the equivalent amount, sets off such claim, as an automatic claim, against the worker's retirement allowance claim.

This is because the employer's claim for return of unjust enrichment equivalent to the amount already paid as nominal retirement allowance and the worker's retirement allowance claim are both, in either case, directly related to the payment of retirement allowance, which is deferred wages; they differ only in whether the timing of payment is before or after the worker's retirement, but are not different in their essential nature as payment of retirement allowance, and thus the two are closely and inseparably related. Furthermore, set-off based on the unjust enrichment claim regarding the amount nominally paid as retirement allowance does not mean that the employer will not pay the retirement allowance to the worker at all, but merely that the amount already paid as retirement allowance is to be deducted from the retirement allowance that must be paid due to the worker's retirement; this is a natural measure from the standpoint of equity, and it cannot be said that the worker is thereby placed in a particularly disadvantageous position or that this violates the principle of full payment of wages.

Moreover, in such a case, the worker concerned has already retired and is no longer in an employment relationship in which he or she receives wages that form the direct basis of his or her economic life; furthermore, since the employer is not seeking to set off a claim entirely unrelated to the prior employment relationship against the worker's retirement allowance claim, such set-off does not result in undermining the stability of the worker's economic life.

Ultimately, an employer's set-off of its claim for return of an amount already paid to a worker as nominal retirement allowance against the worker's retirement allowance claim is, in short, nothing more than one method of settling and adjusting the amount of retirement allowance to be paid by the employer due to the worker's retirement, and there is thus no reason whatsoever to disallow this.

B. Meanwhile, Article 246(1)(5) of the Civil Execution Act (Minsa Jip'aengbeop) [the same applies to Article 246(1)(4) of the former Civil Execution Act (before amendment by Act No. 7358 of January 27, 2005)] provides, for public interest and social policy reasons of guaranteeing the livelihood of the worker as debtor, that "one half of the amount of the retirement allowance claim or any other claim of a similar nature" shall be a claim exempt from seizure, and Article 497 of the Civil Act (Minbeop) provides that a debtor of a claim exempt from seizure may not assert set-off against the creditor. Accordingly, it is reasonable to hold that an employer's set-off of its claim for return of unjust enrichment equivalent to the amount paid to the worker as nominal retirement allowance, as an automatic claim, against the worker's retirement allowance claim, is permissible only with respect to the amount exceeding one half of the retirement allowance claim.

C. The court below accepted in full the defendant's defense of set-off, whereby the defendant sought to set off its unjust enrichment claim equivalent to the amount of nominal retirement allowance against the plaintiffs' retirement allowance claims, and rejected the corresponding portion of the plaintiffs' claims in this case. However, since the defendant's above defense of set-off involves the plaintiffs' (workers') retirement allowance claims as the passive claim, in light of the legal principles set forth above, the court below should have specified the amount equivalent to one half of the retirement allowance claim, which is a claim exempt from seizure and with respect to which set-off is restricted, and permitted set-off only with respect to the amount exceeding that half.

However, according to the record, it can be seen that, with respect to Plaintiff 6, Plaintiff 7, and Plaintiff 17, the amount already received from the defendant as nominal retirement allowance does not reach one half of the amount of their retirement allowance claims, whereas, with respect to the remaining plaintiffs other than the said plaintiffs, the amount already received from the defendant as nominal retirement allowance exceeds one half of the amount of their retirement allowance claims. Accordingly, the court below's acceptance in full of the defendant's defense of set-off with respect to Plaintiff 6, Plaintiff 7, and Plaintiff 17 is justified; however, its acceptance in full of the defendant's defense of set-off with respect to the remaining plaintiffs, other than the said plaintiffs, constitutes an error resulting from a misapprehension of the legal principles concerning the prohibition on seizure and restriction on set-off.

3. Accordingly, the part of the judgment below dismissing the claims of the plaintiffs other than Plaintiff 6, Plaintiff 7, and Plaintiff 17 is reversed, and this part of the case is remanded to the court below; the appeals of Plaintiff 6, Plaintiff 7, and Plaintiff 17 are all dismissed, and the costs of appeal of the said plaintiffs shall be borne by the losing parties. Except for the separate opinion (as to the reversed portion) and dissenting opinion (as to the dismissed portion) of Justice Kim Young-ran and Justice Kim Neung-hwan on the issue of whether the amounts nominally paid as retirement allowance constitute unjust enrichment, and the separate opinion (as to the reversed portion) and dissenting opinion (as to the dismissed portion) of Justice Yang Sung-tae, Justice Lee Hong-hoon, and Justice Yang Chang-soo on the issue of the permissibility of set-off (hereinafter the above separate opinions and dissenting opinions are collectively referred to as the "separate and dissenting opinions"), the opinions of the participating Justices are unanimous, and the judgment is rendered as stated in the Order.

4. Separate and Dissenting Opinion of Justice Kim Young-ran and Justice Kim Neung-hwan

A. We fully agree with the majority opinion that the retirement allowance under Article 34 of the Act, being in the nature of deferred wages in that the employer withholds a portion of the wages owed for the worker's provision of labor, accumulates it, and pays it as a lump sum upon the worker's retirement after one year or more of service, cannot give rise to a right to claim retirement allowance while the employment contract remains in existence unless a valid interim settlement of retirement allowance has been made, and that "wages" under Article 18 of the Act mean all money and valuables paid by the employer to the worker as remuneration for labor, paid continuously and regularly, with the employer bearing an obligation to pay pursuant to a collective agreement, rules of employment, remuneration regulations, employment contract, labor practice, etc. In particular, so long as the money paid by an employer to a worker satisfies the above requirements, it constitutes wages regardless of its designation (see Supreme Court Decision 90Daka19647 rendered on December 7, 1990, etc.).

On this premise, examining the so-called installment retirement allowance agreement, the money paid to a worker as nominal retirement allowance together with, or included in, the monthly salary or daily wage pursuant to such agreement cannot, firstly, be retirement allowance, in that it is paid while the employment contract remains in existence; and, secondly, cannot but be regarded as a type of wages paid as remuneration for labor, in that, although the employer bears an obligation to pay it continuously and regularly pursuant to the agreement, it is not retirement allowance. The reasons are as follows.

An installment retirement allowance agreement essentially consists of two components: (i) that the employer pays the worker a certain amount monthly or daily, and (ii) that the designation of such amount is retirement allowance. Of these, only the portion designating the payment as retirement allowance should be void as violating the Act. As the majority opinion aptly points out, this is because recognizing that portion as valid would result in permitting the worker to waive, in advance and in violation of a mandatory provision, the right to claim retirement allowance that ultimately arises upon retirement. However, the agreement that the employer pays the worker a certain amount monthly or daily is valid. There is no basis whatsoever for regarding this as void. Given that retirement allowance is deferred wages, the amount thus paid to the worker monthly or daily should be regarded as paid by the employer as remuneration for labor pursuant to the above valid agreement, and therefore, notwithstanding its designation, should be regarded as a type of wages.

As such, since the money paid to a worker pursuant to an installment retirement allowance agreement cannot be retirement allowance and has only the character of wages, the worker's receipt thereof constitutes the receipt of legitimate wages pursuant to the employment contract that includes the installment retirement allowance agreement, and cannot constitute unjust enrichment; accordingly, there is no room whatsoever for a defense of set-off, whereby the employer, upon the worker's final retirement, sets off its claim for return thereof as the automatic claim against the worker's retirement allowance claim as the passive claim.

However, the majority opinion holds, in effect, that the entire installment retirement allowance agreement is void, on the ground that advance payment of retirement allowance before retirement is void unless recognized as an interim settlement of retirement allowance, so that the money paid pursuant to an installment retirement allowance agreement cannot be recognized as having the effect of retirement allowance payment, nor does it constitute wages. However, this focuses solely on the aspect of the installment payment of retirement allowance among the two aspects of the installment retirement allowance agreement described above, while overlooking or disregarding the aspect that the money paid pursuant to such agreement has, notwithstanding its designation, the substance of wages, and is therefore improper. Moreover, as a result of regarding the entire installment retirement allowance agreement as void in this manner, the majority opinion holds that the money received by the worker pursuant to such agreement is without legal cause and thus constitutes unjust enrichment, so that, upon the worker's final retirement, set-off is possible between the employer's claim for return of such unjust enrichment as the automatic claim and the worker's retirement allowance claim as the passive claim. However, this is, in result, no different from recognizing the effect of an advance installment payment of retirement allowance made during the continuance of the employment contract with respect to money paid as nominal retirement allowance, and this is inconsistent with the majority opinion's original intention of denying the effect of retirement allowance payment to the money paid pursuant to the installment retirement allowance agreement. For this reason, we cannot agree with the majority opinion.

B. In this case, the court below held, on the premise that the money paid by the defendant to the plaintiffs as nominal retirement allowance pursuant to the installment retirement allowance agreement does not constitute wages, that the plaintiffs are obligated to return such money to the defendant as unjust enrichment, and accepted the defendant's defense of set-off based thereon as the automatic claim. However, in light of the legal principles set forth above, the judgment below committed an error, affecting the judgment, of misapprehending the legal principles concerning the installment retirement allowance agreement and wages. The portion of the judgment below dismissing the plaintiffs' claims should be reversed in its entirety on this ground.

5. Separate and Dissenting Opinion of Justice Yang Sung-tae, Justice Lee Hong-hoon, and Justice Yang Chang-soo

A. Article 32(3) of the Constitution (Heonbeop) provides that "the standards of working conditions shall be determined by Act in such a way as to guarantee human dignity." Working conditions refer to conditions relating to a worker's provision of labor and receipt of wages under an employment contract, including wages and the method of their payment, working hours and rest periods, safety and hygiene facilities, and disaster compensation; and determining the standards of working conditions by statute means that the statute establishes minimum restrictions with respect to working conditions (see Constitutional Court en banc Decision 2002Heonba51 rendered on July 24, 2003, etc.). In accordance with Article 32(3) of the Constitution, which establishes the principle of statutory determination of working conditions, the Labor Standards Act aims, by determining the standards of working conditions, to guarantee and improve the basic livelihood of workers and to promote the balanced development of the national economy.

B. As the majority opinion points out, the retirement allowance provided for in Article 34 of the Act, while essentially in the nature of deferred wages, also has, in addition to its character as deferred wages, the character of a social security benefit and of compensation for meritorious service (see Supreme Court Decision 94Da36186 rendered on October 12, 1995, Supreme Court Decision 2002Da29442 rendered on September 6, 2002, etc.).

Furthermore, wages, being all money and valuables paid as remuneration for labor, ordinarily constitute the foundation for the survival of the worker and his or her dependent family, and are thus recognized as the most essential part of working conditions; accordingly, the Labor Standards Act also contains various provisions relating to the protection of wages. In particular, the main text of Article 42(1) of the Act, providing that "wages must be paid directly to the worker in currency and in full," declares the so-called principle of full payment of wages, the purpose of which is to prohibit the employer from unilaterally deducting wages, thereby ensuring that the worker reliably receives the full amount of wages, so as to protect the worker from any threat to his or her economic life. Accordingly, it is, in principle, prohibited for an employer to unilaterally set off a claim it holds against a worker against the worker's wage claim (see Supreme Court Decision 2001Da25184 rendered on October 23, 2001, etc.), and this legal principle applies equally in the case of retirement allowance.

C. However, even accepting, as the majority opinion states, that set-off for the purpose of settling and adjusting overpaid wages due to calculation error or the like is exceptionally permitted within certain limits, we cannot agree with the majority opinion's position that, as is at issue in this case, where an employer has already paid a worker money nominally designated as retirement allowance which has no effect as payment of retirement allowance, and the employer has thereby acquired an unjust enrichment claim equivalent to the same amount, set-off of such claim, as the automatic claim, against the worker's retirement allowance claim is also exceptionally permitted, for the following reasons.

First, notwithstanding the principle of full payment of wages provided for in the main text of Article 42(1) of the Act, the exceptional permission of set-off in certain cases as described above is premised, fundamentally, on the case where wages have been overpaid due to calculation error or the like, and where the timing of the set-off is reasonably close to the timing of the overpayment of wages so as not to lose the character of a settlement or adjustment of wages, and where there is no risk of undermining the stability of the worker's economic life, such as by the employer notifying the amount and method in advance. However, the situation, as in this case, where an employer acquires an unjust enrichment claim equivalent to the amount of money nominally paid as retirement allowance which cannot be recognized as having the effect of retirement allowance payment, arises from the deliberate advance payment of retirement allowance pursuant to a prearranged so-called "installment retirement allowance agreement," and is thus clearly different in legal character from the case of overpayment of wages due to calculation error or the like as described above. Accordingly, in such a situation, it cannot be concluded, as the majority opinion points out, that the employer's unjust enrichment claim equivalent to the amount already paid as nominal retirement allowance and the worker's retirement allowance claim are closely and inseparably related.

Second, in light of the fact that, as recognized in Supreme Court precedents, retirement allowance has, in addition to its character as deferred wages, the character of a social security benefit and of compensation for meritorious service; and in light of the fact that Article 34 of the Act, while making the statutory retirement allowance system a mandatory provision, permits interim settlement of retirement allowance only under strict requirements, the social security benefit and meritorious service compensation character of retirement allowance must be fully considered in determining the permissible scope of set-off against a wage claim including a retirement allowance claim as the passive claim. In our society, population aging has recently been proceeding at a considerably rapid pace, yet institutional measures for workers' post-retirement livelihood remain inadequate, so that the individual and social burden is increasingly growing. In particular, due to the spread of annual salary systems, the shortening of years of continuous service, and other factors, workers' lives have become considerably more unstable than in the past, and the position of workers other than those protected by statutory welfare systems, such as public officials or private school teachers, is becoming relatively even more precarious. Under these circumstances, it cannot be denied that retirement allowance functions as an important means of guaranteeing workers' post-retirement livelihood and forms the basis of workers' economic lives. In particular, the majority opinion has in mind the case where, under a so-called "installment retirement allowance agreement," a certain amount is agreed to be paid in advance as retirement allowance together with the monthly salary or daily wage. However, where wages are paid in the form of a monthly salary or daily wage in this manner, it is questionable how realistic it is, from the worker's standpoint, to distinguish between the portion paid as retirement allowance and the portion not so paid (stated from another perspective, an installment retirement allowance agreement may cause the worker to have a mistaken understanding of his or her wage amount, under the pretext of paying retirement allowance in advance in addition thereto), and there are also cases where, from the employer's standpoint, the distinction between the two is arbitrary. Above all, workers will, in many cases, establish spending plans for living expenses and the like for themselves and their families based on their total wages, including the portion paid as nominal retirement allowance, and will spend the wages received accordingly. Therefore, if, upon retirement after providing labor under the employment relationship for a considerable period, the worker's retirement allowance claim is unilaterally set off all at once by the employer against the amounts paid during that period as nominal retirement allowance, this would significantly undermine the social security character of retirement allowance, which is intended to guarantee a stable livelihood even after retirement.

If so, with respect to whether, where a worker claims wages or retirement allowance not received during his or her employment after retirement, set-off is permitted with the employer's claim for return of overpaid wages or retirement allowance as the automatic claim, the majority opinion's position permitting set-off is problematic in that it excessively emphasizes only the deferred-wage character of retirement allowance while overlooking its character as a social security benefit and as compensation for meritorious service. Furthermore, the majority opinion's position — that permitting set-off is natural also from the standpoint of equity, and that, since a retired worker is no longer in an employment relationship in which he or she receives wages forming the direct basis of his or her economic life, this does not result in undermining the stability of the worker's economic life — is a formalistic interpretation that fails to take into account the public and social nature of the employer or enterprise based on the social security benefit and meritorious service compensation character of retirement allowance, and is thus difficult to readily agree with.

Third, while taking the position of permitting set-off as described above, the majority opinion also takes the position, based on Article 246(1)(5) of the Civil Execution Act and Article 497 of the Civil Act, that an employer's set-off of its claim for return of unjust enrichment equivalent to the amount paid to a worker as nominal retirement allowance, as the automatic claim, against the worker's retirement allowance claim, is permitted only with respect to the amount exceeding one half of the retirement allowance claim. However, considering the legislative intent of Article 246(1)(5) of the Civil Execution Act, which prohibits seizure in order to protect the debtor for reasons of social policy consideration and to give concrete effect to the social state principle oriented toward social justice, while maintaining the standard of one half of the retirement allowance claim in the interest of harmonizing this with the interests of general creditors, it is considered more appropriate, in the relationship between employer and worker as distinct from that between general creditors, to follow the principle of full payment of wages under the main text of Article 42(1) of the Act.

Ultimately, the main grounds for exceptionally permitting set-off in connection with the settlement of overpaid wages are that the overpayment of wages arises from calculation error or the like, and that certain restrictions can be imposed as to timing and procedure, such that there is no risk of undermining the stability of the worker's economic life. However, where, as in this case, the issue is the return of unjust enrichment equivalent to the amount of money nominally paid as retirement allowance which cannot be recognized as having the effect of retirement allowance payment, this cannot be regarded as a case of overpayment of wages or retirement allowance due to calculation error or the like; moreover, the amount involved is often so large as to approach the amount of retirement allowance properly payable, such that there is a high likelihood that the stability of the worker's economic life will be threatened. Furthermore, there is bound to be a dispute between the parties as to whether the money designated as retirement allowance constitutes unjust enrichment; and if set-off is permitted even in such cases, thereby recognizing the employer's unilateral deduction, this would depart from the original purpose of the retirement allowance system and be unduly disadvantageous to the worker, as well as risk excessively hollowing out the institutional purpose of the prohibition on set-off with respect to the payment of wages in the first place. Accordingly, it is considered more reasonable, in many respects, to interpret the law such that, where an employer has already paid a worker money nominally designated as retirement allowance which has no effect as payment of retirement allowance, and the employer has thereby acquired an unjust enrichment claim equivalent to the same amount, such claim may not be set off, as the automatic claim, against the worker's retirement allowance claim.

D. In light of the legal principles set forth above, the court below's determination, in ruling on the defendant's defense of set-off, permitting set-off of the entirety of the plaintiffs' retirement allowance claims against the defendant with the defendant's unjust enrichment claims equivalent to the nominal retirement allowance amounts paid to the plaintiffs, and thereby rejecting the corresponding portion of the plaintiffs' claims against the defendant in this case, contains an error, affecting the judgment, of misapprehending the legal principles concerning the prohibition on set-off.

We hereby set forth the foregoing separate and dissenting opinions.
