Orchestra musicians employed by a broadcasting company sought severance pay (퇴직금) after being denied recognition as employees. The Korean Supreme Court ruled that the musicians qualified as employees (근로자) under the Labor Standards Act (근로기준법), and confirmed that when the company underwent a corporate split, the musicians' employment relationships were legally succeeded by the new entity, with their continuous years of service (계속근로연수) to be combined for severance pay calculation purposes.

Key takeaways
  • CaseIncident: Orchestra musicians at a broadcasting company were denied employee status by the company and consequently did not receive severance pay, prompting them to file a lawsuit.
  • OutcomeResult: The Supreme Court ruled that the musicians were employees subject to the company's direction and supervision, and that their employment relationship continued through the corporate split, entitling them to severance pay.
  • LessonLesson: Even artists or professionals can be recognized as employees—and thus entitled to protections like severance pay—if they work under the specific direction and supervision of a company on an exclusive basis.
Issues
  • Whether orchestra musicians employed by a broadcasting company qualify as employees (근로자) under the Labor Standards Act
  • Whether employment relationships and continuous years of service are succeeded when a company undergoes a corporate split
  • Which regulations should apply in calculating severance pay, and whether the principle prohibiting discriminatory treatment (차등금지원칙) was violated
Key reasoning

The Court found that the orchestra musicians were subject to the company's specific direction and supervision, received fixed salaries, and worked in an exclusive employment relationship with the company—all factors establishing employee status under Korean labor law. Even though musicians might be considered professionals or artists, these factual circumstances of control and exclusivity were determinative of employee status rather than their job title or profession. The Court further held that when the broadcasting company split into separate corporate entities, a special agreement (특약) governing the split provided for succession of employment relationships, meaning the musicians' service years should be calculated continuously across both the original and successor companies. This continuous service calculation was essential for correctly determining the severance pay amount owed to the employees.

Summary of Decision (English, AI translation)

[1] Whether a person constitutes an employee under the Labor Standards Act (근로기준법) must be determined not by the form of the contract, whether it is an employment contract or a service contract under the Civil Act (민법), but by the substance of whether the employee provided labor to the employer in a subordinate relationship for the purpose of wages in a business or workplace. In making this determination, the following factors must be comprehensively considered: whether the content of the work is determined by the employer and is subject to the application of employment rules, service regulations, personnel regulations, etc., and whether the employee is subject to specific and direct supervision and direction from the employer in the course of performing the work; whether working hours and place of work are designated by the employer and whether the employee is bound thereby; whether there is substitutability of work, such as the employee himself hiring a third party to perform the work on his behalf; the ownership relationship of equipment, raw materials, work tools, etc.; matters concerning remuneration, such as whether the remuneration has the character of consideration for the labor itself, whether a basic salary or fixed wage is set, and whether income tax is withheld at source; the continuity of the labor provision relationship and the existence and degree of exclusive affiliation with the employer; whether the status of employee should be recognized under other statutes, such as social security legislation; and the economic and social conditions of both parties.

[2] A case holding that members of a T.V. orchestra who entered into an exclusive contract with a broadcasting company and joined it constituted employees in a relationship of use and subordination with the broadcasting company, in light of the following: the members did not independently provide the labor of performance according to their own will, but appeared on broadcasts in accordance with the company's specific instructions regarding appearances; they were subject to the company's direct supervision and direction with respect to attendance, departure, and other administrative matters; although no fixed working hours were set and their attendance and departure times were not fixed, and they could engage in other performance activities with the company's approval, the company could, whenever necessary, instruct them at any time and unilaterally to appear as orchestra members in a specific program or project, and in such cases the orchestra members were obligated to comply with such instructions; and they received from the company, as consideration for the provision of labor, a basic salary and allowances, bonuses, etc. calculated according to certain fixed standards on a monthly basis, and had income tax withheld at source.

[3] So-called "transfer" (전적), whereby an employee moves his affiliation from the enterprise in which he was employed to another enterprise and engages in the work of that other enterprise, constitutes a rescission by agreement of the labor relationship with the former enterprise and the conclusion of a new labor contract with the enterprise to which the employee is transferred. Therefore, where a valid transfer has taken place, in principle, the employee's labor relationship with the former enterprise is severed, and the enterprise to which he is transferred does not succeed to the employee's labor relationship with the former enterprise. However, where there are special circumstances, such as an agreement between the parties to succeed to the labor relationship with the former enterprise, or a provision in the employment rules, etc. of the enterprise to which the employee is transferred providing for the aggregation of the period of continuous service with the former enterprise, the employee's labor relationship with the former enterprise is not severed, and the enterprise to which he is transferred succeeds to the employee's labor relationship with the former enterprise.

[4] Where a labor contract relationship is comprehensively succeeded to as a result of a business transfer, etc., the employee's status under the former labor contract is also succeeded to as it stands. Accordingly, if the retirement allowance provisions after succession are less favorable to the employee than the retirement allowance provisions before succession, the retirement allowance provisions after succession cannot be applied without the consent of the relevant group of employees obtained through the collective decision-making method prescribed in Article 95, Paragraph 1 of the Labor Standards Act (근로기준법). Furthermore, while Article 28, Paragraph 2 of the same Act and Paragraph 2 of the Addenda (Act No. 3349 of December 31, 1980) prohibit the establishment of a discriminatory retirement allowance system within a single business, the purpose of this prohibition is to prevent discrimination in retirement allowances based on job type, position, or type of industry within a single business. Therefore, even if, as a result of the comprehensive succession of the labor relationship as described above, the new retirement allowance system infringes upon the vested interests of existing employees such that it does not apply to them and the former retirement allowance provisions must inevitably be applied to them, resulting in the operation of separate retirement allowance systems within a single business, such a case cannot be deemed to constitute the establishment of a discriminatory retirement allowance system prohibited by the aforementioned Article 28, Paragraph 2 and Paragraph 2 of the Addenda.

[5] In calculating a retirement allowance, where a labor contract is renewed or an identical labor contract is repeatedly concluded simultaneously with the expiration of the labor contract, the periods of the renewed or repeated contracts must all be aggregated in calculating the years of continuous service.

[Plaintiffs, Appellees]

[Defendant, Appellant] MBC Art Troupe Co., Ltd. (Litigation Counsel: Attorney Seo Ye-gyo)
[Judgment Below] Seoul High Court Judgment 96Na30207, decided April 1, 1997

[Order]

The appeal is dismissed. The costs of the appeal shall be borne by the Defendant.

[Reasoning] The grounds of appeal are examined.
1. As to Ground 1
Whether a person constitutes a worker under the Labor Standards Act (근로기준법) must be determined, regardless of whether the contract is, in form, an employment contract or a contract for work under the Civil Act (민법), according to whether the worker, in substance, provided labor to the employer in a subordinate relationship for the purpose of receiving wages in a business or workplace. In making this determination, the following matters must be comprehensively considered: whether the content of the work is determined by the employer and is subject to the rules of employment, service regulations, personnel regulations, etc., and whether the worker is subject to concrete and direct supervision and direction from the employer in the course of performing the work; whether the working hours and place of work are designated by the employer and whether the worker is bound thereby; whether there is substitutability of work, such as the worker himself hiring a third person to perform the work in his stead; the ownership of equipment, raw materials, work tools, etc.; matters concerning remuneration, such as whether the remuneration has the character of consideration for the labor itself, whether a basic or fixed wage is set, and whether income tax on wage income is withheld at source; the continuity of the labor-providing relationship and the existence and degree of exclusive affiliation with the employer; whether the status as a worker must be recognized under other statutes such as those concerning the social security system; and the economic and social conditions of both parties (see Supreme Court Decisions 95Da20348, decided April 26, 1996; 95Nu13432, decided July 30, 1996; 95Da35289, decided September 6, 1996, etc.).

According to the reasoning of the judgment below, the court below found that the Plaintiffs, having joined the T.V. orchestra of the non-party Munhwa Broadcasting Corporation (hereinafter "the non-party company") and having worked as members of the Defendant company's orchestra from January 1, 1992, did not provide the labor of performing music independently according to their own will, but appeared on broadcasts in accordance with the specific appearance instructions of the non-party company or the Defendant company, and were subject to the direct supervision and direction of the non-party company or the Defendant company with respect to attendance, departure, and other administrative matters; that even though fixed working hours were not set on a weekly or monthly basis and the times of attendance and departure were not fixed, and even though the members could engage in other performing activities with the approval of the non-party company or the Defendant company, this should be seen as attributable to the special characteristics of the work of orchestra members who provide the special labor of performance; that the non-party company or the Defendant company could, at any time and unilaterally as necessary, instruct orchestra members to appear in a specific program or project, in which case the orchestra members were obligated to comply with such instructions, so that the non-party company or the Defendant company held the power of direction and command over the disposition of the orchestra members' labor for performance; and further found that the Plaintiffs received, as consideration for providing labor, a basic salary determined by certain standards on a monthly basis, along with allowances, bonuses, etc., from the Defendant company or the non-party company, and that the Defendant company or the non-party company also treated the Plaintiffs as workers and withheld Class A wage income tax from the Plaintiffs and paid it to the tax authorities. Based on these facts, the court below determined that, in light of the process and actual conditions of the Plaintiffs' provision of labor, matters concerning remuneration, and the continuity and subordination of the labor, it was reasonable to view the Plaintiffs as workers in a relationship of use and subordination with respect to the non-party company or the Defendant company.

Examining the record in light of the legal principles set forth above, the fact-finding and determination of the court below are justified, and there is no illegality therein, such as a misapprehension of the legal principles concerning the labor contract relationship and worker status, or a violation of the rules of evidence resulting in a mistake of fact. This ground of appeal cannot be accepted.

2. As to Ground 3
So-called "transfer" (전적), whereby a worker's registration is moved from the enterprise in which he is employed to another enterprise so that he engages in the work of the other enterprise, constitutes a mutual termination of the labor relationship with the former enterprise and the conclusion of a new labor contract with the enterprise to which he is being transferred. Accordingly, where an effective transfer has taken place, the principle is that the worker's labor relationship with the former enterprise is severed, and the enterprise to which he is transferred does not succeed to the worker's labor relationship with the former enterprise. However, where there are special circumstances, such as a special agreement between the parties to succeed to the labor relationship with the former enterprise, or a provision in the rules of employment, etc., of the enterprise to which the worker is transferred providing for the aggregation of the period of continuous service at the former enterprise, the worker's labor relationship with the former enterprise is not severed, and it must be viewed that the enterprise to which the worker is transferred succeeds to the worker's labor relationship with the former enterprise (see Supreme Court Decisions 95Da42270, decided May 10, 1996; 95Da29970, decided December 23, 1996; 96Da38438, decided July 8, 1997, etc.).

However, according to the reasoning of the judgment below and the record, it can be seen that the Plaintiffs, from the respective dates set forth in the judgment below, concluded exclusive contracts on a one-year basis with the non-party company and joined the non-party company's T.V. orchestra as members, performing music by appearing in various programs or projects required by the non-party company; that on September 10, 1991, the non-party company invested 100% of the capital to establish the Defendant company as a subsidiary company, whose business purpose was to engage in broadcast appearances, various performances, cultural and artistic events, and the hosting, organizing, and sponsoring of events, and while transferring, effective January 1, 1992, the operational work of the T.V. orchestra, radio orchestra, choir, dance troupe (hereinafter "exclusive troupes") that had been under the non-party company, the non-party company and the Defendant company concluded a personnel-related agreement around December 1991; that under this agreement, the non-party company was to process the termination (retirement) of the exclusive troupe members' contracts with the consent of the persons concerned, and the Defendant company was to conclude exclusive contracts with the exclusive troupe members whose contracts were terminated by the non-party company on January 1, 1992, effective on the same date; that the non-party company was to transfer, in a lump sum, the retirement allowance for 152 persons, amounting to KRW 815,380,800, to the Defendant company upon the retirement of the exclusive troupe members on January 1, 1992, provided that, for members who wished to receive their retirement allowance, the non-party company would pay the retirement allowance, thereby discharging the non-party company's obligation to pay retirement allowances to the exclusive troupe members; and that, when calculating the period of continuous service of exclusive troupe members for the purpose of paying retirement allowances or for other business necessities, the Defendant company was to calculate the period of continuous service, for members who received their retirement allowance upon retiring from the non-party company on January 1, 1992, from the time they concluded the exclusive contract with the Defendant company, and for members who did not receive their retirement allowance, by aggregating the period of service at the Defendant company and the period of service at the non-party company; that, at the time the non-party company transferred the operational work concerning the exclusive troupes to the Defendant company, it circulated a document called a "letter of consent" among the persons to be transferred, including the Plaintiffs, and had them sign and seal it, the content of which was that the existing exclusive contracts and forms of operation and management between the members at that time and the non-party company would be maintained as they were, but that the Defendant company would succeed to and take over the non-party company's name and rights and obligations under the exclusive contracts, and would continue to guarantee the salary and welfare benefits agreed upon in the contract with the non-party company, and that after the expiration of the then-current contract period, the Defendant company would conclude renewal contracts on a one-year basis in accordance with the existing method, and that the exclusive troupe members would be processed as retiring, since their exclusive contracts with the non-party company were effectively terminated, and would be transferred to the Defendant company, and that their retirement allowance would be calculated based on their actual period of service and, after settlement of the amount, transferred as a retirement allowance reserve so that it could be succeeded to by the Defendant company, provided that, if the person so wished, the full amount would be paid at the time of transfer, and that each exclusive troupe would be guaranteed continued use of the existing facilities it had been using within the non-party company's main office building, and that the musical instruments, equipment, etc. used by the exclusive troupes would be transferred to the Defendant company at book value; and that, in accordance with the contents of the above personnel-related agreement and letter of consent, the exclusive troupe members who were subject to transfer, including the Plaintiffs, were given the choice of either receiving the retirement allowance accumulated up to that point and transferring to the Defendant company, or having the retirement allowance transferred to the Defendant company and receiving a lump-sum payment of the retirement allowance upon their subsequent retirement from the Defendant company, and that the Plaintiffs and most of the persons subject to transfer chose the latter option, that is, not receiving the retirement allowance in advance but receiving a lump-sum payment of the retirement allowance upon their subsequent retirement from the Defendant company.

In light of the above facts, it can be seen that the Defendant company, as a subsidiary of the non-party company, took over not only the physical facilities but also the personnel organization related to the exclusive troupe business, which had belonged to the business division of the non-party company, while maintaining their identity, as an integrated whole; and moreover, that, by individual agreement between the non-party company and the Defendant company, it was agreed that the labor relationships of the workers who came to work at the Defendant company without receiving retirement allowances from the non-party company would be comprehensively succeeded to. Therefore, the labor relationship of the Plaintiffs, who had belonged to the non-party company, was comprehensively succeeded to by the Defendant company, and accordingly, the labor relationship with the non-party company, the former enterprise, was not severed but must be viewed as having continued with the Defendant company, the newly established enterprise.

The determination of the court below to the same effect is justified, and there is no illegality therein, such as a mistake of fact due to a violation of the rules of evidence or a misapprehension of the legal principles concerning the severance of the labor relationship. This ground of appeal also cannot be accepted.

3. As to Ground 4
Where a labor contract relationship is comprehensively succeeded to through a business transfer, etc., the worker's status under the former labor contract is likewise succeeded to as it was. Accordingly, if the retirement allowance regulations after succession are less favorable to the worker than the retirement allowance regulations before succession, the retirement allowance regulations after succession cannot be applied without the consent of the relevant group of workers obtained through the method of collective decision-making prescribed in Article 95, Paragraph 1 of the Labor Standards Act (근로기준법) (see Supreme Court Decisions 91Da17542, decided September 24, 1991; 93Da1589, decided March 8, 1994; 93Da58714, decided August 26, 1994; 95Da41659, decided December 26, 1995, etc.). Furthermore, although Article 28, Paragraph 2 of the Labor Standards Act and Paragraph 2 of the Addenda (Act No. 3349, December 31, 1980) prohibit the establishment of a discriminatory retirement allowance system within a single business, the purpose thereof is to prohibit discrimination with respect to retirement allowances by job type, position, or type of industry within a single business. Therefore, even if, as a result of the fact that a new retirement allowance system, established after the labor relationship was comprehensively succeeded to as described above, infringes upon the vested interests of existing workers and thus does not apply to them, so that the former retirement allowance regulations must inevitably be applied to them, resulting in the operation of separate retirement allowance systems within a single business, such a case cannot be deemed to constitute the establishment of a discriminatory retirement allowance system prohibited by the above Article 28, Paragraph 2 and Paragraph 2 of the Addenda (see Supreme Court en banc Decision 91Da45165, decided December 22, 1992; Supreme Court Decision 95Da41659, decided December 26, 1995, etc.).

As indicated in the reasoning of the judgment below, inasmuch as the Defendant company, upon being established as a subsidiary of the non-party company, comprehensively succeeded to the labor relationship between the Plaintiffs and the non-party company, the Plaintiffs' retirement allowance should be calculated in accordance with the retirement allowance payment regulations lawfully amended after their affiliation was changed to the Defendant company, provided that such regulations are not less favorable to the workers than the retirement allowance regulations before succession. However, according to the record, it can be seen that, when the Defendant company newly adopted retirement allowance payment regulations based on a single-rate system on October 1, 1993, even though these retirement allowance payment regulations were less favorable, in terms of the payment rate, etc., than the previous progressive-rate retirement allowance payment regulations of the non-party company under which the Plaintiffs had worked, there was no consent from the workers, including the Plaintiffs, who already held vested rights. Therefore, the newly adopted retirement allowance payment regulations of the Defendant company have no effect as against the Plaintiffs, and accordingly, it is reasonable that the retirement allowance to be paid to the Plaintiffs be calculated in accordance with the progressive-rate retirement allowance payment regulations of the non-party company; and even if the Plaintiffs are recognized as entitled to a retirement allowance based on the progressive-rate system, this cannot be deemed to constitute the establishment of a discriminatory retirement allowance system within the Defendant company's business. The determination of the court below to the same effect is justified, and there is no illegality therein, such as insufficient deliberation or misapprehension of the legal principles concerning the principle prohibiting discrimination in retirement allowance systems. This ground of appeal likewise cannot be accepted.

4. As to Ground 2
According to the reasoning of the judgment below and the record, it can be seen that the Plaintiffs merely consented to the transfer of their accumulated retirement allowance to the Defendant company in connection with the establishment of the Defendant company, but did not consent to the accumulation of retirement allowance under the single-rate system or to the calculation of retirement allowance under the single-rate system. Accordingly, the measure of the court below, in rejecting the Defendant's argument that it violates the principle of good faith or the principle of estoppel for the Plaintiffs to claim retirement allowance under the progressive-rate system after having consented to the accumulation and calculation of retirement allowance under the single-rate system, is justified, and there is no illegality therein, such as a violation of the rules of evidence or a misapprehension of the legal principles concerning the principle of good faith or the principle of estoppel. This ground of appeal also cannot be accepted.

3. [sic] As to Ground 5
In calculating retirement allowance, where a labor contract is renewed simultaneously with its expiration, or where labor contracts with the same conditions are repeatedly concluded, the periods of the renewed or repeated contracts must all be aggregated in calculating the number of years of continuous service (see Supreme Court Decisions 74Da1625, 1626, decided June 24, 1975; 78Da1753, decided April 10, 1979; 93Da26168, en banc Decision, decided July 11, 1995, etc.).

According to the reasoning of the judgment below, the court below found that, although the Plaintiffs concluded exclusive contracts with the non-party company or the Defendant company on a one-year basis, renewal contracts continued to be concluded even after the expiration of the one-year exclusive contract for the Plaintiffs and the other exclusive troupe members, absent special circumstances such as the party concerned not wishing to renew or being judged unqualified, and that the non-party company or the Defendant company did not settle the retirement allowance at each one-year interval upon expiration of the contract term. Based on these findings, the court below determined that, in calculating the retirement allowance for the Plaintiffs, the periods of the renewed or repeated contracts must all be aggregated in calculating the number of years of continuous service, and rejected the Defendant's argument that only the simple sum of the retirement allowances calculated at the end of each contract period should be regarded as the retirement allowance.

Examining the record in light of the legal principles set forth above, the fact-finding and determination of the court below are justified, and there is no illegality therein, such as a mistake of fact due to a violation of the rules of evidence, or a misapprehension of the legal principles concerning the term of the labor contract and its expiration. This ground of appeal also cannot be accepted.

6. Therefore, the appeal is dismissed, and the costs of the appeal are to be borne by the Defendant, the appellant. This judgment is rendered in accordance with the unanimous opinion of the participating Justices, as set forth in the Order.
