Applying different severance pay (퇴직금) rates to employees based on their date of hire generally violates the Labor Standards Act's (근로기준법) prohibition on differential severance pay systems. However, the Supreme Court held that when a labor union agrees to a revised severance pay rate through a collective bargaining agreement (단체협약), that revised rate applies even to employees who were hired before the change. The court ruled in favor of the employer.

Key takeaways
  • CaseWhen the company began applying different severance pay rates depending on employees' hire dates, longer-tenured employees objected to the unfavorable change and demanded that the original, more favorable rate continue to apply to them.
  • OutcomeThe court ruled that once the labor union agreed to the revised severance pay rate through a collective bargaining agreement, that new rate applies to all union members, including those hired before the change.
  • LessonA collective bargaining agreement negotiated by a labor union is legally binding on all members, even those who personally disagree, so unions must carefully review important changes to working conditions before signing such agreements.
Issues
  • Whether a severance pay system that differentiates payment rates based on an employee's date of hire is lawful
  • Whether a labor union's approval of unfavorable severance pay terms through a collective bargaining agreement is legally effective on existing employees
  • Whether a union bylaw requiring a general membership vote as a precondition for concluding a collective bargaining agreement is valid
Key reasoning

A severance pay system that differentiates rates based on an employee's hire date is normally invalid as a violation of the Labor Standards Act. However, if the labor union approves a revised (and less favorable) severance pay rate through a properly executed collective bargaining agreement, that agreement binds all union members, including those hired earlier under the previous, more favorable terms. The court also addressed whether a union's internal rule requiring a general membership vote before its representative can sign a collective bargaining agreement could limit the representative's authority. It held that such an internal restriction violates the Trade Union Act (노동조합법), meaning the union representative's agreement remains valid and binding even without membership approval.

Summary of Decision (English, AI translation)

[1] Article 28(2) of the former Labor Standards Act (former Guro Geunro Gijunbeop; amended by Act No. 3349 on December 31, 1980, before being wholly enacted as Act No. 5309 on March 13, 1997) provides that no discriminatory system shall be established within a single business in setting up a retirement allowance system. The legislative purpose of this provision is to prohibit discrimination arising from establishing different retirement allowance systems by job type, position, or industry within a single business, and to require the application of a single retirement allowance system. Therefore, establishing a retirement allowance system that differentiates payment rates according to an employee's date of hire is likewise prohibited.

[2] A collective agreement (단체협약) is an agreement concluded between a labor union and an employer or an employer's association concerning working conditions and other matters arising in labor-management relations. Where a labor union concludes a collective agreement with the employer that retroactively consents to or approves the criteria for determining existing working conditions such as wages, working hours, and retirement allowances, the effect of such consent or approval arises with respect to union members or employees who are employed at the business and become subject to the agreement after the collective agreement takes effect. Accordingly, even where a change to the provisions on retirement allowance payment rates in the rules of employment (취업규칙) is disadvantageous to employees, and thus, absent the employer obtaining consent through the collective decision-making method of the employees, the previous retirement allowance payment rate should apply to existing employees whose vested interests would otherwise be infringed by the change, if the labor union concludes a collective agreement with the employer providing that the changed retirement allowance payment rate shall be followed, then, in principle, regardless of whether it was known that the previous retirement allowance payment rate should apply to the existing employees whose vested interests would be infringed, the changed retirement allowance payment rate must also be applied to the existing employees who become subject to that agreement.

[3] Requiring that, after a labor union's representative has reached agreement with the employer on the content of a collective agreement following the results of collective bargaining, the agreement proposal must again undergo a resolution by the general meeting of union members as to its approval or rejection, comprehensively and entirely restricts the representative's authority to conclude collective agreements, thereby effectively hollowing out that authority and rendering it nominal. This is contrary to Article 33(1) of the former Trade Union Act (former Nodong Johap Beop; abolished by Act No. 5244 on December 31, 1996).

[4] Rules of employment (취업규칙) refer to rules containing standards concerning matters such as service discipline and working conditions, including wages, regardless of their designation or title.

[Judgment Below] Seoul High Court Decision 2001Na26936 rendered October 30, 2001

[Order]

All appeals are dismissed. The costs of the appeal are to be borne by the Plaintiffs.

[Reasoning]

1. Ground of Appeal No. 1

Article 28(2) of the former Labor Standards Act (근로기준법) (as amended by Act No. 3349 on December 31, 1980, before being enacted anew by Act No. 5309 on March 13, 1997) provides that, in establishing a retirement allowance system, no differential system shall be established within a single business. The legislative purpose of this provision is to prohibit discrimination through the establishment of different retirement allowance systems by job type, position, or industry within a single business, and to require the application of a single retirement allowance system (see Supreme Court Decision 98Da765 rendered August 20, 1999, etc.). Accordingly, it is also prohibited to establish a retirement allowance system that differentiates the payment rate according to an employee's date of hire.

The court below, based on the evidence it cited, found the following facts: for the sake of parity with other government-invested institutions and in order to preemptively resolve the potential for litigation by employees hired before 1980 whose claims remained unresolved, the Defendant company placed on the agenda of its board of directors a plan for payment of retirement allowances to employees hired before 1980. At the board meeting held on November 29, 1995, the board deliberated and passed a retirement allowance payment regulation (hereinafter the "Second Amended Payment Regulation") providing that: (1) for currently employed staff who were hired on or before December 31, 1980 (11 persons, including the Plaintiffs), retirement allowances shall be paid by applying the Employee Compensation and Retirement Allowance Payment Regulation as it existed before its amendment on February 5, 1981 (hereinafter the "Pre-Amendment Payment Regulation"), provided that if the regulation in effect at the time of retirement is more favorable, that regulation shall apply; and (2) for retirees who were hired on or before December 31, 1980 and whose wage claims have not yet become time-barred under Article 41 of the Labor Standards Act, additional payment shall be made by applying the Pre-Amendment Payment Regulation upon the request of the party concerned, without payment of delay interest in such case. The court below then determined that the instant Second Amended Payment Regulation, which prescribes different methods of calculating retirement allowances for employees hired on or before January 1, 1981 and those hired thereafter, violates Article 28(2) of the former Labor Standards Act and is therefore void. The determination of the court below, being in accordance with the legal principles set forth above, is justified and is upheld, and there is no error of law in misapprehending Article 28(2) of the former Labor Standards Act.

2. Ground of Appeal No. 2

A. A collective bargaining agreement is an agreement concluded between a labor union and an employer or an employers' association concerning working conditions and other matters arising in labor-management relations. Where a labor union and the employer conclude a collective bargaining agreement retroactively consenting to or approving the existing standards for determining working conditions such as wages, working hours, and retirement allowances, the effect of such consent or approval extends to union members or employees who, after the collective bargaining agreement takes effect, are employed at the business and become subject to the agreement. Therefore, even in a case where a change to the provisions on retirement allowance payment rates in the rules of employment is disadvantageous to employees, and the employer makes the change without obtaining the consent of the employees through a collective decision-making method, thereby infringing upon the vested interests of existing employees—such that the former retirement allowance payment rate should apply to those existing employees—if the labor union concludes a collective bargaining agreement with the employer agreeing to follow the amended retirement allowance payment rate, then, in principle, the amended retirement allowance payment rate should apply even to the existing employees who become subject to that agreement, regardless of whether it was known that the former retirement allowance payment rate should have applied to the existing employees whose vested interests were infringed (see Supreme Court Decision 96Da6967 rendered August 22, 1997).

The court below, based on the evidence it cited, found the following facts: after the Pre-Amendment Payment Regulation in effect until February 5, 1981 was amended, as set forth in its holding, to lower the retirement allowance payment rate (the regulation as thus amended being hereinafter referred to as the "First Amended Payment Regulation"), the Defendant company, upon renewing its collective bargaining agreement on August 28, 1981, provided in Article 38 thereof that "retirement allowances shall be paid based on average wages calculated according to the progressive rate table under the current retirement allowance regulations," thereby incorporating the instant First Amended Payment Regulation by reference into the collective bargaining agreement; and that the Defendant company's labor union had been organized since before 1981, and at the time of the collective bargaining agreement, more than half of the Defendant company's employees were union members. Based on these findings, the court below determined that, by renewing the collective bargaining agreement to provide that "retirement allowances shall be paid based on average wages calculated according to the progressive rate table under the current retirement allowance regulations," the Defendant company's labor union should be deemed to have retroactively consented to the application, even to existing employees who had been hired before the amendment of the Employee Compensation and Retirement Allowance Payment Regulation and who become subject to the above collective bargaining agreement, of the retirement allowance payment rate under the First Amended Payment Regulation, which had the force of law at the time the collective bargaining agreement was concluded. The court below thus determined that, regardless of whether it was known at the time the collective bargaining agreement was concluded that the amended regulation's retirement allowance payment rate would not apply to existing employees, the retirement allowances of the Plaintiffs, who retired after the above collective bargaining agreement took effect, should be calculated by applying the First Amended Payment Regulation.

Upon examination of the record in light of the legal principles set forth above, the fact-finding and determination of the court below are justified and are upheld, and there is no error of law such as violation of the rules of evidence, incomplete deliberation resulting in mistake of fact, or misapprehension of legal principles, as alleged in the grounds of appeal.

The Supreme Court decisions cited in the grounds of appeal all concern cases where the collective bargaining agreement did not contain a provision applying the amended rules of employment, and thus differ in their factual basis from the instant case; they cannot be invoked here.

B. The court below further rejected the Plaintiffs' argument that, since the renewal proposal for the collective bargaining agreement was not put to a vote of the delegates' assembly at the time the Defendant company's labor union renewed the above collective bargaining agreement, it could not have the effect of a lawful decision of the labor union, and that, moreover, the chairman of the labor union individually had no such authority. The court below rejected this argument on the ground that, in a company where there exists a labor union organized by a majority of the employees, if the rules of employment are amended disadvantageously to employees, the consent of the labor union must be obtained; and in such a case, unless there are special circumstances suggesting that the representative authority of the union chairman has been restricted by statute, the collective bargaining agreement, the labor union's bylaws, or the like, it suffices for the union chairman to represent the labor union, and it is not necessary to obtain the consent of a majority of the employees belonging to the labor union.

According to the record, it can be seen that Article 19(7) of the bylaws of the Defendant company's labor union provides that the general assembly shall deliberate on and decide matters concerning the conclusion and amendment of collective bargaining agreements. However, requiring that, after the labor union's representative agrees with the employer on the content of a collective bargaining agreement as a result of collective bargaining, the proposed agreement must again be put to a vote of the general assembly of union members, would amount to a comprehensive and total restriction on the representative's authority to conclude collective bargaining agreements, effectively rendering such authority hollow and nominal, and would thus violate Article 33(1) of the former Trade Union Act (노동조합법) (before its repeal by Act No. 5244 on December 31, 1996) (see Supreme Court en banc Decision 91Nu12257 rendered April 27, 1993). Accordingly, the restriction on representative authority under the above bylaws does not affect the validity of the above collective bargaining agreement concluded by the union chairman on behalf of the union. Therefore, although the reasoning of the court below's judgment rejecting the Plaintiffs' above argument is somewhat inadequate, it is ultimately justified, and there is no error of law such as violation of the rules of evidence, incomplete deliberation resulting in mistake of fact, or misapprehension of legal principles, as alleged in the grounds of appeal.

3. Ground of Appeal No. 3

Rules of employment (취업규칙) refer to rules containing standards concerning matters such as service discipline and working conditions including wages, regardless of their designation (see Supreme Court Decision 97Da24511 rendered November 28, 1997, etc.). According to the facts found by the court below, the instant Second Amended Payment Regulation prescribes standards concerning the method of calculating retirement allowances, which is one of the working conditions, and thus has the character of rules of employment regardless of its form. It is clear that the court below regarded the "Payment Plan for Retirement Allowances for Employees Hired Before 1980," deliberated on and passed by the Defendant company's board of directors on November 29, 1995, as being in the nature of an amendment to the rules of employment, and on that premise determined, as set forth above, that it was void as violating Article 28(2) of the former Labor Standards Act. This can, in the end, be seen as a rejection of the Plaintiffs' argument that the nature of the board of directors' resolution on the "Payment Plan for Retirement Allowances for Employees Hired Before 1980" should be regarded as an individual compensation agreement between the Defendant company and each individual recipient of payment. Therefore, it cannot be said that the judgment of the court below is unlawful due to an omission of judgment as alleged in the grounds of appeal.

4. Ground of Appeal No. 4

The court below determined, with respect to the Plaintiffs' argument that it constitutes an abuse of rights and violates the principle of good faith for the Defendant, after adopting and implementing the instant Second Amended Payment Regulation at its board meeting on November 29, 1995, and having, for approximately four years thereafter, publicized and promised to the Plaintiffs that the regulation was lawful—to the point that the Plaintiffs even withdrew their resignation letters submitted during the so-called IMF crisis—to now refuse, on the pretext of the results of an audit by the Board of Audit and Inspection, to pay retirement allowances in accordance with the above amended regulation, that this argument alone was insufficient to find that the Defendant's refusal to pay retirement allowances under the Second Amended Payment Regulation constitutes an abuse of rights or a violation of the principle of good faith. Upon examination of the record, the above determination of the court below is upheld, and there is no error of law in misapprehending the legal principles regarding the principle of good faith, etc.

5. Accordingly, all appeals are dismissed, and it is so decided as set forth in the Order by the unanimous consent of the Justices involved.
